Independent Contractor Services. Independent Contractor shall act as Chief Business Development Officer of the Company. Attached hereto as Exhibit A and incorporated herein by this reference is a description of the services to be provided by the Independent Contractor hereunder (the "Business Development Services"). Independent Contractor hereby agrees to utilize her best efforts in performing the Business Development Services, however, Independent Contractor makes no warranties, representations, or guarantees regarding any corporate strategies attempted by the Company or the eventual effectiveness of the Business Development Services.
Independent Contractor Services. The parties agree that Supplier is an independent contractor for all purposes, without express or implied authority to bind Buyer by contract or otherwise. Supplier is responsible for all costs and expenses incident to performing its obligations under any Purchase Order and shall provide its own supplies and equipment. The Supplier’s personnel are not employees of WAI. The Supplier will be solely responsible for payment of all compensation owed to the Supplier’s personnel, as well as for payment of employment related taxes and worker's compensation insurance.
Independent Contractor Services. INDEPENDENT CONTRACTOR agrees to provide services listed in EXHIBIT A, attached hereto and by this reference incorporated herein. INDEPENDENT CONTRACTOR shall provide, at own expense, all equipment, materials, and related services as necessary to perform the services described herein, except for pre-approved travel expenses limited to airline tickets, mileage reimbursement, and hotel charges that shall be reimbursed at cost upon receipt of an invoice with appropriate documentation.
Independent Contractor Services. Notwithstanding anything contained in this Agreement to the contrary, Manager and Owner acknowledge and agree as follows:
Independent Contractor Services. 2.1 Since VeriTES is not in the business of providing Checking Services, from time to time VeriTES shall contact Independent Contractor to solicit an offer from Independent Contractor for the performance of Checking Services. VeriTES’s solicitation shall indicate to Independent Contractor the Checking Services to be performed, and provide other information that may assist Independent Contractor in the performance of his/her services. In each instance when Independent Contractor accepts an offer, the specifications for the engagement will be set forth in a work order (“Work Order”).
Independent Contractor Services. It is mutually agreed and understood by the parties to this Agreement that the services of CONTRACTOR are retained on an independent contractor basis and that all agents or employees of CONTRACTOR who may participate in performance of this Agreement are employed exclusively by CONTRACTOR and shall not be agents or employees of the BOARD.
Independent Contractor Services. CCJHA hereby engages independent contractor to referee hockey games in compliance with all applicable rules and guidelines as set forth by MAHA and USA Hockey. Independent contractor retains the right to referee for other hockey associations or entities.
Independent Contractor Services. 2.1 The Company hereby retains the Contractor’s Services, as defined in Section 4 herein. The Contractor agrees and undertakes that the Services shall be provided exclusively by Babecoff, which undertaking is a fundamental team of this Agreement. None of the Services may be delegated, assigned, or subcontracted by the Contractor to others without the prior written consent of the Company.
Independent Contractor Services. In furtherance of the appointment and grant of rights under Section 4.1, Agent shall, in accordance with Section 2.3(b) of the Purchase Agreement provide the following services (the “Independent Contractor Services” and together with the Agency Services and Importation Services, the “Services”):
Independent Contractor Services. Harrah's has requested that Coast facilitate the provision of certain services to Harrah's by Xxxxx Eamus, an independent contractor who has previously provided services to Coast. Such services will generally relate to the conversion of certain computer data to be included in the Barbary Coast Acquired Assets to a format usable by Harrah's computer systems. As an accommodation to Harrah's, Coast agrees that it will use commercially reasonable efforts to facilitate the provision of such services by Xxxxx Eamus. Harrah's acknowledges that Xxxxx Eamus is an independent contractor and not an Affiliate of Coast, and agrees that: (i) Xxxxx Eamus shall invoice Harrah's for services rendered to Harrah's or its affiliates; (ii) Harrah's shall satisfy the payment obligations under such invoices promptly in accordance with their terms and Coast shall have no obligation in connection therewith; (iii) Coast makes no representations or warranties whatsoever (express, implied or otherwise) regarding the services to be provided by Xxxxx Eamus; and (iv) Harrah's shall have no claim or recourse against Coast or any of its Affiliates (through indemnity or otherwise) in connection with the services to be provided by Xxxxx Eamus (or which Xxxxx Eamus may fail to provide) to Harrah's or its Affiliates.
