INDEPENDENT CONTRACTOR SERVICES. The parties agree that Supplier is an independent contractor for all purposes, without express or implied authority to bind Buyer by contract or otherwise. Supplier is responsible for all costs and expenses incident to performing its obligations under any Purchase Order and shall provide its own supplies and equipment. The Supplier’s personnel are not employees of WAI. The Supplier will be solely responsible for payment of all compensation owed to the Supplier’s personnel, as well as for payment of employment related taxes and worker's compensation insurance.
INDEPENDENT CONTRACTOR SERVICES. Independent Contractor shall act as Chief Operating Officer of the Company. Attached hereto as Exhibit A and incorporated herein by this reference is a description of the services to be provided by the Independent Contractor hereunder (the "Operational Services"). Independent Contractor hereby agrees to utilize his best efforts in performing the Operational Services, however, Independent Contractor makes no warranties, representations, or guarantees regarding any corporate strategies attempted by the Company or the eventual effectiveness of the Operational Services.
INDEPENDENT CONTRACTOR SERVICES. INDEPENDENT CONTRACTOR agrees to provide services listed in EXHIBIT A, attached hereto and by this reference incorporated herein. INDEPENDENT CONTRACTOR shall provide, at own expense, all equipment, materials, and related services as necessary to perform the services described herein, except for pre-approved travel expenses limited to airline tickets, mileage reimbursement, and hotel charges that shall be reimbursed at cost upon receipt of an invoice with appropriate documentation.
INDEPENDENT CONTRACTOR SERVICES. In furtherance of the appointment and grant of rights under Section 4.1, Agent shall, in accordance with Section 2.3(b) of the Purchase Agreement provide the following services (the “Independent Contractor Services” and together with the Agency Services and Importation Services, the “Services”):
(a) continue to operate the Non-Transferring Contracts and perform the supplier party's obligations and comply with the terms thereunder, in all material respects in the ordinary course of business consistent with practice as at Closing, including, where requested, to enforce the provisions of such Non-Transferring Contracts upon reasonable request of Principal; _______________________ 9 NOTE TO DRAFT: This Article IV will be used if there are non-transferring public tender contracts. If this section is to be added, delete prior definition of "Services" and adjust the section references for following sections. 10 Note to ICU: Pfizer is not willing to enter into new public tenders on behalf of ICU (except in delayed close countries during the NEB period, provided that such agreements are freely assignable to ICU or its designee upon local close). ICU should participate in tender processes in its own name (and with support from Pfizer on order-to-cash processes during the TSA period, just as in any other customer relationship). The Independent Contractor Services are limited to contracts in existence at closing.
(b) negotiate and contract with any parties (whether or not resident in the Territory) in connection with the provision of the foregoing services; and
(c) engage in any other act which is either (i) necessary for the continued fulfilment of the Non-Transferring Contracts or (ii) reasonably requested by Principal in connection with the provision of the services described in this Section 4.2 or (iii) which the Agent may deem reasonably necessary in connection with the provision of the services described in this Section 4.2, including without limitation, the provision to the Principal of such information and documents as Principal may reasonably request in connection with the performance of the Non-Transferring Contracts and the provision of the foregoing services.]
INDEPENDENT CONTRACTOR SERVICES. Independent Contractor shall act as Chief Intellectual Property Officer of the Company. Attached hereto as Exhibit A and incorporated herein by this reference is a description of the services to be provided by the Independent Contractor hereunder (the "Intellectual Property Services"). Independent Contractor hereby agrees to utilize his best efforts in performing the Intellectual Property Services, however, Independent Contractor makes no warranties, representations, or guarantees regarding any corporate strategies attempted by the Company or the eventual effectiveness of the Intellectual Property Services.
INDEPENDENT CONTRACTOR SERVICES. HandHeld shall have agreed to engage Xx. Xxxxxxx on substantially the terms set forth in the Independent Contractor Services Agreement attached hereto as EXHIBIT D (the "SERVICES AGREEMENT").
INDEPENDENT CONTRACTOR SERVICES. Xx. Xxxxxxx shall have agreed to provide consulting services to HandHeld on substantially the terms set forth in the Services Agreement.
INDEPENDENT CONTRACTOR SERVICES. It is mutually agreed and understood by the parties to this Agreement that the services of CONTRACTOR are retained on an independent contractor basis and that all agents or employees of CONTRACTOR who may participate in performance of this Agreement are employed exclusively by CONTRACTOR and shall not be agents or employees of the BOARD.
INDEPENDENT CONTRACTOR SERVICES. CCJHA hereby engages independent contractor to referee hockey games in compliance with all applicable rules and guidelines as set forth by MAHA and USA Hockey. Independent contractor retains the right to referee for other hockey associations or entities.
INDEPENDENT CONTRACTOR SERVICES. Notwithstanding anything contained in this Agreement to the contrary, Manager and Owner acknowledge and agree as follows:
(1) Manager shall not perform or provide any services to or for the benefit of Owner and/or the Development, if and to the extent that such services are not customarily provided in connection with the management and/or development of assets and interests of a similar class to the Development in the geographic market in which the Development is located.
(2) With respect to those services to be provided by Manager under this Agreement which (as a result of the direct or indirect constituency of Manager) must be furnished or provided by an "independent contractor" (including those described in Section 1.15(1) hereof) from whom certain of Manager's (indirect) constituents receive no income (directly or indirectly), pursuant to section 856(d)(2)(C) of the Internal Revenue Code of 1986, as amended (the "Independent Contractor Services"), the following provisions shall be applicable: Without the approval of Manager's constituents, Manager shall not perform any Independent Contractor Services; rather, Manager shall engage and retain, for and on behalf of Owner, and with Owner's approval a person or entity that would qualify as an independent contractor, who may or may not be affiliated with Manager (the "Independent Contractor"), to perform all of the Independent Contractor Services to be performed under this Agreement. In all cases in which such Independent Contractor is an affiliate of Manager, the nature of the affiliation and the terms of the engagement of such affiliate shall be disclosed to Owner.
