Individual Licences. 1. A Party shall only require an individual licence for services within the scope of the universal service [41]. 2. Where a Party requires an individual licence, the following information shall be made publicly available: (a) all licensing criteria and the period of time normally required to reach a decision concerning an application for a licence; and (b) the terms and conditions of individual licences. 3. Where a Party denies granting an individual licence, that Party shall, upon request, inform the applicant of the reasons for the denial. Each Party shall establish or maintain an appeal or review procedure, as appropriate, before an independent body [42]. Such procedures shall be transparent, non-discriminatory, and based on objective criteria.

Individual Licences. 4.1 Individual Licences issued by the Supplier shall be in the name of, and for the exclusive use of, the individuals named in the Summary of Key Terms, as nominated by the Customer. 4.2 The Supplier shall only allocate Individual Licences to individuals who are currently employed by the Customer, and the Customer agrees only to nominate such persons to use a Licence. 4.3 The Customer may, upon written request to the Supplier with at least 7 days’ notice, have a Licence re-assigned to another named individual. 4.4 During the Term of this Agreement, the Customer may re-assign Licences up to a total of three (3) times without any further fee being payable. The Supplier reserves the right to charge additional fees for any additional re-assignments thereafter. 4.5 The Customer shall notify the Supplier if a person assigned with a Licence is no longer employed by the Customer so the credentials for the Licence can be revoked or reset until re-assigned. 4.6 The Customer agrees that access to Licences shall not be shared with any individual other than the person currently nominated to use it and shall instruct those so nominated not to share access.

  • Perpetual License Notwithstanding anything else in the Agreement, Licensor grants to Licensee and Participating Institutions a nonexclusive, royalty-free, system-wide perpetual license limited to the territory of Czech Republic to use any Licensed Materials that were subscribed to or for which a perpetual license fee has been paid during the term of this Agreement. Such use shall be in accordance with the provisions of this Agreement, which provisions shall survive any termination of this Agreement. The means by which Licensee and/or Participating Institutions shall have access to such Licensed Materials shall be in a manner and form substantially equivalent to the means by which access is provided under this Agreement. If the Licensor’s means of access is not available, the Licensee and/or Participating Institutions may provide substantially equivalent access to the Licensed Materials by use of an archival copy or by engaging the services of third-party trusted archives (such as Portico) and/or participating in collaborative archiving endeavors to exercise its perpetual use rights.
