Industry Standards and Documentation. Provider warrants and represents that it will perform the Professional Services in a professional manner in accordance with prevailing industry standards and that the Subscription Services and Software will materially conform to the specifications as set forth in the applicable Documentation. At no additional cost to Customer, and as Customer’s sole and exclusive remedy for nonconformity of the Subscription Services, Software or Professional Services with this limited warranty, Provider will use commercially reasonable efforts to correct any such nonconformity, provided Customer promptly notifies Provider in writing outlining the specific details upon discovery. This limited warranty shall be void if the failure of the Subscription Services or Software to conform is caused by (i) the use or operation of the Subscription Services or Software with an application or in an environment other than as set forth in the Documentation, or (ii) modifications to the Subscription Services or Software that were not made by Provider or Provider’s authorized representatives.

At no additional cost to Customer, and as Customer’s sole and exclusive remedy for nonconformity of the Software with this limited warranty, Seeq will use commercially reasonable efforts to correct any such nonconformity, provided Customer promptly notifies Seeq in writing outlining the specific details upon discovery, and if such efforts are unsuccessful, then Customer may terminate, and receive a refund of all pre-paid and unused fees for, the affected Software. This limited warranty shall be void if the failure of the Software to conform is caused by (i) the use or operation of the Software with an application or in an environment other than as set forth in the Documentation, or (ii) modifications to the Software that were not made by Seeq or Seeq’s authorized representatives.

At no additional cost to Customer, and as Customer’s sole and exclusive remedy for nonconformity of the Software with this limited warranty, IOTA will use commercially reasonable efforts to correct any nonconformity identified by Customer, provided Customer promptly notifies IOTA in writing outlining the specific details upon discovery, and if such efforts are unsuccessful, then Customer may terminate, and receive a refund of all pre-paid, unused fees for the period following termination for the affected Software.

Related to Industry Standards and Documentation

  • Industry Standards Supplier will implement appropriate technical and organizational security measures that comply with Industry Standards in all applicable goods, services, equipment, software systems and platforms that Supplier uses to access, process and/or store Accenture Data. “Industry Standards” means security measures that are commercially reasonable in the information technology industry and that are designed to ensure the security, integrity, and confidentiality of Accenture Data, and to protect against Security Incidents.

  • Personnel Requirements and Documentation Grantee will; 1. maintain current personnel documentation on each employee. All documents must be factual and accurate. Health-related information must be stored separately with restricted access as appropriate under Tex. Gov. Code §552.102. Training records may be stored separately from the main personnel file but must be easily accessible upon request. Required documentation includes the following, as applicable: i. A copy of the current job description signed by the employee; ii. Application or resume with documentation of required qualifications and verification of required credentials; iii. Verification of work experience; iv. Annual performance evaluations; v. Personnel data that includes date hired, rate of pay, and documentation of all pay increases and bonuses; vi. Documentation of appropriate screening and/or background checks, to include probation or parole documentation; vii. Signed documentation of initial and other required training; and viii. Records of any disciplinary actions. 2. document authentication must include signature, credentials when applicable, and date. If the document relates to past activity, the date of the activity must also be recorded. Documentation must be permanent and legible. When it is necessary to correct a required document, the error must be marked through with a single line, dated, and initialed by the writer.

  • Information Technology Accessibility Standards Any information technology related products or services purchased, used or maintained through this Grant must be compatible with the principles and goals contained in the Electronic and Information Technology Accessibility Standards adopted by the Architectural and Transportation Barriers Compliance Board under Section 508 of the federal Rehabilitation Act of 1973 (29 U.S.C. §794d), as amended. The federal Electronic and Information Technology Accessibility Standards can be found at: xxxx://xxx.xxxxxx-xxxxx.xxx/508.htm.

  • Records and Documentation The Sub-Recipient agrees to make available to AAAPP staff and/or any party designated by the AAAPP any and all contract related records and documentation. The Sub-Recipient shall ensure the collection and maintenance of all program related information and documentation on any such system designated by the AAAPP. Maintenance includes valid exports and backups of all data and systems according to AAAPP standards.

  • Specifications and Standards a) All articles supplied shall strictly conform to the specifications, trademark laid down in the bidding document and wherever articles have been required according to ISI/ ISO/ other applicable specifications/ certifications/ standards, those articles should conform strictly to those specifications/ certifications/ standards. The supply shall be of best quality and description. The decision of the competent authority/ purchase committee whether the articles supplied conforms to the specifications shall be final and binding on the supplier/ selected bidder.

  • LICENSES AND STANDARDS 11 CONTRACTOR warrants that it and its personnel, described in Paragraph 27 of 12 this Agreement, who are subject to individual registration and/or licensing requirements, have all 13 necessary licenses and permits required by the laws of the United States, State of California 14 (hereinafter referred to as “State”), County of Orange, and all other appropriate governmental 15 agencies to perform the services described in this Agreement, and agrees to maintain, and require 16 its personnel to maintain, these licenses and permits in effect for the duration of this Agreement.

  • Goods, Standards and Appurtenances Any Goods delivered must be standard new Goods, latest model, except as otherwise specifically stated in the Contract. Remanufactured, refurbished or reconditioned equipment may be accepted but only to the extent allowed under the Contract. Where the Contract does not specifically list or describe any parts or nominal appurtenances of equipment for the Goods, it shall be understood that the Contractor shall deliver such equipment and appurtenances as are usually provided with the manufacturer's stock model.

  • Safety Standards Performance of the Contract for all commodities or contractual services must comply with requirements of the Occupational Safety and Health Act and other applicable State of Florida and federal requirements.
