Inspection and Auditing Procedures. Transmission Owner shall grant SPP such access to its books and records as is necessary for SPP to perform its obligations under this Agreement and to audit and verify transactions under this Agreement. Such access shall be at reasonable times and under reasonable conditions. Transmission Owner shall not be required to provide access to confidential information unless it consents, which consent will not be unreasonably withheld. Transmission Owner may require reasonable disclosure conditions before giving its consent. Disclosure of confidential information shall be made consistent with such disclosure conditions or in accordance with any effective order requiring production of such confidential information issued by a court or regulatory authority. SPP shall provide Transmission Owner immediate notice of any request by an entity to review any such confidential information.

The Company shall grant each Member, its employees or agents, external auditors, and federal and state regulatory authorities having jurisdiction over the Company or an Owner, such access to the Company's books and records as is necessary to verify compliance by the Company with this Agreement and to audit and verify transactions under this Agreement. The Company shall also comply with the reporting requirements of federal and state regulatory authorities having jurisdiction over the Company with respect to the business aspects of its business operations, including, but not limited to, the State of Delaware. Contacts between Officers, employees, and agents of any Owner and those of the Company pursuant to this Paragraph C shall be strictly limited to the purposes of this Paragraph C and shall comply with the Standards of Conduct set forth in Appendix A to this Agreement.

Contacts between Officers, employees, and agents of any Transmission Owner and those of Transco pursuant to this Section 3.4.3 shall be strictly limited to the purposes of this Section 3.4.3 and shall comply with the applicable Code of Conduct.

ATSI shall grant each of the FirstEnergy Operating Companies, its directors, officers, employees or agents, external auditors, and Regulatory Authorities having jurisdiction over ATSI, such access to ATSI's books and records as is necessary to verify compliance by ATSI with this Agreement and to audit and verify transactions under this Agreement. Such access shall be at reasonable times and under reasonable conditions. ATSI shall also comply with the reporting requirements of Regulatory Authorities having jurisdiction over ATSI with respect to the business aspects of its business operations, and shall maintain such accounting records and metering data as is necessary to perform its obligations under this Agreement.

Each Owner shall grant the FERC, the Company, its Officers, employees, and agents, and each state regulatory authority having jurisdiction over that Owner, such access to the Owner's books and records as is necessary for the Company to perform its obligations under this Agreement and to audit and verify transactions under this Agreement. The Midwest ISO shall also comply with the reporting requirements of federal and state regulatory authorities having jurisdiction over the Midwest ISO with respect to the business aspects of its business operations, including, but not limited to, the State of Delaware. Contacts between Officers, employees, and agents of any Owner and those of the Midwest ISO pursuant to this Section 10.2 shall be strictly limited to the purposes of this Section 10.2 and shall comply with the Standards of Conduct set forth in Appendix A to the Midwest ISO Agreement.

Such access shall be at reasonable times and under reasonable conditions. The FirstEnergy Operating Companies shall comply with the reporting requirements of Regulatory Authorities having jurisdiction over the FirstEnergy Operating Companies with respect to the business aspects of their operations, and shall maintain such accounting records and metering data as is necessary to perform its obligations under this Agreement.
