Inspection upon Delivery. If merchandise/product is deemed to be faulty upon receipt, it will be returned to the point of origin or replaced for no extra cost.
Inspection upon Delivery. Without prejudice to its rights under Clause 3.2 in respect of defective Goods, the Purchaser shall inspect the Goods, within a reasonable period after delivery or performance (being not less than fourteen (14) calendar days and not more than (21) calendar days). If the Purchaser identifies any material failure to comply with the Agreement during such inspection (including without limitation any failure to comply with the warranties under Clause 7.2), it shall notify TOMRA in writing, providing reasonable details, and may reject the relevant Goods.
Inspection upon Delivery. Upon arrival of the Goods at the installation site, the Goods shall be inspected for shortages and damage in transit by authorized personnel of both Seller and Buyer. Buyer shall notify Seller in writing of any such claims within ten (10) days after Buyer discovers or should reasonably have discovered facts upon which the claim is based, but in no event more than thirty (30) days after Installation Completion under subsection C below. Failure of the Buyer to give written notice of a claim within the time- period or in the form specified above shall be deemed to be a waiver of such claim. If any repairs are made by unauthorized personnel, Seller reserves the right to withhold warranty support and to charge Buyer per then current time and material rates for services provided if Seller determines that the root cause of a defect requiring service was caused by a third party vendor supplied product or service.

Buyer shall notify Seller in writing of any such claims within ten (10) days after Facility Delivery Date. Failure of the Buyer to give written notice of a claim within the time-period or in the form specified above shall be deemed to be a waiver of such claim.

Buyer shall ensure that a Multitest representative be present and supervise the un-crating of the Multitest Products (base unit systems only) or else warranty will be voided. Transportation charges for returned goods shall not be paid by Multitest unless authorized in writing in advance by Multitest. Multitest may, at its option, repair, replace or refund the purchase price for any or all returned Multitest Products within a reasonable time after it is finally determined that the returned goods are not in accordance with this Contract; and in such event Multitest shall not be liable for any damages arising from the defective delivery or delay caused thereby.

If a delivery is short or the Product is found to be defective in material or workmanship, or if the Product does not conform to the Specifications, Fallbrook has the right to reject such Product within fifteen (15) calendar days after receipt of notice of such deficiency from Fallbrook’s customer that received the applicable Product. Fallbrook shall have the right to reject just a portion of a delivery. Product not rejected during such period shall be deemed accepted. TSI shall have ten (10) calendar days after receipt of such a notice from Fallbrook to respond as to whether it agrees with such deficiency, in which case the parties shall utilize the dispute resolution procedure set forth in Section 13.4. The deficiency specified in Fallbrook’s notice shall be deemed as accepted by TSI if it fails to respond to Fallbrook within the above ten (10) calendar days’ period. If the rejected Product cannot be reworked, then such Product shall be returned to TSI at TSI’s expense and TSI shall replace such Product with conforming Product as soon as reasonably possible after Fallbrook’s notice of rejection, but in no event less than forty-five (45) days thereafter. At its election, Fallbrook may choose to be credited for the return of such Product as provided in Section 5.5(b).
Inspection upon Delivery. Upon receipt of the Finished Products and/or Samples in any shipment, Esprit or its designee may inspect such Finished Products and/or Samples and assay samples thereof. If Esprit finds that any Finished Products and/or Samples delivered to Esprit hereunder fails to meet Specifications upon delivery to Esprit, then Esprit shall provide Indevus with a written notice (the “Non-conformance Notice”) within five (5) days after determination of non-conformance and within thirty (30) days after receipt of such Finished Products and/or Samples by Esprit. Esprit shall retain the Finished Products and/or Samples claimed to be non-conforming and Indevus or its designee shall have the right to inspect such Finished Products and/or Samples. In the event Indevus does not respond in writing, within

(a) Product shipments from OBI to ASI shall include a certificate of compliance from OBI confirming that the Products meet product specifications and OBI’s quality standards, which are in compliance with the relevant requirements of applicable Regulatory Authorities. Notwithstanding any prior inspection or payments, all Products capable of being inspected prior to use may, at ASI’s sole discretion, be subject to final inspection and acceptance at ASI’s designated location or other destination point within [***] after delivery. If ASI elects to inspect Product, then ASI shall notify OBI within such [***] period of any defect in materials or workmanship or non-conformity of any Product to the Product Specifications or purchase order. If ASI inspects Product and fails to so notify OBI, ASI will be deemed to have accepted the Product; provided, that the warranty set forth in Section 8.2 hereof shall survive acceptance of the Product by ASI.
(b) Notwithstanding any prior inspections or payments, all Products incapable of being inspected until use will be subject to final inspection upon use. ASI shall notify OBI within fifteen (15) days after the inspection-at-use of the defect in materials or workmanship or non-conformity of any Product to the Product Specifications or purchase order. If ASI fails to so notify OBI, ASI will be deemed to have accepted the Product; provided, that the warranty set forth in Section 8.2 hereof shall survive acceptance of the Product by ASI.
(c) Without prejudice to any other right or remedy of ASI, in case any item is determined to be defective in accordance with Section 3.8(a) or 3.8(b), ASI will have the right to reject it. Any item that has been rejected must be replaced by and at the expense of OBI promptly after notice. ASI will not be required to pay for any rejected item or its shipping costs. ASI will return all rejected Products to OBI at OBI’s expense.
