Interactive Commerce. To the extent ICP directly sells any merchandise directly through the ICP Internet Site and/or ICP Programming, such merchandise shall be subject to (i) the then-current requirements of AOL's merchant certification program, and (ii) AOL's standard terms and conditions applicable to its interactive marketing partners. In the event AOL objects to any products, goods or services directly offered through the ICP Internet Site and/or the ICP Programming, AOL shall notify ICP of those products, goods or services to which AOL objects, and ICP hereby agrees to discontinue offering such products, goods or services directly through the ICP Internet Site and/or the ICP Programming upon receipt of such notice. ICP will take all reasonable steps necessary to conform its promotion and sale of products directly through the ICP Internet Site and ICP Programming (if any) (the "Products") to the then-existing technologies identified by AOL which are optimized for the applicable AOL Property including, without limitation, any "quick checkout" tool which AOL may implement to facilitate purchase of Products by AOL Members directly through the ICP Internet Site. ICP shall not conduct any merchandising directly through the ICP Internet Site or ICP Programming through auctions, clubs or any method other than a direct sales format without AOL's prior written consent. ICP will provide AOL with a monthly report in a mutually agreed upon format to be delivered to AOL in an automated manner, detailing the sales activity during such period. To the extent applicable, such sales reports shall contain information substantially similar to the following (and any other information reasonably required for measuring revenue activity by ICP through the ICP Internet Site(s) or reasonably requested by AOL): (i) summary sales information by day (date, number of Products, number of orders, total Transaction Revenues); and (ii) detailed sales information (order date/timestamp (if technically feasible), purchaser name and screen-name, SKU or Product description). Further, to the extent ICP directly sells any merchandise through the ICP Internet Site and/or ICP Programming that is similar to merchandise sold directly on the Consumer Versions, ICP will generally promote through the ICP Internet Site any special or promotional offers for such merchandise made available by or on behalf of ICP through the Consumer Versions or any other distribution channel targeted at consumers. Interactive Commerce. All merchandising on the ICP Sites shall be subject to (i) the terms of the Shopping Channel Promotional Agreement between AOL and ICP dated as of January 1, 1998 (the "Commerce Agreement"), (ii) the requirements posted at keyword "Marketplace Policy" on the America Online(R) brand service (or such other keyword as AOL may designate during the Term), (iii) approval by AOL of all Products to be offered, which approval shall not be unreasonably withheld, and (iv) the then-current requirements of AOL's merchant certification program. Upon the expiration of the Commerce Agreement, all merchandising on the ICP Sites shall be subject to AOL's prior written approval. Prior to entering into negotiations with any third party regarding merchandising or commerce arrangements through the ICP Sites, ICP shall give AOL written notice of such desire and, upon request by AOL made within [*] business days after receipt of such notice from ICP, negotiate in good faith with AOL or its commerce or marketing partner in the applicable product/ service category regarding a merchandising or commerce arrangement.
Interactive Commerce. Any merchandising permitted hereunder through the Health Channels, My Health, Customized Site and/or Customized Programming shall be subject to (i) the then-standard requirements of AOL’s standard merchant certification program as set forth at AOL keyword: merchants under the “anchor and gold tenants” section, and (ii) AOL and WebMD shall mutually agree on the type of products, goods and services to be offered through the Health Channels, My Health, the Customized Site or the Customized Programming. For the purposes of clarification, the aforementioned merchandising is subject to the revenue sharing provisions of Section 5. WebMD will take commercially reasonable steps necessary to conform its promotion and sale of products through My Health, the Customized Site, and Customized Programming to the then-existing “quick checkout” technologies identified by AOL that are designed to facilitate the purchase of products by AOL Members through the Customized Site. AOL agrees to reimburse WebMD for all reasonable expenses associated with the incorporation of such technologies.

Interactive Commerce. To the extent ICP desires to offer, sell or license Products through the Online Area, ICP and AOL shall discuss in good faith the terms and conditions which would apply to such activities. Notwithstanding such discussions, all merchandising shall be subject to (i) the terms of this Agreement, (ii) the requirements posted at keyword "Marketplace Policy" on the America Online(R) brand service (or such other keyword as AOL may designate during the Term), (iii) approval by AOL of all Products to be offered, (iv) the then-current requirements of AOL's merchant certification program, (v) ICP implementing sufficient procedures to protect the security of all merchandising on the site (i.e., ICP shall as of the Effective Date use 40-bit SSL technology and, if requested by AOL, 128-bit SSL), and (vi) ICP taking all reasonable steps necessary to conform its promotion and sale of Products through the Online Area to the then-existing technologies identified by AOL which are optimized for the AOL Network including, without limitation, any "quick checkout" tool which AOL may implement to facilitate purchase of Products by AOL Members through the Online Area. AOL hereby approves the license or sale of Vacation Packages to the specific destination where such Vacation Package is sold (i.e., ICP may sell a Vacation Package to Los Angeles in the destination travel information for Los Angeles, California or the United States). ICP may sell any AOL-approved Vacation Packages of general interest on the non-destination pages of the Customized Web Site specified in Exhibit A. No other Products shall be offered, sold or licensed on or through the Online Area.
