Intermediary Services. Neither Party shall provide an intermediary or transit traffic function for the other Party’s connection of its End Users to the End Users of a third party telecommunications carrier without the consent and agreement of all Parties. In addition, this Agreement does not obligate either Party to provide or utilize any intermediary or transit traffic function of a third-party.
Intermediary Services. Intermediary Services. Bank hereby agrees to provide Intermediary Services with respect to all Additional Cards, subject to the provisions of Section 4.10 of this Agreement. Green Dot will compensate Bank for such Intermediary Services at a rate equal to [*] of the initial purchase fee collected from the purchaser of an Additional Card, payable monthly in arrears within 30 days of the end of the month in which the Additional Card was sold.
Intermediary Services. Bank shall provide the Intermediary Services set forth in Section 16.3 of the Amended Services Agreement with respect to the Pilot Card. Bank shall have no other obligations or liabilities with respect to the Pilot Cards.
Intermediary Services. Purchaser shall use commercially reasonable efforts to establish a direct connection with Retailer before the Target Date, so that Seller does not need to provide Intermediary Services (as defined in the Program Agreement). If a direct connection between Purchaser and Retailer has not been established on or before the Closing Date, Seller will provide Intermediary Services to Purchaser for a period of not more than ninety (90) days on the same terms and conditions that Seller provided Intermediary Services before the assignment of the Program Agreement to Purchaser, which terms and conditions are hereby incorporated by reference; provided, however, that (i) Purchaser shall indemnify Seller for any claims or losses in connection with Seller's provision of the Intermediary Services, except to the extent caused by Seller's or its Representatives' gross negligence, intentional misconduct, or violation of Law, (ii) Seller agrees to extend such ninety (90) day period for a reasonable period to accommodate a delay in establishing such direct connection that Purchaser demonstrates is attributable to Retailer; and (iii) for Intermediary Services provided by Seller after assignment of the Program Agreement to Purchaser, each month Purchaser shall pay to Seller two percent (2%) of the fees charged for the initial sale or load for which such Intermediary Services were provided in the previous month (for the avoidance of doubt, this shall serve as the only compensation to Seller with respect to the provision of Intermediary Services). 3.06
Intermediary Services. This Agreement does not obligate either Party to provide or utilize any intermediary or transit traffic function of the other Party. For purposes of this Agreement, Level 3 traffic exchanged with ILEC is considered to be the provision of End Office switching functions for its Wholesale Customer so neither Level 3 nor its Wholesale Customer is entitled to bill, nor is ILEC obligated to pay, any transit charges for such traffic.
Intermediary Services. (a) Bank agrees to serve in the limited capacity as intermediary for transmitting between Retailer and Green Dot: (i) data regarding Reload Pack Sales by Retailer (“Reload Pack Data”), and funds relating to such sales (“Reload Pack Funds”), (ii) data regarding POS Loads at Retailer’s Participating Stores (“POS Load Data”) and funds relating to such POS Loads at Participating Stores (“POS Load Funds”), (iii) the Daily Report described in Section 6.1, and (iv) [***] as described in Section 6.3, in each case in accordance with the procedures agreed upon from time to time in writing by the Parties. The foregoing transmission of Reload Pack Data and POS Load Data (collectively, “GD Network Data”), Reload Pack Funds and POS Load Funds (collectively, “GD Network Funds”), and such [***] is sometimes referred to herein as the “Intermediary Services”, and shall be integrated into the systems of the Parties in a manner mutually agreed upon by the Parties to reduce administrative burdens on Retailer.
