Investigation and Cooperation. The Receiver shall permit representatives of the GA Parties, as well as those independent actuaries, consultants, attorneys and accountants retained by NOLHGA, such access during normal business hours, and without material disruption to the business of the receivership, to the Transferred Assets and Transferred Liabilities, as well as those properties, books and records of ELNY as they may reasonably require, and shall cooperate with and cause the consultants, advisors and counsel retained by the Receiver to cooperate with and provide those representatives, actuaries, consultants, attorneys and accountants of the GA Parties all such information pertaining to ELNY and its affairs, operations and management as they may reasonably request and which is available to the Receiver without undue burden or material cost for purposes relating to this Agreement and the other Definitive Agreements.

Investigation and Cooperation. (a) With respect to any Reported Incident, Business Associate will provide the notice in the manner and format specified by McLaren and such notice will include all information that is necessary for McLaren to comply with McLaren’s obligations under the Breach Notification Rule including, without limitation, (i) a brief description of what happened, including the date of the occurrence, if known, and the date of the discovery of the occurrence; (ii) each Individual whose PHI has been or reasonably believed to have been accessed, acquired, or Disclosed, if known; (iii) a description of the types of PHI that were involved, if known; (iv) a brief description of what Business Associate is doing to investigate the occurrence and to mitigate losses and any harmful effects; and (v) a corrective action plan that includes the steps Business Associate has taken or will take to prevent future similar occurrences. Following the initial notice of a Reported Incident, Business Associate will provide periodic updates to McLaren as reasonably necessary. Business Associate will further reasonably cooperate with XxXxxxx’s investigation and risk assessment with respect to such Reported Incident and will provide any additional information reasonably requested by XxXxxxx. Business Associate will maintain complete records regarding any event requiring reporting for the period required by 45 C.F.R. § 164.530(j) or such longer period as may be required by state law and, subject to any applicable legal privileges, will make such records available to McLaren promptly, but in no event longer than 10 days, upon any reasonable request. (b) Business Associate will abide by XxXxxxx’s decision with respect to whether a Reported Incident constitutes a Breach of PHI. With respect to any Breach, XxXxxxx will have the sole right to determine: (i) whether further investigation by an independent forensic expert is required; (ii) whether notice is to be provided to Individuals, regulators, law enforcement agencies, consumer reporting agencies, media outlets, the Secretary, and/or others as may be provided under applicable Privacy Laws; (iii) the contents of such notice and whether Business Associate or McLaren will be responsible for giving such notice, and if provided by Business Associate, the documentation required to demonstrate that notice was made in accordance with the Privacy Laws; and (iv) whether any type of remediation may be offered to affected Individuals, and the nature and extent...
Investigation and Cooperation. AEDA Tools shall immediately undertake all reasonable efforts to investigate, correct and remediate any Security Breach in a manner that meets or exceeds industry standards, including cooperating with any governmental or other investigative entity with jurisdiction for the Security Breach. AEDA Tools shall cooperate and maintain timely communications with Customer during its investigation of the Security Breach. AEDA Tools will not inform any third party of Customer’s involvement in any such Security Breach without Customer’s prior written consent (excluding AEDA Tools’ legal advisors, insurance carrier, those parties engaged to assist in resolving the Security Breach, or as may be strictly required by applicable law). If AEDA Tools’ disclosure is required by applicable law, AEDA Tools agrees to work with Customer prior to any disclosure regarding the content of such disclosure so as to minimize any potential adverse impact upon Customer and its clients and customers. Notwithstanding anything to the contrary set forth in this Agreement, all costs associated with any Security Breach, including but not limited to, the costs of notices to and at least two (2) years of credit monitoring for any affected persons shall be the sole responsibility of AEDA Tools. The remedies and obligations set forth in this subsection are in addition to any others Customer may have.

  • Litigation and Regulatory Cooperation During and after the Executive’s employment, the Executive shall cooperate fully with the Company in the defense or prosecution of any claims or actions now in existence or which may be brought in the future against or on behalf of the Company which relate to events or occurrences that transpired while the Executive was employed by the Company. The Executive’s full cooperation in connection with such claims or actions shall include, but not be limited to, being available to meet with counsel to prepare for discovery or trial and to act as a witness on behalf of the Company at mutually convenient times. During and after the Executive’s employment, the Executive also shall cooperate fully with the Company in connection with any investigation or review of any federal, state or local regulatory authority as any such investigation or review relates to events or occurrences that transpired while the Executive was employed by the Company. The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive’s performance of obligations pursuant to this Section 7(f).

  • Investigation and Prevention DST shall reasonably assist Fund in investigating of any such unauthorized access and shall use commercially reasonable efforts to: (A) cooperate with Fund in its efforts to comply with statutory notice or other legal obligations applicable to Fund or its clients arising out of unauthorized access and to seek injunctive or other equitable relief; (B) cooperate with Fund in litigation and investigations against third parties reasonably necessary to protect its proprietary rights; and (C) take reasonable actions necessary to mitigate loss from any such authorized access.

  • Search, Enquiry, Investigation, Examination And Verification a.   • Examination and Review (i) After receipt of the Closing Working Capital Statement, Seller will have *** (***) days from the date on which Buyer has provided to Seller all access and information reasonably requested for such purposes (the “Review Period”) to review the Closing Working Capital Statement. During the Review Period, Seller and its accountants will have full access to the relevant books and records of Buyer, the personnel of, and work papers prepared by, Buyer and/or Buyer’s accountants to the extent that they relate to the Closing Working Capital Statement and to such historical financial information (to the extent in Buyer’s possession) relating to the Closing Working Capital Statement as Seller may reasonably request for the purpose of reviewing the Closing Working Capital Statement and to prepare a Statement of Objections. (ii) On or prior to the last day of the Review Period, Seller may object to the Closing Working Capital Statement by delivering to Buyer a written statement setting forth Seller’s objections in reasonable detail, indicating each disputed item or amount and the basis for Seller’s disagreement therewith (the “Statement of Objections”). If Seller fails to deliver the Statement of Objections before the expiration of the Review Period, then the Closing Working Capital Statement and the Post-Closing Adjustment, as the case may be, reflected in the Closing Working Capital Statement will be deemed to have been accepted by Seller. If Seller delivers the Statement of Objections before the expiration of the Review Period, Buyer and Seller will negotiate in good faith to resolve such objections within *** (***) days after the delivery of the Statement of Objections (the “Resolution Period”), and, if the same are so resolved within the Resolution Period, then the Post-Closing Adjustment and the Closing Working Capital Statement with such changes as may have been previously agreed in writing by Buyer and Seller, will be final and binding.

  • Litigation and Compliance ‌ (a) Except as disclosed in the Disclosure Letter, to the best of GLC’s knowledge, there are no actions, suits, claims or proceedings, whether in equity or at law or, any Governmental investigations pending or threatened: (i) against or affecting GLC or the GLC Subsidiaries or with respect to or affecting any asset or property owned, leased or used by GLC or the GLC Subsidiaries; or (ii) which question or challenge the validity of this Agreement, or the Amalgamation or any action taken or to be taken pursuant to this Agreement, or the Amalgamation; nor is GLC aware of any basis for any such action, suit, claim, proceeding or investigation. (b) There is not outstanding against GLC or the GLC Subsidiaries, any judgment, decree, injunction, rule, order or award of any court, Governmental entity, commission, board, bureau, agency, or arbitrator. (c) Each of GLC and the GLC Subsidiaries has conducted and is conducting its business in compliance with, and is not in default or violation under, and has not received notice asserting the existence of any default or violation under, any Law applicable to its business or operations, except for non-compliance, defaults and violations which would not, in the aggregate, have a Material Adverse Effect on GLC. (d) Neither GLC nor any of its assets, including the GLC Subsidiaries, is subject to any judgment, order or decree entered in any lawsuit or proceeding which has had, or which is reasonably likely to have, a Material Adverse Effect on GLC or which is reasonably likely to prevent GLC from performing its obligations under this Agreement. (e) To the best knowledge of GLC, each of GLC and the GLC Subsidiaries has duly filed or made all reports and returns required to be filed by it with any Government and has obtained all permits, licenses, consents, approvals, certificates, registrations and authorizations (whether Governmental, regulatory or otherwise) which are required in connection with its business and operations, except where the failure to do so has not had and will not have a Material Adverse Effect on GLC.

  • Complaints Investigation The employee who complains of harassment under the provisions of the Human Rights Code must first comply with the Employer’s harassment policy procedures before filing a grievance or human rights complaint.

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Compliance Investigations Upon City’s request, Contractor agrees to provide to City, within sixty calendar days, a truthful and complete list of the names of all subcontractors, vendors, and suppliers that Contractor has used in the past five years on any of its contracts that were undertaken within San Diego County, including the total dollar amount paid by Contractor for each subcontract or supply contract. Contractor further agrees to fully cooperate in any investigation conducted by City pursuant to City's Nondiscrimination in Contracting Ordinance. Contractor understands and agrees that violation of this clause shall be considered a material breach of the Contract and may result in Contract termination, debarment, and other sanctions.
