Operations and Management. During the pendency of this Agreement, Seller shall carry on its business and activities relating to the Property, substantially in the same manner as it did before the Effective Date. Seller shall maintain the physical condition of the Property in substantially its current condition, reasonable wear and tear and damage by fire and other casualty excepted.
Operations and Management. WICHITA and DERBY shall each be solely responsible for the separate operation and management of their respected public transportation systems. WICHITA and DERBY agree to act with due diligence and good faith in the exercise of the operation and management of their respective transit systems to comply with the terms of this Agreement and to work together in a mutually supportive manner to ensure the implementation of all provisions contained in this Agreement. WICHITA agrees to assist DERBY in set-up guidance for proper reimbursement and payout documents, and data submission. WICHITA will be responsible for scheduling an annual meeting with DERBY for review and future planning.

In support of KETCH’s operations and to improve the mobility options for seniors and persons with disabilities throughout the WICHITA UZA, WICHITA and KETCH agree to implement this grant by executing the vehicle lease agreement to be entered into by the parties for vehicle(s) procured through this Xxxxx and subaward. WICHITA and KETCH shall each be solely responsible for the separate operation and management of their respective transportation systems. In support of SCDOA’s operations and to improve the mobility options for seniors and persons with disabilities throughout the WICHITA UZA, WICHITA and SCDOA agree to implement this grant by executing the vehicle lease agreement to be entered into by the parties for vehicle(s) procured through this Grant and subaward. In support of HAYSVILLE’s operations and to improve the mobility options for seniors and persons with disabilities throughout the WICHITA UZA, WICHITA and HAYSVILLE agree to implement this grant by executing the outright purchase of the vehicle to be entered into by the parties for vehicle(s) procured through this Grant and subaward. WICHITA and HAYSVILLE shall each be solely responsible for the separate operation and management of their respective transportation systems. HAYSVILLE’s obligations for preventive maintenance, responsive repairs and recordkeeping continue for the useful life of the vehicle. WICHITA and HAYSVILLE agree to act with due diligence and good faith in the exercise of the operation and management of their respective systems to comply with the terms of this Agreement and to work together in a mutually supportive manner to ensure the implementation of all provisions contained in this Agreement. WICHITA agrees to assist HAYSVILLE in set-up guidance for proper reimbursement and payout documents, and data submission. WICHITA will be responsible for scheduling an annual meeting with HAYSVILLE for review and future planning.
