INVOICING SERVICES. If the Financial Institution through Direct Services for Small Business makes Invoicing Services available and the Depositor uses the Invoicing Services: a) the Depositor consents to the Financial Institution disclosing to Central 1 Depositor-specific data relating to the Depositor’s use of the Invoicing Services, including data about the Depositor’s customers and the timeliness of their payments; b) the Depositor acknowledges that the consents contained in a) above are requirements of the Invoicing Services and that if such consents are withdrawn, the Depositor’s participation in the Invoicing Services may be suspended or terminated; c) the Depositor is solely responsible for all data and all documents it creates using the Invoicing Services, including the accuracy of data relating to each of the Depositor’s customers, and the accuracy of invoices it sends to its customers; d) the Depositor agrees that the Financial Institution, although it has no obligation to do so, has the absolute discretion to remove, screen, or edit without notice any invoice posted or stored using the Invoicing Services, and the Financial Institution may do this at any time if it deems an invoice or the Depositor’s business related to the invoice to be unlawful or inappropriate; e) the Depositor is solely responsible for maintaining copies of its invoices; f) the Depositor may only use the Invoicing Services for the intended purpose of facilitating the generation, delivery, and tracking of invoices; and g) the Depositor agrees that the Invoicing Services are provided on an “as is” basis without warranties of any kind, either express or implied, and the Financial Institution expressly disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Financial Institution does not represent or warrant that: i) the Invoice Services will be reliable, uninterrupted, timely, secure, or error-free; ii) the Invoice Services will meet the Depositor’s or Signing Officer’s requirements; or iii) any errors in the Invoice Services technology will be corrected.

INVOICING SERVICES. In North America, Reuters or the applicable member of the Reuters Group provided services to Moneyline (“Invoicing Services”) from the Moneyline Closing Date until August 31, 2002, which included printing and mailing invoices for Moneyline Clients and the processing of exceptions in Moneyline’s billing processes; provided, however, that Reuters discontinued mailing invoices to Moneyline Clients on May 31, 2002.
INVOICING SERVICES. During the Term, the Service Provider shall provide the Company with customer invoicing and sales tax processing services for customers located in the United States, which services are to be consistent with past policies and practices (the “Invoicing Services”).
INVOICING SERVICES. Until the earlier of three years from the Closing Date or the date upon which Garveys (or an entity through which they operate the CitySolutions Assets) become authorized vendors for the municipal clients located in Arizona (the "Arizona Municipalities"), IIS will deliver invoices prepared by Garveys for products sold to and services performed for the Arizona Municipalities by the Garveys relating to the CitySolutions business. IIS shall remit any payments received from such Clients with respect to such invoices to the Garveys within five business days after IIS's actual receipt thereof from such Clients and after posting at IIS' bank. IIS shall have no duty to pursue any collection efforts with respect to such Clients or invoices and shall have no liability with respect to the collection of such receivables. IIS shall transmit to Garveys any correspondence received from such Clients relating to the collection of any invoices. Garveys shall indemnify and hold harmless IIS from and against all liabilities relating to the invoicing services performed by IIS and IIS shall have no obligation to continue these services if such services are determined to be unlawful or in violation of any agreement entered into between IIS and such Clients.

  • Pricing Services Chase may use any pricing service referred to in an applicable MSLA and any other recognized pricing service (including itself and any of its affiliates) in order to perform its valuation responsibilities with respect to Securities, Collateral and Authorized Investments, and Lender shall hold Chase harmless from and against any loss or damage suffered or incurred as a result of errors or omissions of any such pricing service.

  • Online Banking Services We may provide Online Banking Services to you during the Term from time to time as described in this Agreement. You understand and agree that we may, and you authorize us to, provide Online Banking Services through one or more third party vendors. This Agreement does not apply to services provided under separate agreements with third party vendors that do not specifically reference this Agreement or that are not specifically referenced in this Agreement. Please refer to the online help and instructions on how to use our Online Banking Services. Such instructions are part of this Agreement. Please note that during your use of Online Banking Services, we may provide you with additional requirements and limitations regarding the use of Online Banking Services through the system by which we may provide Online Banking Services. You agree to be bound by any and all such additional requirements and limitations. You also agree to be bound by any and all of our published policies and procedures, whether published on the Web Site, through the Online Banking Services, or otherwise. Any and all such policies and procedures shall be a part of this Agreement.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.

  • Ongoing Services It is important to review every investment you hold and at regular intervals. At the time of, or prior to, our recommendation to you we will discuss our on-going service proposition. This is confirmed in our ‘service proposition and engagement’ document which will be sent to you separately from this agreement.

  • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2. Customer is making a binding offer to acquire the Services described in the Order on the terms set out in this Agreement, which Megaport may accept at its discretion. An agreement to supply a Service is formed on the date Megaport provisions that Service and charges apply from the Billing Commencement Date.

  • Extra Services District-authorized services outside of the scope in Exhibit “A” or District-authorized reimbursables not included in Architect’s Fee.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs.
