L egal Compliance. Shares will not be issued pursuant to the exercise of the Option unless the exercise of the Option and the issuance and delivery of such Shares will comply with Applicable Laws and will be further subject to the approval of counsel for the Company with respect to such compliance.

L egal Compliance. Licensee shall not use or occupy the Space, or do or permit anything to be done in the Space, in any manner that may constitute a violation of the laws and requirements of any public authority, including, without limitation, any local area council. Licensee, at its expense, shall obtain and maintain any license or permit from any governmental authority necessary under any applicable requirement of law or of any public authority for Licensee and anyone hired or invited by Licensee to conduct Licensee’s event in the Space. Licensor will not be obligated to cooperate with, and Licensee shall not permit Licensor to incur any liability or inconvenience by reason of, such efforts to obtain any such licenses and permits. In addition, Licensee shall promptly upon receipt (or from time to time, upon request by Licensor) provide Licensor with true and complete copies of all such licenses and permits. Licensee agrees to pay all municipal, county, state and federal sales, use, occupancy and any other applicable taxes which may be levied upon the fees payable in connection with Licensee’s use of the Space. expense, commercial general liability insurance covering bodily injury and property damage liability insurance, with a combined single occurrence limit of not less than $1,000,000 (all such insurance shall include, without limitation, personal injury and contractual liability coverage for the performance by Licensee of the indemnity agreements set forth in this Agreement) and any workers’ compensation insurance to the extent required by applicable law. In addition, Licensee shall cause any contractor (including, without limitation, caterer or entertainer) to make the waivers of claims in favor of Licensor set forth in this Agreement and to carry the foregoing insurance and such additional coverages and insurance as Licensor may reasonably require and to provide proof of such insurance to Licensor prior to accessing the Space. Licensor shall be an additional insureds named therein. Licensor and its employees, representatives and agents make no representation that the limits of liability specified to be carried by Licensee pursuant to this Section are adequate to protect Licensee. If Licensee believes that any of such insurance coverage is inadequate, Licensee shall obtain such additional insurance coverage as Licensee deems adequate, at Licensee’s expense.

  • Legal Compliance Contractor represents and warrants that it shall secure all notices and comply with all applicable laws, ordinances, rules and regulations of any governmental entity in conjunction with the performance of obligations under the Contract. Prior to award and during the Contract term and any renewals thereof, Contractor must establish to the satisfaction of the Commissioner that it meets or exceeds all requirements of the Bid and Contract and any applicable laws, including but not limited to, permits, licensing, and shall provide such proof as required by the Commissioner. Failure to comply or failure to provide proof may constitute grounds for the Commissioner to terminate or suspend the Contract, in whole or in part, or to take any other action deemed necessary by the Commissioner. Contractor also agrees to disclose information and provide affirmations and certifications to comply with Sections 139-j and 139-k of the State Finance Law.

  • CEQA Compliance The District has complied with all assessment requirements imposed upon it by the California Environmental Quality Act (Public Resource Code Section 21000 et seq. (“CEQA”) in connection with the Project, and no further environmental review of the Project is necessary pursuant to CEQA before the construction of the Project may commence.

  • OSHA Compliance To the extent applicable to the services to be performed under this Agreement, Contractor represents and warrants, that all articles and services furnished under this Agreement meet or exceed the safety standards established and promulgated under the Federal Occupational Safety and Health Law (Public Law 91-596) and its regulations in effect or proposed as of the date of this Agreement.

  • FERPA Compliance In connection with all FERPA Records that Contractor may create, receive or maintain on behalf of University pursuant to the Underlying Agreement, Contractor is designated as a University Official with a legitimate educational interest in and with respect to such FERPA Records, only to the extent to which Contractor (a) is required to create, receive or maintain FERPA Records to carry out the Underlying Agreement, and (b) understands and agrees to all of the following terms and conditions without reservation:

  • PCI Compliance A. The Acquiring Bank will provide The Merchant with appropriate training on PCI PED and/or DSS rules and regulations in respect of The Merchants obligations. Initial training will be provided and at appropriate intervals as and when relevant changes are made to such rules and regulations.

  • DBE/HUB Compliance The Engineer’s subcontracting program shall comply with the requirements of Attachment H of the contract (DBE/HUB Requirements).

  • Law Compliance In providing the SOLID WASTE HANDLING SERVICES required by this AGREEMENT, CONTRACTOR shall observe and comply with all applicable federal and, state laws, regulations and codes regarding the provision of the SOLID WASTE HANDLING SERVICES described herein, as such may be amended from time to time, including where required by such laws, the funding and maintenance of sufficient closure and post-closure maintenance financial assurances for any landfill operated or utilized by CONTRACTOR for disposal of the SOLID WASTE. Any violation of this Paragraph shall constitute a major breach.

  • ETHICS COMPLIANCE All Bidders/Contractors and their employees must comply with the requirements of Sections 73 and 74 of the Public Officers Law, other State codes, rules, regulations and executive orders establishing ethical standards for the conduct of business with New York State. In signing the Bid, Bidder certifies full compliance with those provisions for any present or future dealings, transactions, sales, contracts, services, offers, relationships, etc., involving New York State and/or its employees. Failure to comply with those provisions may result in disqualification from the Bidding process, termination of contract, and/or other civil or criminal proceedings as required by law.

  • Monitoring and Compliance Every year during the term of this Agreement on the anniversary date of the effective date of the Agreement, the Restaurant shall provide to the United States a narrative report of the actions taken during the reporting period to remove any barriers to access and otherwise enhance accessibility for individuals with disabilities at the Restaurant and any plans for action concerning ADA compliance in the coming year. The report shall include as an exhibit copies of any complaint, whether formal or informal, received during the reporting period alleging that the Restaurant was not being operated in compliance with the ADA or otherwise discriminated against any person on account of disability. The Owner and Operator of the Restaurant shall cooperate in good faith with any and all reasonable requests by the United States for access to the Restaurant and for information and documents concerning the Restaurant's compliance with this Agreement and the ADA. The United States shall have the right to verify compliance with this Agreement and the ADA, both as set forth in this Agreement and through any means available to the general public, including visits to the public areas of the Restaurant and communications with Restaurant staff. The United States shall have the right to inspect the facility at any time, and counsel for the United States need not identify themselves in the course of visits to the public areas.

  • PCI-DSS Compliance Merchant shall be in full compliance with rules, regulations, guidelines and procedures adopted by any Card Association or Payment Network relating to the privacy and security of Cardholder and Card transaction data, including without limitation the most up-to-date version of the Payment Card Industry Data Security Standard (PCI-DSS), as amended from time to time by the Payment Card Industry Security Standards Council.
