Laws, Licenses and Permits. In respect of its obligations hereunder, each Party covenants and warrants to the other Party that all such obligations shall be performed in compliance with all material applicable federal, state, provincial and local laws, rules and regulations. Each Party shall obtain and maintain all material permits, approvals and licenses necessary or appropriate to perform its obligations hereunder and shall at all times comply with the terms and conditions of such permits, approvals and licenses.

Suppliers providing services directly to the public must ensure that persons providing the Services are trained in the AODA, the Accessibility Standards for Customer Service and must keep records of this training, including dates when training is provided, the number of employees who have received training and individual training records. Suppliers must provide this information if requested by the University.

5.3 Without limiting the general interpretation of the previous sentences in this section 5.1, the Supplier shall obtain and maintain all appropriate Workplace Safety and Insurance Board (WSIB) coverage, or its equivalent, covering its employees and claims for personal injury or death in connection with the Contract and provide both WSIB and proof of satisfaction standing to the University upon request.

The Supplier shall comply with applicable Albarrie Policies and Procedures in effect at time of acceptance of the PO or delivery of the Goods or Service; whichever is later.
3.2 Without limiting the general interpretation of the previous sentences the Supplier shall comply with the Accessibility for Ontarians with Disabilities Act, 2005, (AODA) and its regulations and with Albarrie’s Policies and Procedures in order to fulfill Albarrie’s commitment to meet the accessibility needs of persons with disabilities, as applicable. Suppliers must provide this information if requested by Albarrie.
3.3 Without limiting general interpretation of the previous sentences Supplier shall obtain and maintain all appropriate Workplace Safety and Insurance Board (WSIB) coverage, or its equivalent, in all applicable jurisdictions, covering its employees and claims for personal injury or death in connection with the PO and provide both WSIB and proof of registration and good standing to Albarrie upon request. Failure to provide this upon request shall be deemed to be a fundamental breach of PO.

Property Manager shall use reasonable efforts to (a) obtain, at Owner’s expense, all licenses, permits, certificates, consents, approvals or other entitlements believed by Property Manager in good faith to be required for the operation of the Property (collectively, “Licenses”) and (b) cause the Property to be operated, maintained and managed in accordance with all statutes, laws, rules, regulations, ordinances, codes and orders of any governmental or quasi-governmental body or agency, the Board of Fire Underwriters or any comparable body having jurisdiction or control with respect to the procurement, management or administration of insurance for the Property. All Licenses shall be obtained in Owner’s name whenever possible. Any Licenses obtained in the name of Property Manager shall be held on behalf of, and for the benefit of, Owner, and upon termination of this Agreement, Property Manager shall, to the extent such Licenses are transferable or assignable, transfer or assign all such Licenses (other than Property Manager’s real estate agent/broker licenses) to Owner or to such person as Owner may direct at no cost to Owner.

The Company will, and will cause each of its Subsidiaries to, (a) obtain and maintain in force (or where appropriate, promptly renew) all licenses, permits, registrations, approvals, authorizations or consents necessary or advisable for carrying out its business and operations generally, and (b) perform and observe all the conditions and restrictions contained in, or imposed on, the Company and each of its Subsidiaries by, any such licenses, permits, registrations, approvals, authorizations or consents, except in both cases where failure to do so could not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.
