License Restrictions on Use. 2.1 License to the Licensed Software, Documentation. Subject to the terms and conditions of this Agreement, StreamWeaver hereby grants Licensee a non- exclusive, non-transferable, royalty-free license during the License Term only to the Licensed Software in order to allow Authorized Users to: (a) access and use the Licensed Software solely for the purpose of allowing Licensee to connect to monitoring, management, database, security and other source IT systems and transmit events, metrics, topology, logs and other data to external IT systems; and (b) to use the Documentation in connection with the foregoing license. Licensee shall insure that all Authorized Users comply with the applicable provisions of this Agreement, including but not limited to, the license scope set forth in this Section 2.1, and the Restrictions on Use set forth below in Section

License Restrictions on Use. Concentra hereby grants to DSI a ---------------------------- limited, nontransferable, non-exclusive license to Use the Software. The Software may be installed and used on any system, owned, leased, controlled or operated by DSI. DSI shall not sell or license the Software, directly or indirectly, to any third parties without obtaining the prior written consent of Concentra. In the event Concentra is granted a patent related to the Software, Concentra shall grant a royalty-free license to any such patent to DSI, which patent license shall permit and be consistent with all rights, uses and licenses granted to DSI herein.

License Restrictions on Use. LICENSEE is granted a non-exclusive, non-transferable, personal, limited, evaluation license to use the Software solely as expressly provided by this Agreement. The Software shall be used (i) only by LICENSEE employees, (ii) only for non-business and non-commercial evaluation purposes and (iii) only during the Term. Other Restrictions LICENSEE shall not modify, translate, reverse engineer, decompile, disassemble, sell, transfer, sublicense, publish, disclose or make copies of the Software or any related data or documentation, or create derivative works based on the Software. LICENSEE shall not transfer any of the software or any of the data generated by the software to any location, by electronic means or otherwise. Warranty THE SOFTWARE AND SERVICES SUBJECT TO THIS AGREEMENT ARE PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES WHATSOEVER. PARADIGM DOES NOT GUARANTEE OR WARRANT THE CORRECTNESS, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY OF THE SOFTWARE OR SERVICES. Use of the Software and the resulting data is at LICENSEE’s sole risk and depends solely on LICENSEE’s judgment.

  • General Restrictions on Use Advisor agrees to hold all Proprietary Information in confidence and not to, directly or indirectly, disclose, use, copy, publish, summarize, or remove from Company's premises any Proprietary Information (or remove from the premises any other property of Company), except (i) during the consulting relationship to the extent authorized and necessary to carry out Advisor's responsibilities under this Agreement, and (ii) after termination of the consulting relationship, only as specifically authorized in writing by Company. Notwithstanding the foregoing, such restrictions shall not apply to: (x) information which Advisor can show was rightfully in Advisor's possession at the time of disclosure by Company; (y) information which Advisor can show was received from a third party who lawfully developed the information independently of Company or obtained such information from Company under conditions which did not require that it be held in confidence; or (z) information which, at the time of disclosure, is generally available to the public.
