Licensee Employees. 8.1. Both parties agree that Licensee employees work for the Licensee and not for GAEA or the Consulate. The Licensee shall require each of its employees to sign a statement that he/she is not employed by the Consulate and is not entitled to any rights or benefits of Consulate employees. 8.2. The Licensee shall maintain appropriate procedures for hiring, paying, training, supervising, and disciplining its employees. The Licensee shall follow all applicable labor laws, and shall treat its employees with dignity and respect. GAEA and the Consulate reserve the right to reject any of the Licensee’s employees and request that the Licensee replace them with an acceptable employee. 8.3. The Licensee shall ensure that its employees adhere to standards of conduct that reflect credit on themselves, their employer, and the Consulate. All Licensee employees shall be physically able to do their assigned work and shall be free from communicable diseases. 8.4. The Licensee shall, at its own expense, provide health exams for each Licensee employee, at the start of this Agreement and at least once per year thereafter, as described in Exhibit C. The Licensee shall provide the results of these health exams for Consulate approval before any Licensee employee begins work. 8.5. Each Licensee employee must successfully complete a Consulate background investigation before that employee may access Consulate facilities. Once the investigation is complete, the Consulate's Regional Security Officer (RSO) will issue the employee an identity badge to be worn at all times while on Consulate premises. The RSO may deny access to any Licensee employee at any time. 8.6. When Licensee employees are absent, the Licensee shall provide adequately trained substitutes in order to maintain quality operations at all times. However, these substitutes must also have successfully completed a Consulate background investigation. Therefore, it is recommended that the Licensee maintain a core staff that has been previously cleared to work at the Consulate that can be available to work or be on standby. 8.7. Upon termination of this agreement, or when a Licensee employee resigns, the Licensee is responsible for ensuring that identity badges are returned to the Consulate. 8.8. The Licensee's employees shall wear a distinctive item of clothing when on duty, such as a badge, cap, shirt, or uniform. In addition, each Licensee employee shall wear a legible nameplate.

The parties agree and acknowledge that Licensee's continued control of the Station is an essential element of the continuing validity and legality of this Agreement. Accordingly, the Manager of the Station shall be employed and paid by Licensee, report solely to, and be accountable solely to, Licensee and shall direct, subject to Licensee's exclusive oversight and control, the day-to-day operations of the Station. Licensee shall employ and pay such other full-time personnel, or equivalent thereof (not less than one), as Licensee determines may be necessary to fulfill its obligations as a licensee under the Communications Act and the rules and regulations of the FCC.

  • Newly Hired Employees All employees hired to an insurance eligible position must make their benefit elections by their initial effective date of coverage as defined in this Article, Section 5C. Insurance eligible employees will automatically be enrolled in basic life coverage. If employees eligible for a full Employer Contribution do not choose a health plan administrator and a primary care clinic by their initial effective date, and do not waive medical coverage, they will be enrolled in a Benefit Level Two clinic (or Level One, if available) that meets established access standards in the health plan with the largest number of Benefit Level One and Two clinics in the county of the employee’s residence at the beginning of the insurance year. If an employee does not choose a health plan administrator and primary care clinic by their initial effective date, but was previously covered as a dependent immediately prior to their initial effective date, they will be defaulted to the plan administrator and primary care clinic in which they were previously enrolled.

  • Shift Employees Employees who work rotating shift patterns or those who work qualifying shifts shall be entitled, on completion of 12 months employment on shift work, to up to an additional 5 days annual leave, based on the number of qualifying shifts worked. The entitlement will be calculated on the annual leave anniversary date. Qualifying shifts are defined as a shift which involves at least 2 hours work performed outside the hours of 8.00am to 5.00pm, excluding overtime.   • Company Employees Each Party shall not, directly or indirectly solicit for employment, any employee of the other Party who has been directly involved in the performance of this Agreement during the Term and for one year after the earlier of the termination or expiration of this Agreement or the termination of such individual's employment, with the other Party.   • Contractor’s Employees and Subcontractors (a) Contractor shall only disclose PII to Contractor’s employees and subcontractors who need to know the PII in order to provide the Services and the disclosure of PII shall be limited to the extent necessary to provide such Services. Contractor shall ensure that all such employees and subcontractors comply with the terms of this DPA. (b) Contractor must ensure that each subcontractor performing functions pursuant to the Service Agreement where the subcontractor will receive or have access to PII is contractually bound by a written agreement that includes confidentiality and data security obligations equivalent to, consistent with, and no less protective than, those found in this DPA. (c) Contractor shall examine the data security and privacy measures of its subcontractors prior to utilizing the subcontractor. If at any point a subcontractor fails to materially comply with the requirements of this DPA, Contractor shall: notify the EA and remove such subcontractor’s access to PII; and, as applicable, retrieve all PII received or stored by such subcontractor and/or ensure that PII has been securely deleted and destroyed in accordance with this DPA. In the event there is an incident in which the subcontractor compromises PII, Contractor shall follow the Data Breach reporting requirements set forth herein. (d) Contractor shall take full responsibility for the acts and omissions of its employees and subcontractors. (e) Contractor must not disclose PII to any other party unless such disclosure is required by statute, court order or subpoena, and the Contractor makes a reasonable effort to notify the EA of the court order or subpoena in advance of compliance but in any case, provides notice to the EA no later than the time the PII is disclosed, unless such disclosure to the EA is expressly prohibited by the statute, court order or subpoena.

  • Other Employees Except as may be required in the performance of Employee’s duties hereunder, Employee shall not cause or induce, or attempt to cause or induce, any person now or hereafter employed by the Company or any of its affiliates to terminate such employment. This obligation shall remain in effect while Employee is employed by the Company and for a period of one (1) year thereafter.
