Licensee’s Cooperation Sample Clauses

Licensee’s Cooperation. Licensee shall use reasonable commercial efforts to cooperate with the County concerning construction, installation and testing activities pertaining to any portion of the County Network, whether used by the County, Licensee, or a third party. The County shall provide Licensee with reasonable advance notice, in writing, of the necessity for any such cooperation.

Licensee’s Cooperation. At Licensor’s request, Licensee shall reasonably cooperate with the prosecution of the Licensor Patents. Licensor shall give Licensee the opportunity to discuss and comment on the matter, it being understood that Licensor shall have the right to ultimately decide on all steps to be taken, and shall be solely responsible, for the maintenance, prosecution or extension of the Licensor Patents.

Licensee’s Cooperation. Licensee will cooperate fully, will provide such technical assistance, and will execute such papers and instruments as may reasonably be required to assist Axia and its counsel in securing additional intellectual property protection for the Technology, including, but not limited to, the preparation, filing, prosecution and maintenance of patents protecting Developments, including, but not limited to, requiring its employees to execute such papers and instruments.

Licensee’s Cooperation. Licensee agrees to cooperate with Licensor in facilitating control by Licensor or its designee of the nature and quality of the services rendered and goods sold or used by Licensee in connection with the ZOOM Marks and the Licensed Goods and Services, to permit reasonable inspection of Licensee’s operations, and to supply Licensor or its designee with specimens of all uses of the ZOOM Marks upon request. Licensee shall comply with all Applicable Laws and regulations and obtain all appropriate governmental approvals relating to the sale or manufacture of goods and the sale or rendering of services by Licensee under the ZOOM Marks. Licensor shall reasonably cooperate with Licensee where appropriate and as requested to facilitate Licensee’s compliance with all Applicable Laws relating to the sale or manufacture of goods and the sale or rendering of services by Licensee under the ZOOM Marks.

Licensee’s Cooperation. At Licensor's request, Licensee shall execute any documents reasonably required by the Licensor to confirm Licensor's ownership of all rights in and to the Licensed Technologies in the Territory and the respective rights of Licensor and Licensee pursuant to this Agreement,. Licensee shall cooperate with Licensor in connection with the filing and prosecution of applications to register the Licensed Technologies to Licensor subject to the terms hereof.

Licensee’s Cooperation. If Axia should initiate an infringement action to enforce the Licensed Patent or a Licensed Trademark, Licensee will fully cooperate with, and will supply all assistance reasonably requested by, Axia. Axia will bear the reasonable expenses incurred by Licensee in providing such assistance and cooperation as is requested pursuant to this Paragraph 11(d).

Licensee’s Cooperation. Licensee shall, at Licensee's own cost and expense, abide by all requirements which Licensor may reasonably prescribe for the proper protection and functioning of the Building Systems and the furnishing of the Building Services; provided that Licensor agrees not to enforce such requirements against Licensee in a discriminatory manner. Licensee also shall cooperate with Licensor in any energy or water conservation effort. At Licensor's election, Licensor shall furnish and install all replacement lighting tubes, lamps, bulbs and ballasts required in the Premises, and Licensee shall pay to Licensor or Licensor's designated contractor, upon demand, the then established reasonable charges of Licensor or said contractor, as the case may be.

Licensee’s Cooperation. If Licensee requests Support hereunder, Licensee shall cooperate with Licensor in all aspects of such Support in order to facilitate Licensor providing telephone, on line and/or on site assistance to Licensee, including without limitation providing Licensor with information by telephone, documentation (if necessary), access to Licensee's computer system, and implementation (when feasible). Licensee acknowledges that the Software are trade secrets and confidential information of Licensor. Neither the Software nor any physical media containing the Software may be used, copied, disclosed, broadcast, sold, relicensed, distributed or otherwise published by Licensee except as expressly permitted by this Contract. Licensee shall use reasonable efforts to maintain the confidential nature of the Software Products.

Licensee’s Cooperation. Licensee agrees to cooperate fully with Licensor, at all times, in abiding by all regulations and requirements which Licensor may prescribe for the proper functioning and protection of all utilities and services reasonably necessary for the operation of the Premises or the Building. Licensor and its contractors shall have free access to any and all mechanical installations in the Premises, and Licensee agrees that there shall be no construction of partitions or other obstructions which might interfere with the moving of the servicing equipment of Licensor to or from the enclosures containing said installations. Licensee further agrees that neither Licensee nor its employees, agents, licensees, invitees or contractors shall at any time tamper with, adjust or otherwise in any manner adversely affect Licensor's mechanical installations in the Premises or the Building.

Licensee’s Cooperation. MicroPact's performance depends upon Licensee's timely and effective cooperation in connection with the Professional Services, including providing MicroPact with reasonable facilities, timely and sufficient access to appropriate data, information, and appropriately skilled Licensee personnel, and prompt responses to questions and requests. MicroPact will not be liable for any failure or delays in performing the Professional Services to the extent that the failure or delay is caused by Licensee's failure to cooperate. Unless otherwise specified in an SOW or Quote (as applicable), MicroPact may rely upon the accuracy and completeness of data, material, and other information furnished by Licensee, without any independent investigation or verification. Should the data contain errors or inaccuracies, Licensee shall be responsible for the time it requires for MicroPact’s consultants to expend to resolve the identified errors or issues.
