Limitations on Outside Activities. During Executive’s employment with the Company, Executive shall not engage in any activity that conflicts with or is detrimental to the Company’s best interests, as determined by the Company in its sole discretion, and Executive will devote his full business time, ability, knowledge and attention to the Company’s business affairs and interests. Except for activities expressly authorized by the prior written approval of the CEO during his employment, Executive will not: (a) engage in any business activities other than on behalf of the Company; (b) serve as an officer, general partner, or member in any for-profit corporation, partnership or firm; or (c) directly or indirectly invest in, participate in, or acquire an interest in any entity engaged in a similar or competing business, except that Executive may make passive investments in the publicly traded stock of any entity whose securities are listed on a public exchange, provided that Executive does not acquire more than one percent of the outstanding publicly traded shares. Nothing in this section precludes Executive from engaging in charitable, educational, or other civic or non-profit activities, if those activities do not interfere with Executive’s duties to the Company or otherwise reflect negatively upon the Company.

Limitations on Outside Activities. Nothing in this Agreement shall preclude the Executive from devoting reasonable time and attention to (i) serving, with the approval of the Company’s Board of Directors, which shall not be unreasonably withheld, as a director, trustee or member of any committee of any organization, (ii) engaging in charitable and community activities and (iii) managing his personal investments and affairs; provided that such activities do not involve any material conflict of interest with the interests of the Company or, individually or collectively, interfere materially with the performance by the Executive of his duties and responsibilities under this Agreement. Notwithstanding the foregoing and except as expressly provided herein, during the Employment Period, the Executive may not accept employment with any other individual or entity, or engage in any other venture which is directly or indirectly in conflict or competition with the business of the Company.

Limitations on Outside Activities. During the term of this Agreement, Employee shall devote his best efforts, full energies, abilities and productive time to the performance of his duties under this Agreement and shall not, without Employer's prior written consent, render to others services of any kind for compensation, or engage in any other business activities that would materially interfere with the performance of his duties under this Agreement.

  • LIMITATIONS ON ACTIVITIES Anything else in this Agreement to the contrary notwithstanding, the Advisor shall refrain from taking any action which, in its sole judgment made in good faith, would (a) adversely affect the status of the Company as a REIT, (b) subject the Company to regulation under the Investment Company Act of 1940, as amended, (c) violate any law, rule, regulation or statement of policy of any governmental body or agency having jurisdiction over the Company, the Shares or its other securities, or (d) not be permitted by the Articles of Incorporation or Bylaws, except if such action shall be ordered by the Board, in which case the Advisor shall notify promptly the Board of the Advisor’s judgment of the potential impact of such action and shall refrain from taking such action until it receives further clarification or instructions from the Board. In such event the Advisor shall have no liability for acting in accordance with the specific instructions of the Board so given. Notwithstanding the foregoing, the Advisor, its directors, officers, employees and stockholders, and the directors, officers, employees and stockholders of the Advisor’s Affiliates shall not be liable to the Company or to the Board or Stockholders for any act or omission by the Advisor, its directors, officers, employees or stockholders, or for any act or omission of any Affiliate of the Advisor, its directors, officers, employees or stockholders, except as provided in Section 5.02 of this Agreement.

In such event, the Advisor shall have no liability for acting in accordance with the specific instructions of the Board so given.
