LIMITED SCOPE OF AUTHORITY. 4.1 The Recruiter shall not make or enter into any contracts or commitments or incur any liability for or on behalf of the Client and shall not negotiate any terms for a contract of employment with Candidates. The Recruiter shall explain the scope of its services to each Candidate and make clear that it has no authority or ability to negotiate or enter into any contracts on behalf of the Client. 4.2 The Recruiter shall not produce any marketing material for the Client or use the Client's name, logo or trade marks on any marketing material for the Vacancy without the prior written consent of the Client. The Recruiter shall not, without the Client's prior written consent, make or give any representations, warranties or other promises concerning the job opportunity which are not contained in the Proposal or the Client's marketing material.

The Recruiter shall not, without the Client's prior written consent, make or give any representations, warranties or other promises concerning the job opportunity which are not contained in the Proposal or the Client's marketing material. 4.3 Upon successful placement of a candidate with the Client, the Recruiter is granted a limited, non-exclusive, and non-transferable right to use the Client's name, logo, and trademark for marketing and promotional purposes. The Recruiter may use the Client's name, logo, and trademark in their advertising materials in perpetuity, to showcase the Client as a satisfied customer and demonstrate their professional experience. This includes, but is not limited to, the Recruiter's website, social media accounts, marketing campaigns, presentations, and other promotional materials. The Recruiter agrees to use the Client's name, logo, and trademark in a manner consistent with the Client's branding guidelines, if provided by the Client. The Recruiter will make commercially reasonable efforts to ensure that the usage of the Client's name, logo, and trademark is accurate and does not misrepresent the nature of the relationship between the parties. Both parties acknowledge that this usage agreement does not grant the Recruiter any ownership rights or intellectual property rights over the Client's name, logo, or trademark. The Client retains all rights, title, and interest in their name, logo, and trademark.
LIMITED SCOPE OF AUTHORITY. In the performance of the duties set out in Section II and Exhibit A and subject to Section IV, Consultant will be deemed an independent contractor of the County, and not an employee. The scope of Consultant’s authority as an agent of the County includes only the authority reasonably necessary to perform the duties set out in Section II and Exhibit A and no more. In performing under this contract, Consultant may ride in a vehicle owned and operated by an employee of the County or one of the County’s radio vendors, such as Black & Xxxxxx or Motorola.
LIMITED SCOPE OF AUTHORITY. 3.1 Shippit does not grant authority to the Partner, and the Partner must not hold itself out as having authority, or permit any person to hold itself out, as being authorised to bind Shippit in any way. The Partner must not do any act which might reasonably create the impression that the Partner is so authorised. 3.2 The Partner must: (a) disclose to each Prospective Client that it is a referral agent for Shippit and that it has no authority or ability to negotiate or vary the Services or the terms of the Services or enter into any contract on behalf of Shippit; (b) not negotiate with Prospective Clients any terms for the provision of Services by Shippit; (c) not make or enter into any contracts or commitments or incur any liability for or on behalf of Shippit, including for the provision of the Services or the price for them; and (d) not, without the prior written approval of Shippit make or give any representations, warranties or other promises concerning the Services.

  • Scope of Authority Committee meetings will be used for communications between the parties, to share information and to address concerns. The committee will have no authority to conduct any negotiations or modify any provision of this Agreement. The committee’s activities and discussions will not be subject to the grievance procedure in Article 30.

  • Limitation of Authority No person is authorized to make any representations concerning the Funds or the Shares except those contained in the Prospectus of each Fund and in such printed information as the Distributor may subsequently prepare. No person is authorized to distribute any sales material relating to any Fund without the prior written approval of the Distributor.

  • Reservation of Authority Nothing in this subpart shall limit the authority of the Secretary to take action to enforce conditions or violations of law, including actions necessary to prevent evasions of this subpart.

  • Evidence of Authority The Custodian shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper believed by it to be genuine and to have been properly executed by or on behalf of the Fund. The Custodian may receive and accept a certified copy of a vote of the Board of Directors of the Fund as conclusive evidence (a) of the authority of any person to act in accordance with such vote or (b) of any determination or of any action by the Board of Directors pursuant to the Articles of Incorporation as described in such vote, and such vote may be considered as in full force and effect until receipt by the Custodian of written notice to the contrary.

  • CERTIFICATE OF AUTHORITY The Trust, the Adviser and the Sub-Adviser shall furnish to each other from time to time certified copies of the resolutions of their Boards of Trustees/Directors or executive committees, as the case may be, evidencing the authority of officers and employees who are authorized to act on behalf of the Trust, a Fund Account, the Adviser and/or the Sub-Adviser.

  • Grant of Authority As of the Effective Date, GlobalSign hereby grants to Subscriber the authority for the term set forth in Section 7 to use the enclosed Digital Certificate to create Digital Signatures or to use the Digital Certificate in conjunction with Private Key or Public Key operations.
