Limits on Responsibility. At no point, and under no circumstances, is Go Golf Tours (Scotland Junior Golf Invitational) responsible for payments or costs relating to external services such as flights, accommodations, services, car service, or any other part of travel that was booked and paid for externally to Go Golf Tours (Scotland Junior Golf Invitational). Go Golf Tours (Scotland Junior Golf Invitational) is not obligated to alter any trip itinerary or suspend a trip’s commencement for any reason that prevents you from joining a trip as planned.

Limits on Responsibility. None of the Collateral Manager, its Affiliates and any of their respective directors, officers, agents, stockholders, members, partners or employees shall be responsible for any action or inaction of the Issuer or the Trustee in following or declining to follow any advice, recommendation or direction of the Collateral Manager. None of the Collateral Manager, its Affiliates and any of their respective directors, officers, stockholders, agents, members, partners or employees shall be liable to the Issuer, the Trustee, the Preference Share Paying Agent, the Noteholders, the Combination Securityholders, the Preference Shareholders, the Initial Purchaser or any other Person for any expenses, losses, claims, damages, judgments, assessments, charges, demands, costs or other liabilities (collectively, Liabilities) incurred by the Issuer, the Trustee, the Preference Share Paying Agent, the Noteholders, the Combination Securityholders the Preference Shareholders, the Initial Purchaser or any other Person that arise out of or in connection with the performance by the Collateral Manager of its duties hereunder or the terms of the Indenture applicable to the Collateral Manager or for any decrease in the value of the Collateral, except by reason of acts or omissions constituting bad faith, willful misconduct or gross negligence in the performance, or reckless disregard of the obligations of the Collateral Manager hereunder or under the Indenture. The matters described in the immediately preceding sentence are collectively referred to for purposes of this Section 5 as

  • Union Responsibility The Union will attend to any necessary documentation required as a result of a change in the designated institution.

  • For Non-Responsibility The Bidder agrees that if it is found by the State that the Bidder’s responses to the Vendor Responsibility Questionnaire were intentionally false or intentionally incomplete, on such finding, the Commissioner may terminate the Contract. Upon written notice to the Contractor, and a reasonable opportunity to be heard with appropriate OGS officials or staff, the Contract may be terminated by the Commissioner or his or her designee at the Contractor’s expense where the Contractor is determined by the Commissioner or his or her designee to be non-responsible. In such event, the Commissioner or his or her designee may complete the contractual requirements in any manner he or she may deem advisable and pursue available legal or equitable remedies for breach. In no case shall such termination of the Contract by the State be deemed a breach thereof, nor shall the State be liable for any damages for lost profits or otherwise, which may be sustained by the Contractor as a result of such termination.

  • Vendor Responsibility The Department of Transportation has undertaken an affirmative review of the proposed consultant’s responsibility in accordance with the applicable standards outlined in Comptroller’s Bulletin No. G-221, and based upon such review, reasonable assurance that the proposed contractor is responsible has been determined.

  • CAISO Responsibility The Parties acknowledge that the CAISO is responsible for the efficient use and reliable operation of the CAISO Controlled Grid consistent with achievement of planning and Operating Reserve criteria no less stringent than those established by the Western Electricity Coordinating Council and the North American Electric Reliability Corporation and further acknowledges that the CAISO may not be able to satisfy fully these responsibilities if the Participating Generator fails to fully comply with all of its obligations under this Agreement.

  • Repair Responsibility Builder will repair only cracks exceeding 1/8 inch in width, one time only, during the first year of the Limited Warranty period.

  • CONTRACTOR RESPONSIBILITY PROVISIONS For the purpose of these provisions, the term contractor is defined as any person, including, but not limited to, a bidder, offeror, loan recipient, grantee or lessor, who has furnished or performed or seeks to furnish or perform, goods, supplies, services, leased space, construction or other activity, under a contract, grant, lease, purchase order or reimbursement agreement with the Commonwealth of Pennsylvania (Commonwealth).
