Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition, reasonable wear and tear excepted, all of the Vehicles in accordance with each Lessee’s respective ordinary business practices with respect to all other vehicles owned thereby and shall use its best efforts to maintain the Program Vehicles as Group IV Vehicles that are eligible under a Eligible Vehicle Disposition Program and the Non-Program Vehicles as Group IV Vehicles that are Eligible Vehicles, in each case except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Series 2007-1 Letter of Credit Provider under this Agreement or the likelihood of repayment of its obligations hereunder, and, from time to time, make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles;
Maintenance of the Vehicles. AESOP Leasing will maintain or cause to be maintained in good repair, working order, and condition all of the Vehicles leased under the AESOP I Operating Lease, except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Lender under this Agreement or the interests of the Secured Parties under the Indenture or the likelihood of repayment of the Loans made hereunder. From time to time AESOP Leasing will make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles leased under the AESOP I Operating Lease.
Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition all of the Vehicles leased by the Lessee in accordance with its ordinary business practices with respect to all other vehicles owned by it, except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Lessor under this Agreement, the interests of the Lender under the AESOP I Finance Lease Loan Agreement or the interests of the Secured Parties under the Indenture or the likelihood of repayment of the Loans. From time to time the Guarantor and the Lessee will make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles. The Guarantor and the Lessee shall maintain good, legal and marketable title to, or a valid lease-hold interest in, all of its assets, free and clear of all Liens except for Permitted Liens, and except to the extent sold or otherwise disposed of in accordance with this Agreement or any of the other Related Documents, and except to the extent no Material Adverse Effect could result.
Maintenance of the Vehicles. (i) Maintain and cause to be maintained in good repair, working order, and condition all of the Vehicles in accordance with its ordinary business practices with respect to all other vehicles owned by it and will use commercially reasonable efforts to maintain each such Vehicle that is a Program Vehicle as an eligible vehicle under the related Manufacturer Program, except in each case to the extent that any such failure to comply with such requirements is not reasonably likely to, in the aggregate, materially adversely affect the interests of the Lessor, the Master Collateral Agent, the Group I Noteholders or the Trustee in, to and under this Lease, the Master Collateral Agency Agreement and its supplements and addenda, the Indenture and the Group I Supplements then in effect or the likelihood of the Lessee’s payment of its obligations hereunder and (ii) perform (subject to any applicable grace periods) all of its obligations as Servicer as set forth in the Master Collateral Agency Agreement.
Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition all of the ZVF Vehicles in accordance with its ordinary business practices with respect to all other vehicles owned by it and used in its car sharing business, except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Lessor under this Agreement or the interests of the Noteholders under the Indenture or the likelihood of repayment of the Notes. From time to time the Lessee will make or cause to be made all appropriate repairs, renewals, and replacements with respect to the ZVF Vehicles.
Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition, reasonable wear and tear excepted, all of the Vehicles in accordance with each Lessee’s respective ordinary business practices with respect to all other vehicles owned thereby and shall use its best efforts to maintain the Program Vehicles as Group [TBD] Vehicles that are eligible under a Eligible Vehicle Disposition Program and the Non-Program Vehicles as Group [TBD] Vehicles that are Eligible Vehicles, in each case except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Series [TBD] Letter of Credit Provider under this Agreement or the likelihood of repayment of its obligations hereunder, and, from time to time, make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles;
Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition all of the Vehicles leased hereunder by such Lessee in accordance with its ordinary business practices with respect to all other vehicles owned by it, except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of the Lessor under this Agreement, the interests of the Lender under the AESOP I Finance Lease Loan Agreement or the interests of the Secured Parties under the Indenture or the likelihood of repayment of the Loans. From time to time the Finance Lease Guarantor and each Lessee will make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles.
Maintenance of the Vehicles. (i) Maintain and cause to be maintained in good repair, working order, and condition all of the Vehicles in accordance with its ordinary business practices with respect to all other vehicles owned by it and will use its best efforts to maintain each such Vehicle as an eligible vehicle under the related Repurchase Program, except in each case to the extent that any such failure to comply with such requirements is not reasonably likely to, in the aggregate, materially adversely affect the interests of the Lessor, the Master Collateral Agent, the Trustee or the NFC Collateral Agent under this Agreement, the Master Collateral Agency Agreement, the Indenture and Series 1996-2 Supplement, or the NFC Collateral Agreement or the likelihood of the Lessee's payment of Liabilities; and (ii) perform all of its obligations as Servicer as set forth in the Master Collateral Agency Agreement.
Maintenance of the Vehicles. The Lessee, at its own expense, (a) will cause the Vehicles to be maintained in the condition when first delivered new from the Manufacturer thereof subject to normal wear and tear, (b) will cause the Vehicles to be maintained in accordance with customary industry standards and in all events in a non-discriminatory manner with the standards the Lessee or its Affiliates use in the maintenance of similar vehicles owned or leased by it, and in good working order and repair, (c) will comply with all governmental rules and regulations applicable to the titling, registration, use, repair, maintenance, operation and rental of the Vehicles (including obligations of the Lessor or the Nominee to become licensed as a dealer or vehicle lessor under applicable law), and (d) will comply with all Manufacturer’s instructions, standards and guidelines and all insurance standards applicable, if any, to the maintenance and operation of the Vehicles.
Maintenance of the Vehicles. Maintain and cause to be maintained in good repair, working order, and condition all of the Vehicles subleased by such Sublessee in accordance with its ordinary business practices with respect to all other vehicles owned or leased by it, except to the extent that any such failure to comply with such requirements does not, in the aggregate, materially adversely affect the interests of AESOP Leasing under the AESOP I Operating Lease, the interests of the Sublessor under this Agreement, the interests of the Lender under the AESOP I Operating Lease Loan Agreement or the interests of the Secured Parties under the Indenture or the likelihood of repayment of the Loans. From time to time such Sublessee will make or cause to be made all appropriate repairs, renewals, and replacements with respect to the Vehicles. Such Sublessee shall maintain good, legal and marketable title to, or a valid leasehold interest in, all of its assets, free and clear of all Liens except for Permitted Liens, and except to the extent sold or otherwise disposed of in accordance with the AESOP I Operating Lease and except to the extent no Sublease Material Adverse Effect could result.
