Manufacturing Materials. Manufacturing materials such as models, samples, tools, gauges, drawings and such like that are made available to the Supplier by Us or are manufactured according to our specifications must not, without our consent, be sold, pledged or otherwise passed on to third parties or used for third parties. The same shall apply to any items manufactured using such manufacturing materials. These items may be supplied only to Us unless We have agreed in writing to their use for other purposes. On completion of our Orders, the manufacturing materials provided by Us or produced on our behalf shall be returned to Us without any special request from Us.

Manufacturing Materials. COPHARMA shall be responsible for planning and ordering an adequate supply of other components meeting the Specifications that are necessary to manufacture PRODUCT. Further, COPHARMA shall provide facilities to adequately store and maintain all raw materials, starting materials, reagents, intermediates and PRODUCT within Specifications. COPHARMA shall ensure that, to the extent COPHARMA and SERAGEN have agreed upon a price for such services, appropriate diligence, caution and management are taken in COPHARMA'S storage and control of key cell lines and other reagents owned by SERAGEN which are directly related to the manufacture and testing of ONTAK, such as, but not limited to, ***.
Manufacturing Materials. In the event that any material or substance used in, or used to facilitate, the manufacturing process (including without limitation, abrasives, cleaning agents, lubricating oils, mold release compounds, maskants, adhesives, blasting media, and dye penetrant) could reasonably be expected to be present on or in the Product as a residue or impurity, and not by design or intent, then Supplier shall establish and maintain written procedures for the use and removal of such manufacturing material to ensure that it is removed or limited to an amount that does not adversely affect the quality of the Product and Supplier shall document all such removal or reduction activities.

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Product Specifications The Company agrees that all Products sold to Xxxx hereunder shall conform to the respective specifications set forth on Schedule A or to such other specifications as are from time to time agreed upon by the Parties.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • SALES MATERIALS 4.1 LIFE COMPANY will furnish, or will cause to be furnished, to TRUST and ADVISER, each piece of sales literature or other promotional material in which TRUST or ADVISER is named, at least ten (10) Business Days prior to its intended use. No such material will be used if TRUST or ADVISER objects to its use in writing within seven (7) Business Days after receipt of such material.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Offering Materials Neither the Company nor any of its directors and officers has distributed and none of them will distribute, prior to each Closing Date, any offering material in connection with the offering and sale of the Securities other than the Time of Sale Disclosure Package.

  • Advertising Materials 1. Open Ecosystem Partner may add its own material to the information supplied by either indirectly by Distributor or directly by SAP, solely for the purposes of Open Ecosystem Partner's own marketing activities. Any material which is added must be clearly marked as Open Ecosystem Partner's material.

  • Manufacturing Rights Manufacturing Rights will be governed by Attachment 6.

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time.
