Quality of the Product. The quality of the Product should correspond to the technical characteristics, agreed in the Appendix #1 to the Agreement and is confirmed by the quality certificate issued from the plant-manufacturer and the consignor of the Product – [Limited liability company Usoliye-Sibirskiy Silicon, Russian Federation, 665462, Irkutsk region, Usoliye-Sibirskoye town, territory of LLC “Usoliyekhimprom”]. The country of origin of the Product: Russian Federation.
Quality of the Product. The PRODUCT to be delivered by a third party manufacturer in the name of Nitec AG to Merck hereunder shall be finished and released goods, be free from defects, conform to the analysis certificates which are delivered with the PRODUCT and will be in accordance with the SPECIFICATIONS for the PRODUCT. Nitec assures that the third party manufacturer at any time complies with the requirements of the Betriebsverordnung für pharmazeutische Unternehmer (PharmBetrV) and of the EC-Guideline of Good Manufacturing Practice for medicinal products, Part I: Basic requirements for medicinal products (GMP) and that the quality of the PRODUCT complies with the MARKETING AUTHORIZATION dossier.
Quality of the Product. 9.1 Geneva hereby warrants that no Product constituting or being a part of any shipment made by Geneva pursuant hereto shall at the time of any such shipment be adulterated or misbranded within the meaning of the Act, or regulations promulgated thereunder, as such law or regulation is constituted and in effect at the time of any such shipment. Notwithstanding the foregoing, Geneva makes no misbranding representation with respect to Buyer's promotional activities.
9.2 The parties hereto agree to mutually cooperate with each other, as required by pertinent provisions of the Act and the regulations promulgated thereunder, in connection with any recalls, complaints or adverse reactions relating to the Product manufactured and sold hereunder. In the event of any recalls relating to the Product, all costs associated therewith shall be borne by the party whose action or inaction causes such recall. For purposes of this Section 9.2, the cost of any recall shall be deemed to be any administrative and shipping expenses incurred by Buyer's customers and reimbursed by Buyer, unless otherwise agreed in writing by the parties hereto.
9.3 GENEVA HEREBY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Except as otherwise specifically provided in this Agreement, Buyer assumes all risks and liabilities whatsoever resulting from the transportation, handling, storage, use and disposal of the Products, whether used singly or in combination with other substances.
9.4 a. Product quality complaints received by the Buyer will be forwarded upon receipt to a quality assurance representative to be designated by Geneva. It is Geneva's responsibility to investigate these complaints or forward such complaints to the manufacturer, if applicable, and to provide Buyer with a follow-up report and required corrective actions, if any.
Quality of the Product. The PRODUCT to be delivered by a third party manufacturer in the name of Nitec AG to Merck hereunder shall be finished and released goods, be free from defects, conform to the analysis certificates which are delivered with the PRODUCT and will be in accordance with the SPECIFICATIONS for the PRODUCT and end-released by the EU Qualified Person of Nitec or the manufacturer. Nitec assures that all third party manufacturer at any time comply with the requirements of the Arzneimittelbetriebsordnung (AMBO) and of the EC-Guideline of Good Manufacturing Practice for medicinal products, Part I: Basic requirements for medicinal products (GMP) and that the quality of the PRODUCT complies with the MARKETING AUTHORIZATION dossier. Further details concerning manufacturing, specifications and the supply relationship shall be set forth in the Quality/Technical Agreement to be concluded in due course.
Quality of the Product. 13. 1 Vivier hereby warrants that no Product constituting or being a part of any shipment made by Vivier pursuant hereto shall at the time of any such shipment be adulterated or misbranded within the meaning of the Act or TPP, or regulations promulgated thereunder, as such law or regulation is constituted and in effect at the time of any such shipment. Notwithstanding the foregoing, Vivier makes no misbranding representation with respect to Buyer's promotional activities.
Quality of the Product. 8.1 The Product manufactured and delivered by AVECIA to RPI under Clause 7 above shall conform to the Product Specification for such Product.
8.2 RPI shall examine all Product delivered to it pursuant to this Agreement in accordance with the methods of analysis set out in the Quality Agreement for such Product. RPI shall notify AVECIA of any failure of the Product to meet the Product Specification within [ * ] days of receipt of the relevant Product. RPI shall be entitled to reject any Product which does not meet the Product Specification ("Rejected Product")
8.3 (a) RPI will return any Rejected Product to AVECIA and, if AVECIA agrees with RPI's notification of failure, AVECIA shall replace the Rejected Product at no additional cost to RPI within [ * ] days of receiving notice from RPI under Clause 8.2 or on a new delivery date as mutually agreed to in writing by the Parties.
Quality of the Product. 6.1 The Products delivered by the Producer must meet the specification of the Trader, as stipulated in Clause 8 of this Agreement, and the Trader's detailed quality or food safety specifications (private standard) must be communicated to the Producer in writing upon signing this Agreement.
6.2 In the absence of private product standards or specifications, the parties may agree to use the gazetted NSI voluntary standard relating to the marketing and commercial quality control of specific Products.
6.3 All Products supplied under this Agreement shall be of Grade 1, 2, and 3 only and shall comply with the specifications as set by the Trader.
6.4 The Trader shall have the right to reject delivery if the Products do not comply with the stipulated requirements.
Quality of the Product i. Results for the service are dependant on the quality and content of metadata supplied by data providers to the NERC data discovery service. The NEODC is not responsible for this content and the accuracy of metadata therein, however, providers to the NERC DDS have to conform to certain metadata standards and content is regulated by the NERC Data Management Advisory Group. Representatives from the NEODC are part of this group and can help ensure consistent quality and content.
ii. Errors intrinsic to the original metadata provided to the NERC DDS are not the NEODC’s responsibility.
iii. NEODC does not guarantee the quality and accuracy of metadata provided to the NERC DDS.
iv. The NEODC will endeavour to act upon any reports of inaccuracies in metadata and will report these to the relevant bodies.
Quality of the Product i. Data for service 1 shall be provided in ENVISAT format. The quality of the extracted data is dependant on the quality of the original input data and the efficiency of the extraction performed by Xxxxxxxxx BEAM. Where issues are known to affect quality users will be notified as part of the service delivery. The NEODC will endeavour to ensure that data and software extractions are as accurate as possible within reason.
ii. Errors intrinsic to the original format datasets are not the NEODC’s responsibility.
iii. NEODC does not guarantee the quality and accuracy of derived data products.
iv. The NEODC will endeavour to act upon any reports of inaccuracies in derived data products.
Quality of the Product. 9.1 The PRODUCT manufactured by CONNETICS shall be manufactured in conformity with the specifications of the relevant regulatory authorities in the TERRITORY and all other applicable laws and regulations in the TERRITORY.
