Master Assignment Agreement. The Administrative Agent --------------------------- shall have received duly executed counterparts of the Master Assignment Agreement that, when taken together, bear the signatures of the US Borrower, each Increasing Term Lender and each Decreasing Term Lender that is not a Departing Lender, and the Master Assignment Agreement shall have become effective simultaneously with or prior to the effectiveness of the amendment and restatement of the Existing Credit Agreement on the Amendment and Restatement Date.
Master Assignment Agreement. Each of the parties hereto ---------------------------- hereby consents to the sales, assignments, purchases and assumptions provided for in paragraphs (a) and (b) of Section 5 of the Master Assignment Agreement, notwithstanding any 163 failure to comply with the requirement of Section 10.04(b) of the Existing Credit Agreement for the execution of an Assignment and Assumption Agreement, and agrees that each Decreasing Term Lender that is not a Departing Lender and each Increasing Term Lender shall be a party to this Agreement and, to the extent of the interests purchased by such Increasing Term Lender pursuant to such paragraphs or held by such Increasing Term Lender prior to the effectiveness of the Master Assignment Agreement, shall have the rights and obligations of a Term Lender under this Agreement. 164
Master Assignment Agreement. Client will from time to time refer Accounts to Professional for collection. Upon Acknowledgement of such Referral the Account shall become effective as an Assignment of such Account as though a separate written Assignment had been executed and delivered assigning such Account by Client to Professional. Professional may request additional Assignment forms for business purposes and Client agrees to sign such Assignment forms that are consistent with this Agreement. For valuable consideration received under this Agreement, and subject to the Termination and Cancellation provisions of this Agreement, Client grants, assigns and transfers and sets over all of Client’s rights, title and interest to the Accounts including but not limited to principal, interest, costs and fees to Professional, and authorizes Professional to enforce any of Client’s rights to compromise and settle said debts within Professional’s delegated authority, and to endorse and collect any money order, check or other instrument received in Client’s name for payment for said debts. Master Assignment Agreement. Borrowers will comply at all times with the provisions of the Master Assignment Agreement. Parent will contribute or otherwise transfer all spare parts Inventory to World Parts promptly after the acquisition thereof, in accordance with the Master Assignment Agreement.
Master Assignment Agreement. The Administrative Agent shall have received a Master Assignment Agreement duly executed and delivered by Xxxxx Fargo Bank, National Association, as existing administrative agent, evidencing that all Liens securing obligations under the Existing Credit Agreement will be assigned to the Administrative Agent and executed copies of any other assignment instruments from Xxxxx Fargo Bank, National Association, as existing administrative agent that are reasonably necessary to evidence of record the assignment of such Liens.
Master Assignment Agreement. Master Assignment Agreement by and between NVAL and SPI dated as of June 16, 1994 and is to be executed and delivered prior to the Closing Time pursuant to Section 6A hereof. A copy of the Master Assignment Agreement is attached as Exhibit F.
Master Assignment Agreement. SPI shall have, prior to the Closing Time, executed the Master Assignment Agreement and delivered such agreement to NVAL.
Master Assignment Agreement. On or before the Restatement Date, each of BCC, Company, Existing Administrative Agent, the Existing Lenders and the Lenders shall have executed and delivered the Master Assignment Agreement and, pursuant to the terms thereof, the assignment and assumption transactions contemplated thereby shall have occurred immediately prior to the effectiveness of this Agreement.
Master Assignment Agreement. On or before the Effective Date, each Existing Lender, each Lender, Borrowers, Canadian Subsidiary Guarantors and Administrative Agent shall have executed and delivered Administrative Agent a copy of a Master Assignment Agreement substantially in the form of Exhibit XXV hereto, with appropriate insertions, and all conditions to the effectiveness of such Master Assignment Agreement (other than the satisfaction of the condition in this subsection 4.1U) shall have been satisfied.
Master Assignment Agreement. The Administrative Agent shall have received a Master Assignment Agreement duly executed and delivered by JPMorgan Chase, as existing administrative agent, evidencing that all Liens securing obligations under the Existing Credit Agreement will be assigned to the Administrative Agent and executed copies of any other assignment instruments from JPMorgan Chase, as existing administrative agent that are reasonably necessary to evidence of record the assignment of such Liens.
