Spare Parts Inventory.
(a) Seller shall provide and include in the Purchase Price all spares and consumables necessary for the complete performance of the Work through Final Acceptance and through the Closing. Such spares and consumables shall be located at Site and immediately available to ensure all works, testing and reliability testing continues unimpeded by such unavailability of onsite spares and consumables.
(b) Seller shall prepare a proposed list of spare parts for the Work to be available one hundred eighty (180) days prior to the Guaranteed Substantial Completion Date. Seller shall submit the proposed inventory of spare parts to Buyer in a timely fashion so as to permit thirty

To ensure availability of spare parts in accordance with published lead time, spare parts provisioning maintains a modern, comprehensive requirements planning and inventory management system which is responsive to changes in Spirit’s demand, special support programs and engineering design. Organized on an engine model basis, this system is intended to maintain part availability for delivery to customers consistent with published lead times. A majority of parts in the spare parts inventory are continually controlled by an Automatic Forecasting and Ordering System. Those parts which do not lend themselves to automatic control due to supercedure, unusual usage or conversion requirements are under the direct manual control of Spares Planning personnel. As additional protection against changes in production lead time or unpredicted demand, certain raw materials are also inventoried. Successful inventory management is keyed to accurate requirements planning. In support of the requirements planning effort, a wide ranging data retrieval and analysis program is offered. This program concerns itself both with the customer logistics and technical considerations as follows: • Forecasts of life limited parts requirements are requested and received semi-annually from major customers. Based on the size of Spirit’s order, Spirit shall be considered a major customer. • Engine technical conferences are held frequently within IAE to assess the impact of technical problems on parts. • For a selected group of parts a provisioning conference system is offered which considers actual part inventory change, including usage and receipts, as reported monthly by participating customers. *****Confidential portions of the material have been omitted and filed separately with the Securities and Exchange Commission. 5.1.5 Packaging All material is packaged in general compliance with Air Transport Association of America (ATA) Specification No. 300.

Spare Parts Inventory. (a) Contractor shall provide and include in the Contract Price all spares and consumables necessary for the complete performance of the Work through Final Acceptance and through the Acceptance Period. Such spares and consumables shall be located at Site and immediately available to ensure all works, testing and reliability testing continues unimpeded by such unavailability of onsite spares and consumables.
(b) Contractor shall prepare a proposed list of spare parts for the Work to be available one hundred eighty (180) days prior to the Guaranteed Substantial Completion Date. Contractor shall submit the proposed inventory of spare parts to Company in a timely fashion so as to permit thirty (30) days for Company to review the list and for Company, in Company’s sole discretion, to procure such spare parts or, at Company’s option pursuant to a Change Order, to direct Contractor to procure such spare parts and have such spare parts delivered to the Site or cause such spare parts to be procured and delivered to the Site, to the extent practical, prior to the Guaranteed Substantial Completion Date. The proposed inventory of spare parts shall describe each component in detail, identify the manufacturer and supplier thereof and set forth the cost and lead time of such item. Upon the request of Company, Contractor shall meet with Company and its designees to discuss the proposed inventory of spare parts. If available, Company shall allow Contractor to use any spare parts owned by Company, but in no event shall Company be liable or shall Contractor be entitled to a Change Order in the event that the absence of any particular spare part or parts impacts completion of the Work.
(c) In the event Contractor uses Company’s spare parts, such spare parts shall be expeditiously replaced by Contractor at its sole cost and expense.
(d) Company does not warrant the condition, quality, suitability, absence of defects, fitness for any purpose or aspect of any Company spare part and if a Contractor uses any Company spare part, it does so at its own risk.
Spare Parts Inventory. (a) Developer shall provide and include in the Contract Price all spare parts and consumables necessary for the installation, startup and commissioning of the Facility and the complete performance of the Work through Final Acceptance. Such spare parts and consumables shall be located at the Site and immediately available to Developer, Contractor and any Subcontractors to ensure that all Work, including testing and commissioning activities continue unimpeded by the absence of such onsite spare parts and consumables. PacifiCorp shall not be liable in any way for Developer’s inability to achieve Substantial Completion or Final Acceptance due to lack of any spare parts or consumables and shall not be entitled to Change Order in respect of same as to change in Contract Price or Project Schedule.
(b) Developer shall submit to PacifiCorp not later than one hundred thirty five (135) days prior to the Substantial Completion Date a proposed list of spare parts and associated pricing for the first five (5) years of operation following Final Acceptance in accordance with Appendix O. Within thirty
Spare Parts Inventory. From the Effective Date until the Closing, Purchaser shall maintain inventory levels of spare parts of the Plants and any related support facilities, including equipment, tools, goods and supplies, in the ordinary course of business, and shall not engage in any adverse distinction or undue discrimination against the Plants, including, but not limited to, the build-up of Spare Parts Inventory to levels that are not consistent with practices at other generating facilities owned and operated by Purchaser.
Spare Parts Inventory. The TSI Contractor will be solely responsible for maintaining an adequate inventory of Equipment, spares and consumables as set forth in the RFP (individually, “Spare” and collectively, “Spares”). SRTA shall own each Spare upon payment by SRTA to TSI Contractor (except in the event the TSI Contractor elects to utilize the initial Spares inventory during the warranty period set forth in Section 6.2 of the RFP, in which case the TSI Contractor is responsible for funding the replenishment of the inventory levels to their original quantities at no additional cost to SRTA), although TSI Contractor shall bear the risk of loss pursuant to Section 22 (Risk of Loss) of the Contract. The TSI Contractor will turn over to SRTA upon termination of the Contract the remaining inventory of Spares.
Spare Parts Inventory. Prior to Closing, Jay Xxxomotive Group will amend its federal income tax returns for tax years 1994, 1995 and 1996, and will prepare and file its federal income tax return for 1997, to reflect the spare parts inventory adjustments, and the tax year allocations of those adjustments, made by Ernst & Young. If the Closing does not occur for any reason, Sunbelt Automotive Group and Boomxxxxxxx Xxxomotive Group will reimburse Jay Xxxomotive Group for the difference between (i) the interest paid by Jay Xxxomotive Group as a result of the allocation of the spare parts inventory adjustments to the 1994, 1995 and 1996 amended federal tax returns and (ii) the interest which would have been paid by Jay Xxxomotive Group if the spare parts inventory adjustments had all been allocated to Jay Xxxomotive Group's 1997 federal tax return.
Spare Parts Inventory. Agent will maintain a spare parts inventory at its cost, as detailed under Exhibit G, to support Customers. Accuray currently offer three (3) different Agent Spare Parts Kits, and Agent may select which Spare Parts Kit it wishes to purchase, provided, however, that Agent will maintain at least a Kit A for so long as there are two (2) CyberKnife Systems installed in the Territory, and a Kit B for so long as there are three (3) or more CyberKnife Systems installed in the Territory. Agent is willing to ship spare parts to locations outside the Territory as requested by Accuray, and Accuray will reimburse Agent for the direct cost of such activity.
