MEDIA AGENCIES Sample Clauses

MEDIA AGENCIES. If the Client is a Media Agency acting on behalf of an Advertiser: - The Media Agency shall, in its capacity as representative for an Advertiser, objectively and in accordance with the industry’s ethical rules assist the Advertiser with advertising brokering services; - The Media Agency hereby warrants that it has full authority to enter into agreements on behalf of the Advertiser; - The Media Agency shall only be compensated by the Advertiser in the manner agreed separately between the Media Agency and the Advertiser; - The Media Agency shall comply with any and all applicable rules, regulations, laws and policy, including relevant broadcastingregulations (e.g. MPRT).
MEDIA AGENCIES. If the Client is a Media Agency acting on behalf of an Advertiser: 6.1 such Media Agency shall, in its capacity as representative for an Advertiser, objectively and in accordance with the industry’s ethical rules assist the Advertiser with advertising brokering services; 6.2 such Media Agency hereby warrants that it has full authority to enter into agreements on behalf of the Advertiser; 6.3 such Media Agency shall only be compensated by the Advertiser in the manner agreed separately between the Media Agency and the Advertiser (all compensation, discounts (except handling discounts), results of negotiations, etc. obtained from VIASAT related to the Advertising Space shall inure entirely for the benefit of, and shall be credited to, the Advertiser); 6.4 such Media Agency shall comply with the applicable rules, regulations and laws currently in force and/or issued from time to time by OFCOM and the British Broadcasting Act.

  • Regulatory Agencies Nothing herein contained shall grant, or be construed to grant, PDC the right or authority to waive or release any rights, privileges, or obligations which Partnership may have federal or state laws or under rules, regulations or orders promulgated under such laws in reference to oil, gas and mineral operations, including the location, operation, or production of xxxxx, on tracts offsetting or adjacent to the Contract Area. With respect to operations hereunder, the Partnership agrees to release PDC from any and all losses, damages, injuries, claims and causes of action arising out of, incident to or resulting directly or indirectly from Operator's interpretation or application of rules, rulings, regulations, or orders of the Department of Energy or predecessor or successor agencies to the extent such interpretation or application was made in good faith. The Partnership further agrees to reimburse PDC for any amounts applicable to Partnerships share of production that PDC may be required to refund, rebate or pay as a result of such an incorrect interpretation or application.

  • Agencies All State Agencies may utilize and purchase under any state Centralized Contract let by the Commissioner, unless the Bid Documents limit purchases to specific State Agencies.

  • Audio Conferencing In lieu of any other rates and discounts, Customer will pay fixed per-minute per bridge rates ranging from $0.0095 to $0.3200 for the following Conferencing Services: Domestic Audio Conferencing: Fixed per-minute rates per participant for domestic Audio Conferencing calls originating and terminating in the U.S. Mainland, Alaska, Hawaii, Puerto Rico, and the U.S. Virgin Islands, based on method. Instant Replay Plus: Fixed per-minute per-participant rates for Instant Replay Plus usage using toll free number access and toll number access.

  • Procurement from UN Agencies Goods estimated to cost less than $100,000 equivalent per contract may be procured directly from Inter-Agency Procurement Services Office (IAPSO) in accordance with the provisions of paragraphs 3.1 and 3.9 of the Procurement Guidelines.

  • Media Relations 7.1 Elected officers or appointed committee chairpersons of the Union shall be allowed to speak or comment to the media while on duty provided they change into civilian clothes and provided further, that they do not purport to represent the views of the Department. The Chief's office shall be informed in advance, whenever possible, of such contact with the media. No member shall leave their duty or work station without specific prior approval of the Chief of the Department or authorized management official. Approval shall include consideration of the operating needs and work schedules of the Department or division to which the member is assigned.

  • By Agency Agency may terminate this Grant as follows: 18.2.1 At Agency’s discretion, upon 30 days advance written notice to Grantee; 18.2.2 Immediately upon written notice to Grantee, if Agency fails to receive funding, or appropriations, limitations or other expenditure authority at levels sufficient in Agency’s reasonable administrative discretion, to perform its obligations under this Grant; 18.2.3 Immediately upon written notice to Grantee, if federal or state laws, rules, regulations or guidelines are modified or interpreted in such a way that Agency’s performance under this Grant is prohibited or Agency is prohibited from funding the Grant from the Funding Source; or 18.2.4 Immediately upon written notice to Grantee, if Grantee is in default under this Grant and such default remains uncured 15 days after written notice thereof to Grantee.

  • System Agency will monitor Grantee for programmatic and financial compliance with this Contract and;

  • Public Notices The Parties agree that all notices to third parties and all other publicity concerning the transactions contemplated by this Agreement shall be jointly planned and coordinated and no Party shall act unilaterally in this regard without the prior approval of the others, such approval not to be unreasonably withheld.

  • OTHER AGENCIES Other tax supported agencies within the State of California who have not contracted for their own requirements may desire to participate in this contract. The Contractor is requested to service these agencies and will be given the opportunity to accept or reject the additional requirements. If the Contractor elects to supply other agencies, orders will be placed directly by the agency and payments made directly by the agency.

  • Publicity, Media and Official Enquiries 22.1 Without prejudice to the Authority’s obligations under the FOIA, neither Party shall make any press announcements or publicise the Contract or any part thereof in any way, except with the written consent of the other Party. 22.2 Both Parties shall take reasonable steps to ensure that their Personnel comply with clause 22.1.
