Media Authorization. HS shall provide Client with the specific material details for each media contract, including but not limited to the schedule and rates. Upon Client’s advance written approval of each media contract, HS shall be authorized to execute the approved contract(s) on behalf of Client. As reflected in Exhibit B, Client and HS have agreed that Client’s maximum monthly online media spend during the period of this Agreement is $7,500 per month, beginning after the 2nd month of the Agreement or the completion of Client’s website, whichever is later; Client may also expend funds on offline (traditional) media but no estimate for offline media spend is included in this Agreement Notwithstanding Client’s maximum monthly media budget reflected in Exhibit B, subject to the terms of any media contracts authorized by Client pursuant to this Agreement that may contain a non-cancellable period, and Client’s obligations pursuant to Section 2 c iii below, Client has complete control over the amount of the media spend budget including, without limitation, the option to decrease the monthly media budget during the period of this Agreement. However, without Client’s express written authorization to the contrary, the parties agree that the Client’s total online monthly media budget shall not exceed $7,500 in any given month, inclusive of all commissions to HS pursuant to Section 2.c.v below, taxes, fees and other expenses. HS shall on a monthly basis provide to Client reconciled “actual spends” versus “estimated spends,” and will, subject to the monthly and total spend restrictions above, either adjust the subsequent month’s media invoice or (when amounts are material) create a special invoice or credit. Upon request, Client shall sign an Authorization Letter consistent with the terms and conditions of this Agreement that documents HS’s right to act as the Client’s exclusive media buying agency. HS agrees that Client’s media spending pursuant to this Agreement shall be targeted to and focused on the Territory of this Agreement.
Media Authorization. I hereby consent to and authorize the photographing, interviewing, filming, and or recording of me and authorize Community Services Agency to use such photographs, interviews, videos and recording without compensation, for publicity, training and promotional purposes. I understand that I have the right to establish restrictions or limitations on my consent.

I grant TNC permission to take photographs and video recordings of me and to display, publish, or otherwise use any photographs, audio/video recordings, or any other media associated with the Activities, including any media which contains my image or likeness, for any purpose at TNC’s sole discretion. I also consent to the use of my name in connection with such images. I release, indemnify, and hold harmless TNC and its officers, directors, agents, and employees from any and all claims which may result at any time by reason of the use of my image and name, including, without limitation, claims of privacy. My heirs, executors, administrators, and assigns shall be bound by this consent and release.
