Modification of the Cloud Services. SISW shall have the right to modify the manner in which it provides the Cloud Services if SISW determines that such a modification is necessary or advisable, in SISW’s sole discretion. Should SISW reasonably determine that such a modification will materially impact Customer’s use of the Cloud Services, SISW will use commercially reasonable efforts to notify Customer prior to the implementation of the modification.

Modification of the Cloud Services. Enlighted may modify a Cloud Service at any time without degrading its functionality or security features. For current subscriptions, Enlighted may degrade the functionality of a Cloud Service or discontinue a Cloud Service only in case of (i) legal requirements; (ii) changes in the Cloud Services imposed by Enlighted’s Providers or subcontractors; (iii) the termination of Enlighted’s relationship with a provider of software and/or services used by Enlighted which are material for the provision of such Cloud Service; (iv) lack of Customer acceptance; and/or (v) security risks. Enlighted will notify the Customer of any material degradation of functionality or the discontinuation of a Cloud Service and the effective date at least 90 days prior to such change, and Customer may terminate the modified Cloud Service 30 days prior to the change effective date. In the event of such termination or discontinuation of a Cloud Service, Enlighted will refund any prepaid amounts for the applicable Cloud Service on a pro- rata basis for the remaining Service Term. Enlighted does not maintain prior versions of a Cloud Service. Unless otherwise agreed, Enlighted is not under any obligation to maintain prior versions of the Cloud Services and even if Customer requests, and Enlighted agrees, that a prior version of the Service be maintained for Customer’s use, no course of dealing will be established between the parties that would require Enlighted to consent to additional requests by Customer to maintain prior versions of the Cloud Services.

Related to Modification of the Cloud Services

  • Provision of the Services 6.1 The Service Provider shall, throughout the term of this Agreement, provide the Services to the Client in accordance with the terms and conditions of this Agreement. The Service Provider shall be responsible for ensuring that it complies with all statutes, regulations, byelaws, standards, codes of conduct and any other rules relevant to the provision of the Services.

  • MODIFICATION OF THE CONTRACT 1. Any modification of this contract or its annexes, including additions or deletions, shall require a supplementary written agreement concluded on the same terms as the contract. No oral agreement may bind the parties for that purpose.

  • New Services (a) From time to time during the term of this Agreement, either Party may request the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Increases, the “New Services”). The Party receiving such request shall consider such request in good faith; provided, however, that no Party shall be obligated to provide any New Services, including because, after negotiations between the Parties pursuant to Section 2.04(b), the Parties fail to reach an agreement with respect to the terms (including the Service Charges) applicable to the provision of such New Services.

  • Modification of the Service We may discontinue, add to or revise any or all aspects of the Service in our sole discretion and without notice, including, without limitation, access to support services, publications and any other products or services ancillary to the Service. In particular, we reserve the right in our sole discretion to modify, supplement, delete, discontinue or remove any software, file, publications, information, communication or other content that we or one of our vendors provide to you in connection with the Service. If we undertake any of these changes, we may, but are not required to, notify you by e-mail, posting a notice on one or more of the Viasat websites or other electronic notice. If you do not agree to the identified changes, then you must cancel your subscription and stop using the Service prior to the effective date of the changes. Your use of the Service after the effective date of the changes constitutes your acceptance of the changes. In addition, we may take any action consistent with our Acceptable Use, Data Allowance, Bandwidth Usage and Unlimited Data Policies, and Viasat Shield Application End User Terms and Conditions Agreement, , including, without limitation, actions to (a) prevent unsolicited bulk e-mailing from entering or leaving any e-mail account or the network e-mail system, (b) delete e-mail messages if your e-mail account has not been accessed by you within a time established by us from time to time, in our sole discretion, (c) instruct our system not to process e-mail or instant messages due to space limitations, (d) make available to third parties information relating to Viasat or its customers, (e) withdraw, change, suspend or discontinue any functionality or feature of the Service,

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Academic Policies and Student Support Services X. Xxxx College courses offered as dual credit, regardless of where they are taught, follow the same syllabus, course outline, textbook, grading method, and other academic policies and procedures as the courses outlined in the Hill College policy manual, catalog, and student handbook.   • Modification of Services Credit Union reserves the right to modify the Service from time to time without making prior notice to Member, provided, however, that Credit Union will give you at least thirty (30) days notice prior to making any modifications to the Service that would materially alter their functionality.

  • Termination of the Services You may, by written request, terminate the Services provided for in this Agreement. We may terminate your use of the Services at any time. In the event of termination of the Services, you will remain liable for all transactions performed on your account.

The term “Verizon OSS Services” includes, but is not limited to: (a) Verizon’s provision of Z-Tel Usage Information to Z-Tel pursuant to Section 8.1.3 below; and, (b) “Verizon OSS Information”, as defined in Section 8.1.4 below.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.
