Nature of Document. 2.1 This CIPA document follows & extends the restraints of any prior Confidentiality Agreement executed between Giggle and the Recipient. Any such prior document shall not merge nor be extinguished by this document, but rather be adjusted to the extent that this document shall indicate.
2.2 This CIPA is a binding commitment between the Recipient and Giggle to protect Giggle from inappropriate competition, and imposes confidentiality restraints whilst reserving ownership of Giggle’s Intellectual Property (IP). The terms of the prior Confidentiality Agreement shall remain in effect whether this CIPA shall be accepted or not by the Recipient. However, without the Recipient’s acceptance of this CIPA, Giggle shall not make further disclosure to the Recipient nor further consider the Recipient as a prospective joint venture participant.
