Institution will conduct the Trial in accordance with the Protocol, Sponsor’s or its designee’s written instructions and Applicable LawThe Institution is entitled to refuse to carry out the instructions of the Sponsor or INC Research and will not be bound by a duty to carry out said instructions if (i) said instructions are against legal regulations, the Protocol, permission from the State Institute for Drug Control or positive opinion of the relevant ethics committees, Good Clinical Practice, or (ii) it can be justifiably foreseen that the performance of said instructions would represent an inadequate increase in the health risk for Trial Subjects or the risk of damage to the Institution’s propertyor (iii) it can be justifiably foreseen that the performance of said instructions would represent costs arising to the Institution that are not foreseen in this Agreement, unless Sponsor will cover such unexpected cost upon written pre-approval, or (iv) performance of these conditions is feasible for the Institution only with inadequate difficulty, and Institution cannot perform the Trial any more under such conditions. Instituce je oprávněna odmítnout plnění pokynů zadavatele nebo společnosti INC Research a nebude vázána povinností tyto pokyny plnit, pokud (i) jsou tyto v rozporu s právními předpisy, Protokolem, povolením Státního ústavu pro kontrolu léčiv nebo souhlasným stanoviskem příslušných etických komisí, správnou klinickou praxí, nebo (ii) lze odůvodněně předpokládat, že jejich plnění by představovalo neúměrné zvýšení zdravotního rizika pro subjekty klinického hodnocení nebo riziko škody na majetku instituce, nebo (iii) lze odůvodněně předpokládat, že jejich plnění by znamenalo vznik nákladů na straně instituce nepředpokládaných touto Smlouvou, pokud zadavatel takové náklady na základě předchozího písemného souhlasu nepřevezme, (iv) nebo je plnění těchto podmínek pro instituci proveditelné jen s nepřiměřenými obtížemi a Instituce nemůže klinické hodnocení za takových podmínek dále provádět.   • Geotechnical Services When the services of geotechnical engineers are reasonably required for the Project, HISD may elect to have the A/E obtain these services as an Additional Service as provided for in Article 3. Otherwise, HISD shall furnish the services of geotechnical engineers. HISD’s written approval is necessary before the services of geotechnical engineers can be enlisted. Such services may include, but are not limited to, test borings, test pits, determinations of soil bearing values, percolation tests, evaluations of hazardous materials, ground corrosion and resistivity tests, including necessary operations for anticipating subsoil conditions, with reports and appropriate professional recommendations. The A/E shall review the completeness and confirm in writing to HISD the sufficiency of the type of tests and information, whether furnished through the A/E or furnished by HISD.
