No Disparaging Remarks. The Consultant, Contractor and the Company (to the extent practicable) agree that they will not (except as required by law) directly or indirectly make any statements or release any information, or encourage others to make any statement or release any information that is designed to embarrass or criticize the other (or any of their respective affiliates or associates), provided that it will not be a violation of this section 6.4 for either Consultant, Contractor or the Company to make truthful statements in a court proceeding or to a governmental agency.
No Disparaging Remarks. Neither Party shall make, or cause to be made, any statement or communicate any information (whether oral or written) that disparages or reflects negatively on the other or any of the parties released hereunder. Nothing herein shall preclude either Party from complying with a subpoena or other lawful process.

In consideration, the Company shall ensure that none of Xxx Xxxxxxxx, Xxxx Xxxxxxxxx, Xxx Xxxxxxxxxx, Xxxxx Xxxx, Xxx Xxxxxxxxxx, Xxx Xxxxx, Xxxx Xxxxx, Xxxxxxxx Xxxxxx, Xxxxx Xxxxxxx, Xxxxxx Xxxxx, Xxxxxx Xxxxxxx, Xxxx Van Genderen or Xxxxx X. Xxxxxx will make any negative, disparaging, denigrating or derogatory statements to anyone, either orally or in writing and whether true or not, in any form (including without limitation by way of news media, the expression to news media of personal views, opinions or judgments or communications over the Internet) concerning the Executive or her business practices. Negative, disparaging, denigrating or derogatory statements as used in this paragraph shall include, but not be limited to, any statements that may reasonably be considered to be detrimental to any of the Company Parties, or the Executive, as the case may be, to their business operations or to their business, professional or personal reputations. As used herein, “Company Parties” means the Company, Harley-Davidson, Inc., any of their respective subsidiaries and their past, present and future employees, directors, officers, agents, insurers, successors, assigns, shareholders and any other representatives of any kind.

Except as otherwise provided in Paragraph 8 above, you will not make or publish, or cause to be made or published (including online), any derogatory or disparaging statements, remarks or writing about IP, IP’s products, businesses, services, current or former officers, directors and employees.

Employee hereby covenants to each of the Releasees and agrees that he shall not, directly or indirectly, within or without the Company, make or solicit or encourage others to make or solicit any disparaging or negative remarks concerning the Releasees (as defined in Section 7 of this Agreement), or any of their products, services, businesses or activities. Employee understands that, in addition to the consequences such breach may have under other provisions of this Agreement, his breach of this Section 9 and the Company’s delivery to him of notice of such breach shall accelerate his Retirement Date to the date of such notice; shall result in his Retirement on such date; shall eliminate his entitlement to any subsequent payment or benefits under this Agreement; and shall subject him to liability for any damages arising from such remarks. Employee further understands that his breach of this Section 9 could cause his benefits under the SERP to be suspended or terminated.
No Disparaging Remarks. Each of the parties agrees not to make disparaging or derogatory comments about the other party, whether to the press, the investment community, stockholders of the Company or otherwise.

Executive understands that his breach of this Section 9, as determined by a court of competent jurisdiction, shall eliminate his entitlement to any Severance Pay under this Agreement, including such payments already received and Executive shall be required to immediately return any such amounts in the event of a breach.
No Disparaging Remarks. Licensee represents, warrants and covenants that the Material and the exploitation of the Material will not include any disparaging remarks, comments or actions about or toward the Venue or the Released Parties.

The Company hereby covenants to Executive and agrees that it shall cause its directors, officers, employees and representatives not to, directly or indirectly, make or solicit or encourage others to make or solicit any disparaging remarks concerning the Executive, or any of his services, businesses or activities.

Executive hereby covenants to the Company and agrees that he will not, directly or indirectly, make or solicit or encourage others to make or solicit (publicly or that reasonably could be expected to become publicly known) any disparaging remarks concerning the Company, its subsidiaries, any current or former officers, directors, employees, or any of its products, services, businesses or activities. None of the Company, its subsidiaries or their respective executive officers or directors (but only for so long as they are employed by or otherwise serving the Company or its subsidiaries) will, directly or indirectly, make or solicit or encourage others to make or solicit (publicly or that reasonably could be expected to become publicly known) any disparaging remarks concerning Executive. Notwithstanding anything to the contrary contained herein, nothing in this Agreement shall prohibit or restrict any person from providing statements or information that such person believes in good faith to be necessary or advisable in connection with (i) any legal proceeding or any investigation conducted by or at the behest of the Company, any governmental or quasi-governmental authority or any third parties (ii) compliance with any legal or regulatory obligations or (iii) statements believed in good faith to be truthful that are made or provided in order to rebut or clarify statements made about such party.
