No Solicitation or Hiring of Former Employees. Except as provided by law, for a period of five years after the Closing Date, Seller shall not solicit any person who was an employee of Buyer on the Closing Date to terminate his or her employment with Buyer or to become an employee of Seller or hire any person who was an employee of Buyer on the date hereof or on the Closing Date.
No Solicitation or Hiring of Former Employees. Except as provided by law, for a period of three years after the final Closing Date, neither the Seller nor any Affiliate thereof (including the Principals) shall solicit any person who was an employee of the Seller on the Closing Date to terminate his employment with the Buyer or to become an employee of the Seller or hire any person who was such an employee on the date hereof or on the Closing Date.

Except as provided by law, for a period of three (3) years after the Closing Date, neither the Stockholder nor any Affiliate thereof shall (a) solicit any person who was an employee of either the Company or any of the Subsidiaries on the date hereof or the Closing Date to terminate his employment with the Buyer (or the Company or any of the Subsidiaries, as the case may be) or to become an employee of the Stockholder or such Affiliate, or (b) hire any person who was such an employee on the date hereof or on the Closing Date.

Notwithstanding the above, if employment with Buyer of any family member of any Principal is terminated by Buyer, Seller and its Affiliates shall be free to hire such terminated employee.

Except as provided by Law, during the period commencing on the Closing Date and ending on the one year anniversary of the Closing Date, the Principal Stockholder agrees that it shall not, nor shall the Principal Stockholder permit any of its controlled Affiliates to, recruit, solicit or induce any person who was an employee of the Company or any of their respective subsidiaries on the date hereof or the Closing Date (a “Covered Person”) to terminate his or her employment with, or otherwise cease their relationship with, the Buyer (or the Surviving Corporation or any of their respective subsidiaries, as the case may be) or to become an employee of the Principal Stockholder or Affiliate. In addition, the Principal Stockholder agrees that it shall not hire or employ or use in any subcontracting arrangement any Covered Person for a period of one year from the Closing without the prior written consent of an executive officer of the Buyer. Notwithstanding the foregoing, nothing in this Agreement will prohibit or otherwise restrict a Principal Stockholder or any of its Representatives or Affiliates from publishing general advertisements or making general solicitations for employment (including through newspaper or other publications of general circulation or in trade publications or through recruiting or search firms or similar engagements) not specifically targeted at the Company, the Surviving Corporation or Buyer. Notwithstanding the forgoing, no action by a portfolio company of a Principal Stockholder will be considered a violation of this Section 6 unless, following the date of this Agreement, the Principal Stockholder introduced the candidate to such portfolio company or otherwise made the portfolio company aware of such candidate.

Except as provided by law, for a period of one year after the Closing Date, neither the Stockholder nor any Affiliate thereof shall (a) solicit or otherwise induce any individual identified under the heading "Specified Employees" in the Supplemental Letter to terminate his or her employment or with the Buyer (or the Company) or to become an employee of the Stockholder or and Affiliate thereof or (b) hire any individual identified under the heading "Specified Employees" in the Supplemental Letter.

Except as provided by law, for a period of five years after the Closing Date, no Seller, Principal or any Affiliate of any of them shall solicit any person who was an employee of any Seller on the Closing Date to terminate his employment with the Buyer or to become an employee of any Seller or hire any person who was such an employee on the date hereof or on the Closing Date; provided, that, subject to the provisions of Section 10.3 below, if Briax Xxxxxx xxxuntarily terminates his employment with the Buyer, any other Principal shall thereafter be permitted to employ him.

Except as provided by Law, during the period commencing on the Closing Date and ending on the second (2nd) anniversary of the Closing Date, no Non-Competition Party or Affiliate thereof shall directly or indirectly recruit, solicit or induce any person who was an employee, consultant or vendor of the Buyer, the Company or any of their respective subsidiaries on the date hereof or the Closing Date to terminate his or her employment, consulting or vendor arrangements with the Buyer (or the Company or any of their respective subsidiaries, as the case may be) or to become an employee or consultant of such Seller or Affiliate. No Seller shall hire or employ or use in any consulting arrangement any present or former employee of the Buyer, the Company or any of their respective subsidiaries for a period of one (1) year from the Closing without the prior written consent of an authorized executive officer of the Buyer. Nothing in this Section 8.2 shall prevent any Seller or its Affiliates from publishing any recruitment advertisement in any local or national newspaper or other publication or on any website or recruiting any former employee, consultant or vendor of the Buyer, the Company or any of their respective subsidiaries who has been made redundant by the Buyer, the Company or any of their respective subsidiaries following Closing.

Except with respect to employees of Buyer, BSA or BSG who, following the Closing, may be terminated by Buyer, BSA or BSG for a period of two years after the Closing Date, the Seller shall not solicit any person who was an employee of either the Seller (solely with respect to the Business), BSA or BSG on the date hereof or on the Closing Date to terminate his or her employment with the Buyer, BSA or BSG or any of their affiliates or to become an employee of either the Seller or any of its affiliates.
No Solicitation or Hiring of Former Employees. For a period of three years after the Closing Date, neither the Seller nor an entity controlled by the Seller shall, without the prior written consent of the Purchaser, solicit any Transferred Employee to terminate his or her employment with the Purchaser or to become an employee of the Seller or any such entity.
