NON-HIRE AND NON-SOLICITATION. During the term of this Agreement and for a period of one year thereafter, neither party shall (either directly or indirectly through a third party) employ, solicit to employ, cause to be solicited for the purpose of employment or offer employment to any employee/s or sub-contractor/s of the other party, or aid any third person to do so, without the specific written consent of the other party. However nothing in this clause shall affect the Bank’s regular recruitments as per its recruitment policy and not targeted to the employees of Service provider.
NON-HIRE AND NON-SOLICITATION. During the term of the Agreement and for one (1) year thereafter, neither party will directly or indirectly recruit or solicit any personnel, consultant or advisor of the other party, or induce such personnel, consultant or advisor of the other party to terminate his or her relationship with such other party without the prior written permission of the other party, which permission will in any event be conditional on reaching agreement on a reasonable financial reimbursement.
NON-HIRE AND NON-SOLICITATION. For a period of three years after the Effective Date, neither party shall, without the prior written consent of the other party, directly or indirectly hire or solicit for employment by such party or its Subsidiaries, any then-current employee of the other party or its Subsidiaries, provided, however, that the foregoing shall apply only to the extent permitted by applicable law, and shall not apply to (i) generalized searches by use of advertisements that are not targeted at employees of the other party or its Subsidiaries or (ii) the employment of persons who approach the hiring party without solicitation or encouragement by the hiring party, whether direct or indirect. For purposes of this section 2.7, “employment” includes providing services as a consultant, advisor, member of the board of directors or similar body, partner, investor or other such role.
NON-HIRE AND NON-SOLICITATION. 15.1 COMPANY acknowledges that personnel to be provided by Xansa represents an investment in recruitment and training, the loss of which my impact Xansa's business. Xansa acknowledges that the knowledge and skills gained by Xansa of COMPANY products and services creates potential value to Xansa.
NON-HIRE AND NON-SOLICITATION. (a) The Seller agrees that, for a period of three (3) years after the Closing Date, the Seller will not, directly or indirectly, solicit for hire, hire, retain or employ any employee (or former employee) of the Company or otherwise persuade or attempt to persuade any such employee, to leave the Company's employ to become employed by any person other than the Purchaser or the Company; provided, however, that the foregoing shall not prevent Seller from hiring Andrxx XxXxxxxxxxxx (xxter the expiration of one year from the Closing Date) or from hiring other employees whose resignation is received on or prior to the Closing Date, so long as Seller does not, directly or indirectly, solicit Mr. XxXxxxxxxxxx xx such other persons.
NON-HIRE AND NON-SOLICITATION. Sub agrees that for the term of this Addendum and for a period of one year thereafter, Sub will not directly or indirectly, recruit, solicit, discuss employment with, hire, employ or engage any Prime personnel then assigned to provide any aspect of the Services to Sub or its affiliates or who were so assigned within the previous one year period, or induce any such individual to leave the employ of Prime.
NON-HIRE AND NON-SOLICITATION a. During the term of this Agreement and for a period of one (1) year thereafter either Party shall not, directly or indirectly, hire or solicit for hire, any of the personnel of the other Party.
