Non-Management. The consideration to Non-Management shall be paid to the amounts and in the way prescribed below in this section. Each Seller shall on the Closing Date receive a first payment of 0.64107 shares in DoubleClick per Share. By March 15, 2000, Non-Management shall receive a possible second payment based on Valuation 1999. As per December 31, 1999, DoubleClick will determine a valuation of DCS ("Valuation 1999") based on 7.5 times DCS' 1999 revenue (the "Revenue 1999"). DoubleClick shall establish the Revenue 1999 at the latest on March 1, 2000. Should the Valuation 1999 exceed USD 60 million, each Seller shall, as a second payment, receive its percentage of the Incremental Value, which percentage shall represent the number of Shares held by each Seller on the Date of Agreement, in relation to the total amount of Shares outstanding on such date. If Valuation 1999 should be less than or equal to USD 60 million, the Sellers shall not receive any additional end-of-year payment. The number of shares of DCLK Stock to be transferred to the Sellers for the possible second payment will be 0.08013 shares in DoubleClick for every USD one (1) million in incremental Revenue 1999.

  • SITE MANAGEMENT We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.
