Non-solicitation of Company’s Employees. You agree that during the term of this Agreement and for a period of one (1) year after the termination of this Agreement, you will not, either directly or indirectly, separately or in association with others, interfere with, impair, disrupt or damage Company’s business by soliciting, encouraging or attempting to hire any of Company’s employee or causing others to solicit or encourage any of Company’s employees to discontinue their employment with Company.

Non-solicitation of Company’s Employees. Executive agrees that during the term of this Agreement and for a period of one (1) year after the termination of this Agreement, Executive will not, either directly or indirectly, separately or in association with others, interfere with, impair, disrupt or damage Company’s business by soliciting, encouraging or attempting to hire any of Company’s employees or causing others to solicit or encourage any of Company’s employees to discontinue their employment with Company.
Non-solicitation of Company’s Employees. In the event the Employee's employment with the Company is terminated for any reason either voluntarily or involuntarily, Employee for a one (1) year period after the date of such termination shall not solicit for employment any employee employed by the Company or Company on the date of said termination, other than an Employee will not solicit for employment for a period of ninety (90) days after the date of such termination.

(b) During the term of Employee's employment, and for a period of one (1) year thereafter, Employee will not solicit, attempt to solicit or assist anyone else in soliciting any employee of Company for the purpose of hiring, offering to hire or otherwise inducing or encouraging that employee's resignation or termination from Company. (c) For purposes of this section, “solicit” means to solicit, approach, communicate with, call upon or contact by mail, telephone, in person or by any other means, directly, indirectly or by assisting others.

Accordingly, Micciche agrees that for a perixx xx xxe (1) year after termination of Micciche's employment for any rxxxxx, Xxxciche shall not directly or xxxxxxxxly induce or solicit any of the Company's employees to leave their employment or to become employed by any other entity nor shall Micciche refer any of the Comxxxx'x employees to any other entity or person for purposes of inducing or soliciting such employee(s) to leave the Company's employment or to become employed by any other person or entity.
