Staff and Personnel. Subject to the provisions of Section 2.8.1 respecting Strategic Plans and approval of Owner or Owner's designated representative, Operator shall have the authority to select, hire, compensate, control and discharge (when deemed appropriate by Operator) those persons, firms or corporations which are required to satisfy its obligations under this Agreement. Operator shall keep Owner informed of any plans to change either the Operator officer responsible for any of Owner's Generation Facilities or the Operator manager of such Generation Facility. Any input from Owner on such plans will be considered by Operator, but Operator's decisions on personnel matters shall be final. Operator shall also consider any positive or negative comments from Owner regarding the performance of any of Operator's officers or managers, but management decisions on whether to take personnel or salary administration actions shall be made solely by Operator.
Staff and Personnel. GM shall employ and maintain sufficient qualified ------------------- staff and sales personnel to meet its obligations hereunder.
Staff and Personnel. The PROVIDER shall do the following to make available personnel and/or other resources to provide the services required under this Agreement:
i) Assure that PROVIDER nurses work within the scope of their practice and according to the Florida Nurse Practice Act and be licensed as an RN in accordance with Florida Statute 464.
ii) Assure that PROVIDER nurses have documented pediatric experience and growth and developmental training.
iii) Assure that school assignments of nurses currently hired by the PROVIDER and new hires will be determined by the PROVIDER with input from the RECIPIENT when needed.
iv) Assure that all PROVIDER nurses follow all School District policies and procedures, including adherence to all applicable confidentiality laws, both federal and state governing school and health records.
v) Assure that all PROVIDER staff meet Level 2 background screening as required by s.1012.465, F.S. and pursuant to chapter 435, F.S.

Staff and Personnel. 1. Prior to ATVG becoming the 100% owner of GS, GS shall fire or layoff all of its existing staff.
2. All costs associated with the layoffs, including severance payments and outstanding salaries, shall be paid by GS.
3. GS shall provide ATVG a full list of all GS staff layed off, and ATVG shall then have the exclusive right to hire back any staff it feels serves the continued business interest of GS, and shall negotiate the terms of the new contracts with said employees.
4. GS shall do its utmost to provide ATVG with accurate information about which employees are essential to the continued success of the GS business, and it undertakes to ensure, to the best of its ability, that the employees deemed essential by ATVG be retained in the services of the GS through signing new contracts.
Staff and Personnel. 5.1. The Service Provider will ensure that any of its personnel involved in the performance of the Services will have the requisite skill and experience in order to ensure compliance by them with respect to its obligations under this Agreement.
5.2. The Service Provider shall have full supervision and control over the Service Provider’s employees and any Subcontractors. The Company will not engage the Service Provider’s employees in a way that bypasses or interferes with the Service Provider’s leadership control of the Service Provider’s employees. The Service Provider shall provide and make available as necessary, in accordance with the requirements of this Agreement, all such personnel as are required to perform the Services hereunder in accordance with the terms hereof, including any minimum staffing requirements set forth in Schedule 1 (The Services and Key Persons), and in accordance with the Service Provider’s Standard of Performance. Such personnel shall be qualified and experienced in the duties to which they are assigned and possess all necessary licenses and certifications to perform the Services for which they are responsible.
5.3. Except where a Key Person (i) has been terminated by Service Provider, (ii) has retired, (iii) has resigned (and not taken employment with any of the Affiliates of Service Provider), or (iv) is otherwise unavailable due to death, disability or serious illness, the Service Provider shall maintain the engagement of each Key Person in the performance of the Services hereunder. If a Key Person shall no longer be employed by the Service Provider, the Service Provider shall replace such Key Person with a Qualified Key Person. If such Key Person is not replaced with a Qualified Key Person within one (1) month of such Key Person no longer being employed by the Service Provider, Company shall not be responsible for paying for the value assigned to the Services such Key Person was responsible for until the Key Person has been replaced. If such Key Person is not replaced within four (4) months, the Company can remove the Service(s) such Key Person was responsible for providing.
Staff and Personnel. 8.1. The Second Party shall only engage qualified and skilled staff, personnel, employees, agents and any persons, associations, institutions etc. The Second Party shall be fully responsible for their salaries and payments.
8.2. The Second Party shall be responsible for all acts and omissions of its staff, personnel, employees, agents and any persons, associations, institutions etc. engaged by the Second Party whether or not in the course of implementing the Project.
8.3. This Agreement shall not be construed as creating a relationship of employer and employee between the First Party and any staff, personnel, employees, agents and any persons, associations, institutions etc. engaged by the Second Party whether or not in the course of implementing the Project.
