Non-Solicitation of Customers and Vendors. I agree that for the term of my employment and indefinitely thereafter, I shall not, directly or indirectly use any Proprietary Information, for myself or any third party, to solicit, divert or attempt to divert from the Company (or any affiliate of it that might be formed) any business. I further agree that for a period of twenty-four (24) months following the date of my separation from the Company for any reason, with or without cause, I will not, directly or indirectly, on behalf of myself or any other person or entity, call on any customers of the Company or any of its affiliates for the purpose of soliciting and/or providing to any of said customers the same or similar services provided by the Company, nor will I, directly or indirectly, for myself or any other person or entity, solicit, divert, or take away any customer or vendor of the Company.

Non-Solicitation of Customers and Vendors. The Executive understands and acknowledges that because of the Executive’s experience with and relationship to the Company, he will have access to and learn about much or all of the Company’s customer and vendor information (or, “Competitive Information”). Competitive includes, but is not limited to, names, phone numbers, addresses, e-mail addresses, order history, order preferences, chain of command, pricing information, and other information identifying facts and circumstances specific to the vendor or the customer and relevant to sales. The Executive understands and acknowledges that loss of this customer or vendor relationship and/or goodwill will cause significant and irreparable harm. The Executive agrees and covenants, during 12 months, to run consecutively, beginning on the last day of the Executive’s employment with the Company, not to directly or indirectly solicit, contact (including but not limited to e-mail, regular mail, express mail, telephone, fax, and instant message), attempt to contact, or meet with the Company’s current, former or prospective vendors or customers for purposes of offering or accepting goods or services similar to or competitive with those offered by the Company. This restriction shall only apply to:
Non-Solicitation of Customers and Vendors. Employee understands and acknowledges that Employer has expended and continues to expend significant time and expense in developing customer and vendor relationships, customer and vendor information and goodwill, and that because of Employee’s experience with and relationship to Employer, Employee will have access to and learn about much or all of the Bank and/or Company’s customer and vendor and prospective customer and vendor information, including, but not limited to, names, phone numbers, addresses, email addresses, and other information identifying facts and circumstances specific to the customer or vendor or prospective customer or vendor and relevant to the services provided by the Bank and/or Company. Employee understands and acknowledges that loss of customer and vendor relationships and/or goodwill and/or interference with this prospective customer or vendor relationship will cause significant and irreparable harm to Employer. Employee agrees and covenants that during the term of Employee’s employment and for a period of twelve (12) months after the employment relationship ends, for any reason or no reason and whether employment is terminated at the option of Employee or the Employer, Employee shall not directly or indirectly through another person or entity: (a) solicit, contact, attempt to contact or meet with any person or entity who was a customer of the Bank and/or Company at any time during the term of Employee’s employment or from whom the Bank and/or Company discussed or solicited business within one hundred eighty (180) days of the date Employee’s employment with the Employer is terminated; or (b) induce or attempt to induce any customer or vendor of the Bank and/or Company during or after the term of Employee’s employment to reduce, limit or not commence doing business with the Bank and/or Company.
Non-Solicitation of Customers and Vendors. Executive covenants and agrees that during the Restricted Period, Executive will not, directly or indirectly, induce, or attempt to induce, any customer, salesperson, distributor, supplier, vendor, manufacturer, representative, agent, jobber, licensee or other person transacting business with the Company or any parent, subsidiary or other affiliate of the Company (including, without limitation, HealthPocket) (collectively the “Customers” and “Vendors”) to reduce or cease doing business with the Company or any such parent, subsidiary or other affiliate of the Company (including, without limitation, HealthPocket), or in any way to interfere with the relationship between any such Customer or Vendor, on the one hand, and the Company or any parent, subsidiary or other affiliate of the Company (including, without limitation, HealthPocket), on the other hand.
Non-Solicitation of Customers and Vendors. Executive agrees that for a period of two (2) years following the Termination Date, Executive shall not directly or indirectly solicit or attempt to induce any customer, vendor, or supplier of Company to end its relationship with Company and/or conduct business with Executive or any entity in which Executive has a financial interest.

Non-Solicitation of Customers and Vendors. I acknowledge that pursuit of the activities forbidden by this Section 5 would necessarily involve the use or disclosure of Proprietary Information in breach of this Agreement, but that proof of such breach would be extremely difficult. Therefore, I agree that for the term of this Agreement and for a period of twelve (12) months after termination of my engagement as an independent contractor, I shall not, directly or indirectly, for myself or any third party or entity, encourage, induce or solicit any such customer or any vendor to terminate its relationship with the Company.

The Employee agrees not to solicit or attempt to solicit or accept business - whether directly or indirectly on his/her own behalf or behalf of another party or in conjunction with another party - from the Company's customers, prospective customers or vendors with whom the Employee transacted with on behalf of the Company during the last 24 months of his/her employment with the Company, for a period of 24 months after termination of employment.
Non-Solicitation of Customers and Vendors. Employee agrees that he will not take any customer lists of the Company after leaving his employ and that he will, for the Employment Period and for a period of twelve (12) months after his resignation from both employment and directorship, (i) refrain from soliciting or attempting to solicit directly or by assisting others, any business from any of the Company's customers, including actively sought prospective customers, with whom Employee had "material contact" during the employment for purposes of providing products or services or (ii) refrain from interfering with any of the Company's agency, supplier or vendor relationships.
Non-Solicitation of Customers and Vendors. During the period of Employee’s employment, and for a period of one (1) year subsequent to the termination of that employment, whether said termination is initiated by Employer or Employee, Employee shall not, without the prior written consent of Employer, in any manner, directly or indirectly (whether as an employee, owner, shareholder, director, consultant, independent contractor, individually or in affiliation with any other entity or in any other manner whatsoever): i) solicit or accept the business of any Customer of Employer; ii) attempt to divert or interfere with that business, or otherwise induce any Customer or Vendor of Employer to cease doing business with Employer. For the purposes of this Non-Solicitation of Customers provision, “Customer” shall be defined as any customer or referral source of Employer with whom Employee dealt in the course of employment with Employer.
