Vendor Relationships. IPS will work in good faith with Operator to introduce Operator to certain of IPS’ vendors and to determine if favorable purchasing terms may be available to Operator due to such vendors’ business relationship with IPS.
Vendor Relationships. Customer acknowledges that Level 3 has -------------------- established relationships and high level contacts with certain vendors (including Microsoft and Compaq) and this Agreement and the relationship created hereby will not give Customer any right to participate in or otherwise influence or affect Level 3's business dealings and relationships with such vendors. Customer also has independent business relationships with certain vendors (including Microsoft and Compaq) and intends and commits to use those business relationships in connection with a good faith effort to generate increased platform demand for Level 3's Services. Further, it is Level 3's intention to feature Customer's Advanced Microsoft Hosting Services as part of Level 3's relationship with Microsoft and Compaq. Toward this objective, Customer and Level 3 will work cooperatively together to address Microsoft initiatives such Microsoft's Business to Consumer and Business to Business E-Commerce programs in a manner that features Level 3's Services and Customer's Advanced Microsoft Hosting Services. Likewise, Data Return and Level 3 will work cooperatively together to address Compaq market development initiatives in a manner that features Level 3's Services and Customer's Advanced Microsoft Hosting Services.
Vendor Relationships. Unless otherwise agreed upon by the parties, it is contemplated that Seller will terminate all of its vendor relationships related to Branch operations effective as of the Closing Date.
Vendor Relationships. Purchaser acknowledges that Seller may terminate all of its vendor relationships related to Branch operations effective as of the Closing Date and it shall be the responsibility of Purchaser to assume such relationships or replace them as of the Closing Date.
Vendor Relationships. In addition to being solely responsible for the investment research regarding Securities, UVEST shall be solely responsible for all contracts and discussions with all vendors of Securities regarding the quality or investment characteristics of such Securities, their availability and all other matters related to such Securities, and UVEST shall be solely responsible for all other aspects of the relationship between such vendors and the UVEST Program.
Vendor Relationships a. Following any Manufacturing Notice, NEC shall use its best efforts to ensure that its third party vendors of hardware components for the Joint Products agree to supply such components to Stratus on the same terms and conditions (including pricing) as they are supplied to NEC. Upon Stratus’s request, NEC agrees that Stratus may purchase such components from NEC under the Supply Agreement. In such event, unless prohibited under the contract with such vendors, NEC shall order the components from such vendors on Stratus’s behalf and purchase price for such components shall be the Actual Manufacturing Cost as defined in the Supply Agreement.
b. NEC will authorize any vendor designated by Stratus to use NEC-owned tooling located at such vendor’s facility to make components for purchase by Stratus and Stratus shall pay a pro-rata share of any non recurring engineering charges for such NEC-owned tooling that has not been fully amortized.
x. Xxxxxxx and its Affiliates shall have the right to source the manufacture of Joint Products and/or components thereof from the third party manufacturers used by NEC. NEC will request such suppliers to provide the same pricing and terms to Stratus or its Affiliates.
Vendor Relationships. The Contractor will be restricted from entering into business relationships with vendors and manufacturers currently used by the Company for 24 months after the termination of this contract. This includes but is not limited to Xxxxx Xxxxxx, EASI, Alumalight, Intellidyne, HySave, eCube and Telkonet.
Vendor Relationships. The Company has not received written notification since the date one year prior to the date hereof from any current or former material or sole source vendor to the Company that could not be replaced without significant interruption in which such vendor has notified of its intent to terminate or fail to renew its relationship with the Company (including with respect to the terms or quantity of business such supplier does with the Company).
Vendor Relationships. The Manager shall directly supervise, manage and be responsible for the provision of all independent contractors, consultants, suppliers and entities engaged in connection with management and administrative obligations associated with operating and managing the Company and any other activity within the scope of this Agreement. The Manager shall use best efforts in selecting parties to perform work or to provide services that have a reputation of being fully capable and reliable in efficiency and fully performing their respective obligations under any contract with the Manager or Company. The Manager shall negotiate with and enter into agreements relating to the operations of the Company. The Manager shall directly supervise and inspect the performance under such contracts and agreements, including without limitation, the supervision, inspection and observation of all servicing. The Manager shall approve or disapprove (if appropriate) all bills submitted for payment for these services. The Manager shall use best efforts to obtain all necessary receipts, releases, waivers, discharges and assurances necessary to keep the Company and its assets free from mechanics’ and materialmens’ liens and other claims, all of which documentation shall be obtained at the Manager’s expense.
