OFFBOARDING FEE. Both parties understand that there will be required participation by B2B to support Client or Client representative to move off of our platform such as but not limited to remote phone calls with Client of Client representative to strategize offboarding tasks, knowledge transfer and documentation including all administrative passwords to manage any part of the IT infrastructure. Regardless if Termination of services was for or without cause, you agree to pay us an offboarding fee of $500 to include a maximum of 3 hours of offboarding services.

You shall be entitled to receive during any month such interim payments of your fee hereunder as you shall request, provided that no such payment shall exceed 75 percent of the amount of your fee then accrued on the books of the Fund and unpaid.

  • Monthly Fees ACS will xxxx Customer each month during the term of this Agreement based on number of "Actions" which occurred during the prior month.
