Office Sublease. The Partnership acknowledges that the Office Sublease shall terminate upon the termination of the Restaurant Lease, and the Partnership hereby releases Xxxxx and Restaurant Company from any Adverse Consequence to the Partnership related to any such termination. Restaurant Company shall be a third party beneficiary of this Fourth Amendment only for purposes of such termination and release.

The Sublease shall be renewable annually, at Buyer’s option, for so long as the Prime Lease remains in effect, except that the Sublease shall provide that at anytime on at least 120 days prior written notice, the Sublease may be terminated by Seller, and Buyer shall vacate such office space. The Sublease shall automatically terminate at any time that the Real Property Lease terminates for any reason, and the Seller shall have no obligation to maintain the Real Property Lease for any specific period of time.
Office Sublease a) Prior to April 9th, Vendor shall use commercially reasonable efforts to obtain the consent of the Lessor of the Head Lease (the "Lessor Consent") to the subleasing of the Office Premises by Vendor to Purchaser pursuant to the Office Sublease.
