Officer and President. The Corporation shall cause Employee to be nominated to serve as a director of the Corporation for the duration of his term of employment as set forth herein, and any extension or amendment of this Agreement.

Notwithstanding the above, during the Term of this Agreement (a) Executive may have involvement with other businesses so long as such businesses are not competitive with the business of the Company and such activities do not interfere with Executive's obligations to the Company as described above, and (b) Executive may serve on the boards of directors of other corporations so long as the business of such corporations is not competitive with the business of the Company.

It shall not be considered a violation of the foregoing for the Executive to serve on corporate, industry, civic, religious or charitable boards or committees, so long as such activities do not individually or in the aggregate significantly interfere with the performance of the Executive's responsibilities as an employee of the Employer in accordance with this Agreement.

Officer and President. The Employee's place of employment shall be in the Houston, Texas metropolitan area, subject to travel necessary for the performance of his duties hereunder. The Corporation shall provide to the Employee adequate office facilities and staff commensurate with his position to enable him to perform his duties hereunder.
