Ongoing Operation. Seller shall carry on its business diligently and substantially in the same manner as heretofore conducted. The Business shall be conducted only in the ordinary course and Seller shall not take any action except in the ordinary course of the Business, on an arm-length basis and in accordance in all material respects with all applicable laws, rules and regulations and Seller's past custom and industry practice.

Ongoing Operation. Seller will use all reasonable efforts to carry on its business diligently and substantially in the manner as heretofore conducted and solely in the ordinary course, to keep available the services of the present employees, and to preserve the relationship of the Seller with its customers and others having business relations with it.
Ongoing Operation. All members of the Community Garden are expected to operate their garden plot in a manner which best represents the values of Sheridan. As a cooperative, it is encouraged that all teams become familiar with other teams taking part in the project and learn from each other. All members shall use the tools provided only for the maintenance of the Community Garden and to use each tool for its intended use only. A not time are you designated to touch or tamper with other garden plots. All members are collectively responsible for the general site up-keep, including but not limited to tool storage, recycling, garbage removal, and general pest control. Members shall keep the site clean and presentable. All Sheridan owned tools shall be returned and locked in the tool shed at the end of each visit. There will be no replacement of lost or stolen tools.
Ongoing Operation. A. Conduct work to minimize disruption of owner’s ongoing operations. Provide barricades, noise abatement and dust containment measures to ensure the safety of staff and workers. Interruptions of existing power, communications or other systems shall be performed only at such times as directed by the owner. Outages shall be momentary in nature. Ongoing Operation. Except for certain transactions proposed to be entered into by Parent, as set forth on Exhibit 5.3 attached hereto, each party shall carry on its business diligently, in substantially the same manner as heretofore conducted and in accordance in all material respects with all applicable laws, rules and regulations and such party's past custom and industry practice. Notwithstanding the foregoing, the parties acknowledge that as a result of the presence of Parent's employees and representatives on the business premises of High Performance and the efforts expended by Shareholders on behalf of Parent, High Performance and Shareholders shall be obligated to use their reasonable efforts, in the context of the foregoing conditions, to preserve the business of High Performance in its ordinary course.
Ongoing Operation. Following the launch of the Fund, ARK shall use its commercially reasonable efforts to facilitate inclusion of the Fund on distribution platforms with which ARK maintains relationships, including those platforms on which ARK-sponsored exchange-traded funds are distributed as of the Effective Date, and such other distribution platforms as ARK may deem appropriate in its sole discretion; provided that ARK shall not be required to establish any additional relationships with distribution platforms for purposes of fulfilling its obligations under this Agreement or negotiate or enter into any commercial arrangements with such distribution platforms.
