Operation; Maintenance; Inspection. Borrower shall observe and comply with all legal requirements applicable to the ownership, use and operation of the Project. Borrower shall maintain the Project in good condition and promptly repair any damage or casualty. Borrower shall permit Lender and its agents, representatives and employees, upon reasonable prior notice to Borrower, to inspect the Project and conduct such environmental and engineering studies as Lender may require, provided such inspections and studies do not materially interfere with the use and operation of the Project.

Borrower shall permit Lender and its agents, representatives and employees, upon reasonable prior notice to Borrower, to inspect the Project and conduct such environmental and engineering studies as Lender may require, provided such inspections and studies do not materially interfere with the use and operation of the Project.

Borrower shall permit Lender and its agents, representatives and employees, upon reasonable prior notice to Borrower, to inspect any of the Properties and conduct such environmental and engineering studies as Lender may require, provided such inspections and studies do not materially interfere with the use and operation of the Properties.

Notwithstanding the foregoing, Borrower and its Subsidiaries shall be permitted to convert any or all of the existing office, retail or industrial space at the “1073 Arvada, CO” Project or the “1206 Waltham, MA” Project to self storage uses, or to otherwise build out such existing spaces for future tenants; provided that such activities do not violate other provisions of this Agreement, including without limitation prohibitions against Liens and other Debt.

Borrower shall observe and comply in all material respects with all legal requirements applicable to its existence and to the ownership, use and operation of the Projects, except where the necessity of such compliance is being contested by Borrower in good faith through appropriate legal proceedings. Borrower shall maintain each Project in good condition (ordinary wear and tear excepted) and promptly repair any damage or casualty. Borrower shall not, without the prior written consent of Lender, (1) undertake any material structural alteration of a Project or (2) permit a material portion of the fixtures or personality owned by Borrower to be removed at any time from the Project, unless (a) such removal is contemplated in the Annual Budget or is done in the ordinary course of business, or (b) the removed item is removed temporarily for maintenance and repair or, if removed permanently, is obsolete or is replaced by an article of equal or better suitability and value, owned by Borrower and free and clear of any Liens except those in favor of Lender. Borrower shall permit Lender and its agents, representatives and employees, upon reasonable prior notice to Borrower, to inspect any Project and conduct such environmental and engineering studies as Lender may reasonably require, provided such inspections and studies do not materially interfere with the use and operation of the Project.

(1) Each Borrower shall observe and comply with all Legal Requirements applicable to the ownership, use and operation of the Properties unless it contests such Legal Requirement in the same manner as it would contest Taxes pursuant to Section 8.2 hereof. Each Borrower shall maintain the Properties in good condition and promptly repair any damage or casualty. Each Borrower shall permit the Administrative Agent and the Lenders and their agents, representatives and employees, upon reasonable prior notice to the Borrowers and during normal business hours, to inspect the Properties and conduct such environmental and engineering studies as the Administrative Agent may require subject to Section 4.3(3), provided such inspections and studies do not materially interfere with the use and operation of the Properties and the costs and expenses related thereto are paid by the Administrative Agent, unless such costs and expenses are to be paid by the Borrowers pursuant to any other section contained herein or the other Loan Documents.
(2) With respect to each of (a) the Courtyard by Marriott located at 1000 Xxxxx Xxxxx Xxxxxx, Xxxxxx, Xxxxxxxxxx, and (b) the Courtyard by Marriott located at 1000 Xxxxxxxxxx Xxxxxx, Xxxxxxxxx, Xxxxxxxxxx, the Borrowers shall cause such facilities to remain out of the “red zone” of the applicable franchisor’s Quality Assurance Program Guest Satisfaction Survey from the date hereof through the expiration of the six-month tracking period which ends December 31,2004.
(3) With respect to the Courtyard by Marriott located at 3000 Xxxxxxxxx Xxxx, Xxxxx Xx, Xxx Xxxxxx, the Borrowers shall cause such facility to remain out of the “red zone” of the applicable franchisor’s Quality Assurance Program Guest Satisfaction Survey through the expiration of the six-month tracking period which ends December 31, 2005.

Grantor shall maintain the Mortgaged Property in good condition and promptly repair any damage or casualty. Grantor shall permit Agent and its agents, representatives and employees, upon reasonable prior notice to Grantor, to inspect the Mortgaged Property and conduct such environmental and engineering studies as Agent may require, provided such inspections and studies do not materially interfere with the use and operation of the Mortgaged Property.
