Operational Commencement Sample Clauses
Operational Commencement. CIWW shall commence operations as a wholesale water supplier to Member Agencies on January 1, 2025, or on such later date approved by the Board on which the transfer of all of the Designated Water Supply Facilities of the Founding Agencies to CIWW hereunder is consummated (the “Operational Commencement Date”).
Operational Commencement. Notwithstanding the prior Acceptance of Milestone T4 ("Transition to Live Operations Complete"), the Service Provider shall not commence operation of the Service Systems (and the associated Services) until the date specified for such operation in a Notice to Commence Operations or a Notice to Commence Reduced Operations issued by TfL.
Operational Commencement. 8.1 The Service Provider acknowledges that:
8.1.1 given that:
(A) the services provided by the Incumbent Service Providers in relation to the Schemes and Contraventions are scheduled to terminate on the TE Planned Operational Commencement Date or the CC/LEZ Planned Operational Commencement Date (as the case may be); and
(B) TfL receives significant revenues in relation to Contraventions and the Schemes, if
(C) Milestone T4 ("TE Transition to Live Operations Complete") is not achieved on or before the TE Planned Operational Commencement Date; and/or
(D) Milestone T9 ("CC/LEZ Transition to Live Operations Complete") is not achieved on or before the CC/LEZ Planned Operational Commencement Date, TfL will incur significant costs and/or liabilities (including loss of revenue); and
8.1.2 if:
(A) Milestone I5 ("TE System Development & Configuration Complete") or Milestone T3 ("TE Service Proving Complete") is not achieved on or before the relevant Milestone Date, this will create a significant risk that Milestone T4 ("TE Transition to Live Operations Complete") will not be achieved on or before the TE Planned Operational Commencement Date and that Milestone T9 ("CC/LEZ Transition to Live Operations Complete") will not be achieved on or before the CC/LEZ Planned Operational Commencement Date; and
(B) Milestone T6 ("Ready for Service Integration Testing for Lot 1 and Lot 2") is not achieved on or before the relevant Milestone Date, this will create a significant risk that Milestone T9 ("CC/LEZ Transition to Live Operations Complete") will not be achieved on or before the CC/LEZ Planned Operational Commencement Date, and (in each case) in such circumstances, in order to mitigate that risk, various steps (including some or all of those described in Clause 8.3) are likely to be required to be taken.
8.2 In such circumstances, in order to mitigate the risk to TfL of incurring costs and/or liabilities (including loss of revenue) associated with the TE Operational Commencement Date occurring after the TE Planned Operational Commencement Date and/or the CC/LEZ Operational Commencement Date occurring after the CC/LEZ Planned Operational Commencement Date, the Parties have agreed the arrangements set out in this Clause 8.

8.1.2 if Milestone I5 ("System Development & Configuration Complete"), Milestone T2 ("Ready for Service Integration Testing for Lot 1 and Lot 2") or Milestone T3 ("Service Proving Complete") is not achieved on or before the relevant Milestone Date, this will create a significant risk that Milestone T4 ("Transition to Live Operations Complete") will not be achieved on or before the Planned Operational Commencement Date and, in order to mitigate that risk, various steps (including some or all of those described in Clause 8.3) are likely to be required to be taken.
8.2 In such circumstances, in order to mitigate the risk to TfL of incurring costs and/or liabilities (including loss of revenue) associated with the Operational Commencement Date occurring after the Planned Operational Commencement Date, the Parties have agreed the arrangements set out in this Clause 8.
