Operational Use. Notwithstanding anything to the contrary herein, Purchaser’s use of the Licensed Software for its intended purpose (“Operational Use”) shall constitute Tyler’s verification or Purchaser’s validation of the software products, without exception and for all purposes.

Operational Use. Notwithstanding anything to the contrary herein, End User’s use of the Licensed Software for its intended purpose (“Operational Use”) shall constitute Tyler’s verification or End User’s validation of the software products, without exception and for all purposes.
Operational Use. For the purposes of this agreement, operational use means the temporary re-routing of flows for pipeline optimization, scheduling of flows for maintenance and pipeline flushing. Scheduling for temporary use must be completed and approved by all involved Parties prior to such temporary use, the approval of which will not unreasonably be withheld.
Operational Use. After the deployment of the CSI Software as set forth in the Statement of Work (and immediately following the successful completion of the associated Verification Procedures set forth in Section 5, the End User shall begin an operational use period to begin operation by the End User of the CSI Software (“Operational Use”). The CSI Software shall be deemed to have successfully completed Operational Use when such CSI Software has operated for a period of fifteen (15) consecutive calendar days without a Critical Defect. A IF A CRITICAL DEFECT OCCURS DURING THE INITIAL OR ADDITIONAL FIFTEEN (15) DAY PERIOD, THEN THE END USER’S PROJECT MANAGER SHALL PROMPTLY NOTIFY CSI’S PROJECT MANAGER IN WRITING, AND PROVIDED CSI AGREES WITH THE END USER’S PROJECT MANAGER’S DETERMINATION, CSI SHALL USE ALL REASONABLE PRIORITIZED EFFORTS TO PROMPTLY CURE SUCH CRITICAL DEFECT. UPON CSI’S CURE OF ANY SUCH CRITICAL DEFECT, THE FIFTEEN (15) DAY TIMETABLE SHALL BEGIN AGAIN WITH RESPECT TO THE CSI SOFTWARE. B IF A NON-CRITICAL DEFECT OCCURS DURING THE INITIAL OR ADDITIONAL FIFTEEN(15) DAY PERIOD, THEN THE END USER’S PROJECT MANAGER SHALL PROMPTLY NOTIFY CSI’S PROJECT MANAGER IN WRITING, AND CSI SHALL USE ALL REASONABLE EFFORTS TO PROMPTLY CURE SUCH NON-CRITICAL DEFECT. UPON CSI’S CURE OF ANY NON-CRITICAL DEFECT, CSI WILL PROVIDE THE SOFTWARE TO THE END USER IN THE NEXT SCHEDULED SOFTWARE RELEASE CYCLE. NON-CRITICAL DEFECTS ARE NOT SUBJECT TO ADDITIONAL FIFTEEN (15) DAY OPERATIONAL USE CYCLES. C AT THE END OF THE INITIAL OR ADDITIONAL FIFTEEN (15) DAY PERIOD(S), AS THE CASE MAY BE, THE CSI SOFTWARE FOR WHICH THE END USER HAS NOT REPORTED A CRITICAL DEFECT SHALL BE DEEMED TO HAVE SUCCESSFULLY PASSED OPERATIONAL USE. WHEN THE CSI SOFTWARE FOR WHICH THE END USER DID REPORT A CRITICAL DEFECT DURING THE INITIAL FIFTEEN (15) DAY PERIOD OR HAS PERFORMED FOR A PERIOD OF FIFTEEN (15) CONSECUTIVE DAYS WITHOUT A FURTHER CRITICAL DEFECT, THAT CSI SOFTWARE SHALL ALSO BE DEEMED TO HAVE SUCCESSFULLY PASSED OPERATIONAL USE.

Related to Operational Use

  • Commercial Use Use of the Licensed Materials for the purposes of monetary reward (whether by Member Institutions, Authorized Users or Walk-in Users) by means of sale, resale, loan, transfer, hire or other form of commerce. For the avoidance of doubt, recovery of direct costs incurred by the Member Institution in the course of providing access to Authorized Users or Walk-in Users (e.g. printing, photocopying, or administration fee) including inter-library loan, is not deemed to be Commercial Use.

  • General Use You may install and Use a copy of the Software on your compatible computer, up to the Permitted Number of computers.

  • Residential Use Use the Apartment for residential purpose only. Under no circumstances shall the Allottee use or allow the Apartment to be used for commercial, industrial or other non-residential purposes. The Allottee shall also not use or allow the Apartment to be used as a religious establishment, hotel, guesthouse, service apartment, mess, hostel, boarding house, restaurant, nursing home, club, school or other public gathering place.

  • Personal Use I agree that the pupil will only use this device for educational purposes and not for personal use and will not loan the equipment to any other person.

  • Residential Use; Pets The bedroom space and apartment may be used solely for private residential purposes and for no other purposes. Resident may not carry on any business or other enterprise from the bedroom space or apartment, nor use any Owner- provided Internet connections for business purposes. Resident may place no signs, placards or other advertisement of any character in the bedroom space or apartment, nor display anything in an apartment or bedroom space that is visible from outside the Property or the apartment. Resident may not store at the Property or connect to a Property electrical outlet any mobility device owned by a third party. Pets are permitted in or about the Property only in specified buildings as Owner may in its discretion allow residents to maintain, in each case only following Owner's signature on a Pet Addendum for a single dog or cat per designated apartment, which requires payment of a registration fee and pet rent as provided in the Pet Addendum. All other pets are prohibited anywhere at the Property, except fish in small tanks to the extent approved by Owner in its sole discretion. Violation of the pet policy will subject Resident to deep-cleaning and daily administration fees in Owner’s discretion and may be considered as a termination of this Housing Agreement by Resident.

  • Internal Use You will use the Services for Your own internal business, non-residential and non-personal use. You acknowledge and agree that You will not allow any third party, including Your vendors and service providers, to access or use the Services unless such third party is allowed access for the purpose of providing authorized customer support services or in connection with Your appropriate use of the Services for Your own business purposes.

  • Data Use Each party may use Connected Account Data in accordance with this Agreement and the consent (if any) each obtains from each Connected Account. This consent includes, as to Stripe, consent it receives via the Connected Account Agreement.

  • International Users The Service is controlled, operated and administered by the Company from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Company Content accessed through the Website in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

  • SINGLE-USE PRODUCTS The Board of County Commissioners has established a single-use products and plastic bags policy intended to reduce the use of products which have become globally recognized as having lasting negative impacts on the environment. Neither single-use products nor plastic bags may be sold or disbursed on County property by staff or contracted vendors, except as set forth in Orange County Administrative Regulation 9.01.03. Failure to comply with the Regulation may result in termination of the contract or other contractual remedies, and may affect future contracting with the County. The use of reusable, recyclable, biodegradable, or compostable materials is encouraged.

  • Free-Writing Prospectus and Testing-the-Waters The Company has not made any offer relating to the Public Securities that would constitute an issuer free writing prospectus, as defined in Rule 433 under the Act, or that would otherwise constitute a “free writing prospectus” as defined in Rule 405. The Company: (a) has not engaged in any Testing-the-Waters Communication other than Testing-the-Waters Communications with the consent of the Representative with entities that are qualified institutional buyers within the meaning of Rule 144A under the Act or institutions that are accredited investors within the meaning of Rule 501 under the Act and (b) has not authorized anyone to engage in Testing-the-Waters Communications other than its officers and the Representative and individuals engaged by the Representative. The Company has not distributed any written Testing-the-Waters Communications other than those listed on Schedule B hereto. “Testing-the-Waters Communication” means any oral or written communication with potential investors undertaken in reliance on Section 5(d) of the Act.
