Operations Pursuant to Programs and Budgets. Except as otherwise provided in Section 8.13, Operations shall be conducted, expenses shall be incurred, and Assets shall be acquired only pursuant to adopted Programs and Budgets. Every Program and Budget adopted pursuant to this Agreement shall provide for accrual of reasonably anticipated Environmental Compliance expenses for all Operations contemplated under the Program and Budget. Programs and Budgets shall provide only for Exploration, Development or mining operations on the Properties and for no other activities or expenditures.

For avoidance of doubt, the initial Program and Budget shall include all Historical Costs related to the Merian Right of Exploration, Merian Right of Exploitation and all Additional Rights to the extent not included in the Total Value (as defined in the Mineral Agreement), including specifically all Historical Costs incurred after the date of issuance of the Merian Right of Exploitation but before Commencement of Joint Funding.

As set forth in Section 14.1 of the Agreement, Operations shall be conducted, expenses shall be incurred, and Assets shall be acquired consistent with Programs and Budgets duly adopted by the Board of Managers. The Program and Budget shall set forth a schedule of anticipated Capital Contributions for the period covered by such Program and Budget. The Members shall make their Capital Contributions as set forth in the Program and Budget in accordance with this Agreement, and any Member failing to make such Capital Contribution shall be subject to the provisions of Section 3.7.
