Other Operational Matters. Except as would not reasonably be expected to have a Material Adverse Effect on Northgate:
(i) any and all operations of Northgate and each of the Northgate Subsidiaries and, to the knowledge of Northgate, any and all operations by third parties, on or in respect of the assets and properties of Northgate and the Northgate Subsidiaries, have been conducted in accordance with reasonable and prudent international mining industry practices and in material compliance with applicable Laws; and
(ii) in respect of the assets and properties of each of Northgate and the Northgate Subsidiaries that are operated by it, if any, and, except as disclosed in the Northgate Disclosure Letter, Northgate and the Northgate Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of Northgate and the Northgate Subsidiaries, as the case may be, as presently operated.
Other Operational Matters. All other matters submitted to Company Board approval (by Belgian law in accordance with the Company's by-laws or internal corporate governance rules as modified where appropriate) ("Other Operational Matters") will be decided by simple majority of the Company Board. If, prior to or during any meeting of the Company Board, it becomes apparent that the nonindependent directors proposed by the AK are Deadlocked as to how to vote with respect to Other Operational Matters, then they will meet separately from the independent directors and endeavor to reach a consensus. If a consensus cannot be reached, then the directors appointed by the Holders of the Class A Certificates or the directors appointed by the Holders of the Class B Certificates shall have an alternating casting vote in accordance with Section 4.05 to break such Deadlock.
Other Operational Matters. Other Operational Matters will be decided by simple majority vote. If, prior to or during any meeting of the Company Board, it becomes obvious that the non-independent directors proposed by the AK are Deadlocked as to how to vote with respect to Other Operational Matters, then they will meet separately from the independent directors and endeavor to reach a consensus. If a consensus cannot be reached, then the Class A Directors or the Class B Directors shall have an alternating casting vote in accordance with Section 4.05 to resolve such Deadlock.
Other Operational Matters. 66.1. CenturyLink will provide provisioning intervals and procedures for design and complex services on a nondiscriminatory basis. Complex service orders charges pursuant to tariff or Price List terms may apply.
66.2. Where technically feasible, CenturyLink’s ordering center will coordinate support for all designed and/or complex resale services provided to **CLEC.
66.3. CenturyLink will provide the functionality of blocking calls (e.g., 900, 976, international calls, and third-party or collect calls) by line or trunk on an individual switching element basis, to the extent that CenturyLink provides such blocking capabilities to its End Users and to other CLECs, but only to the extent required by Applicable Law.
66.4. When ordering a resale service via an LSR service order, **CLEC may order separate interLATA and intraLATA service providers (i.e., two PICs) on a line or trunk basis, and **CLEC agrees to pay the applicable service order and PIC charges associated with such order. CenturyLink will accept PIC change orders for intraLATA toll and long distance services through the service provisioning process.
66.5. CenturyLink’s retail sales and marketing personnel will not have access to information regarding **CLEC’s requests for resold services or other competitively sensitive information.

(i) any and all operations of Primero and each of the Primero Subsidiaries and, any and all operations by third parties, on or in respect of the assets and properties of Primero and the Primero Subsidiaries, have been conducted in accordance with reasonable and prudent international mining industry practices and in material compliance with applicable Laws; and
(ii) in respect of the assets and properties of each of Primero and the Primero Subsidiaries that are operated by it, if any, Primero and the Primero Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of the Primero and any of the Primero Subsidiaries, as the case may be, as presently operated.
Other Operational Matters. Except as disclosed in the Alamos Disclosure Letter or would not reasonably be expected to have a Material Adverse Effect on Alamos:
(i) any and all operations of Alamos and each of the Alamos Subsidiaries and, to the knowledge of Alamos, any and all operations by third parties, on or in respect of the assets and properties of Alamos and the Alamos Subsidiaries, have been conducted in accordance with reasonable and prudent Canadian or Mexican mining industry practices, as applicable, and in compliance with applicable Laws; and
(ii) in respect of the assets and properties of each of Alamos and the Alamos Subsidiaries that are operated by it, if any, Alamos and the Alamos Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of Alamos and the Alamos Subsidiaries, as the case may be, as presently operated.

(ii) in respect of the assets and properties of each of AuRico and the AuRico Subsidiaries that are operated by it, if any, AuRico and the AuRico Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of AuRico and the AuRico Subsidiaries, as the case may be, as presently operated.
Other Operational Matters. Except as would not reasonably be expected to have a Material Adverse Effect on Richmont:
(i) any and all operations of Richmont and each of the Richmont Subsidiaries and, to the knowledge of Richmont, any and all operations by third parties, on or in respect of the assets and properties of Richmont and the Richmont Subsidiaries, have been conducted in accordance with reasonable and prudent Canadian mining industry practices and in compliance with applicable Laws; and
(ii) in respect of the assets and properties of each of Richmont and the Richmont Subsidiaries that are operated by it, if any, Richmont and the Richmont Subsidiaries hold all valid licences, permits and similar rights and privileges that are required and necessary under applicable Laws to operate the assets and properties of Richmont and the Richmont Subsidiaries, as the case may be, as presently operated.
