Outside Boards. Executive shall obtain the written consent of the Board prior to serving on corporate, civic or charitable boards or committees. This Section 3.b shall not be construed as preventing Executive from serving on the corporate, civic or charitable boards or committees on which Executive serves as of the Effective Date and which have been previously disclosed to the Board in writing; provided that in no event shall any such service or business activity require the provision of substantial services by Executive to the operations or the affairs of such businesses or enterprises such that the provision thereof would interfere in any respect with the performance of Executive’s duties hereunder or cause a conflict of interest to the interests of the Company.
Outside Boards. During Employee’s employment with the Company, Employee may not serve as a board member of any other organization without the express written permission of the CEO.
Outside Boards. The cover shall extend to any wrongful act committed in the capacity of outside director, but only in excess of the aggregate of:

Outside Boards. If you are asked to serve on a Board of Directors outside of the Company, such service will be considered by the Company and subject to the approval of the Chairman and Chief Executive Officer.
Outside Boards. With prior written consent of the Chief Executive Officer of the Company, you may serve on up to two outside boards of profit making entities and you may participate without consent on non-profit boards provided any such activities in the aggregate do not detract from your duties hereunder.
Outside Boards. Employee may continue to remain a member of the board of directors of l-many and Iomega. During his employment with the Company, Employee may not serve as a board member of any other organization with out the express written permission of the Board.

Notwithstanding anything in this Letter Agreement or any other agreement between Employee and the Company to the contrary, following a Qualifying Retirement, Employee shall be permitted to serve as an outside director on boards of companies that do not compete with the Company, and Employee shall be permitted to provide consulting services to businesses that do not compete with the Company.

Outside Boards. It is acknowledged that Executive currently serves on two public company boards; Spectrum Pharmaceuticals, Inc. (NASDAQ: SPPI) and BioLife Solutions, Inc. NASDAQ: BLFS).
