Owner Representative. The Owner Representative means the Person designated by the Owner in row A.5 of the Information Sheet to have the authority to bind the Owner for the purposes of the Agreement or such other Person as may be designated by the Owner, from time to time.
Owner Representative. Owner designates *** as the Owner Representative. Notification of a change in Owner Representative shall be provided in advance, in writing, to Contractor.
Owner Representative. Designate (by a Notice delivered to Contractor) an Owner Representative, who shall act as the single point of contact on behalf of Owner with respect to the prosecution and scheduling of the Work and any issues relating to this Agreement. Owner may designate a new Owner Representative from time to time by a Notice delivered to Contractor.
Owner Representative. Owner designates Xx Xxxxxxxx as the Owner Representative. Notification of a change in Owner Representative shall be provided in advance, in writing, to Contractor.
Owner Representative. Owner shall designate one person as Owner’s representative in all dealings with Manager, who shall, until further notice, be the person executing this Agreement on behalf of Owner. The person so acting as Owner’s representative from time to time shall have full authority to bind Owner, and Manager may rely on any directive of such person without further authorization or inquiry.
Owner Representative. (a) Each Owner hereby irrevocably appoints and designates Savant as his representative and attorney-in-fact (the "Representative").
(b) The Owners hereby authorize the Representative (i) to take all action necessary in connection with (AA) the waiver of any condition to the obligations of any Owner to consummate the transactions contemplated hereby, or (BB) the defense and/or settlement of any claims for which any Owner may be required to indemnify Buyer pursuant to ARTICLE 5 4 6 hereof; (ii) to give and receive all notices required or permitted under this Agreement, and (iii) to take any and all additional action as is contemplated to be taken by or on behalf of the Owners by the terms of this Agreement.
(c) In the event that the Representative dies, becomes unable to perform his responsibilities hereunder or resigns from such position, the Owners will select another representative to fill each such vacancy and such substituted representative will be irrevocably appointed and designated the Representative for all purposes of this Agreement.
(d) All decisions and actions by the Representative, including, without limitation, (i) any agreement between the Representative and Parent or Buyer relating to the waiver of any condition to the obligations of any Owner to consummate the transaction contemplated hereby, or (ii) the defense or settlement of any claims for which the Owners may be required to indemnify Parent or Buyer pursuant to ARTICLE 5 hereof will be binding upon all of the Owners, and no Owner will have the right to object, dissent, protest or otherwise contest the same.
(e) By their execution of this Agreement, each of the Owners agree that:
(1) Parent and Buyer will be able to rely conclusively on the written instructions and written decisions of the Representative as to (AA) the settlement of any claims made pursuant to ARTICLE 5 hereof, and (BB) any other actions required to be taken by the Representative hereunder, and no party hereunder will have any cause of action against Parent or Buyer for any action taken by Parent or Buyer in reliance upon the instructions or decisions of the Representative;
(2) all actions, decisions and instructions of the Representative will be conclusive and binding upon all of the Owners, and, except as otherwise agreed to by the Owners, no party hereto will have any cause of action against the Representative, in his capacity as a Representative, for any action taken, decision made or instruction given by the Repres...
Owner Representative. OWNER shall designate a person or persons available on a daily basis and authorized to transmit and receive direct communications to and from CONTRACTOR; provided, however, that such OWNER representative shall not be entitled to amend or modify the terms of this Agreement; and provided, further, that such designation may be changed from time to time upon written notice by OWNER to CONTRACTOR.
Owner Representative. From time to time during the Term, Owner shall designate, by written notice to Operator, an individual and an alternate (to act in the absence of such representative) (each, an “Owner Representative”) with authority to act for Owner in all matters pertaining to this Agreement and the Plant, to receive notices and communications from Operator with respect to this Agreement and the Plant, and to deliver to Operator, on behalf of Owner, notices, communications, decisions and approvals with respect to this Agreement and the Plant. The name of the Owner Representative (including the alternate) as of the date hereof is attached hereto as Exhibit I. In the event that Owner replaces an Owner Representative (or such alternate), Owner shall promptly notify Operator and Operator shall prepare and distribute a new Exhibit I reflecting such changes, and Exhibit I shall be deemed revised.
Owner Representative. The individual who is an employee of the school district, named in this Agreement, otherwise known as the District Representative, with the authority to bind the Owner with respect to this Agreement in accordance with Article 3.
Owner Representative. Owner will have at all times during the progress of the Work, a competent representative ("Owner's Representative") assigned to the Work. Owner's Representative shall represent Owner, and written communications given to Owner's Representative shall be as binding as if given to Owner itself. Owner shall have its Owner's Representative on site, or available within 24 hours, at all times during the progress of the Work.
