Project Execution. (a) WMECO’s cost for implementing an individual project will comply with an Actual Cost Threshold (“ACT”). (b) The ACT will be equal to the FCE plus an allowable contingency range of up to 10%. For example, if the FCE for a facility is $6,500/kW, the ACT will equal $7,150/kW ($6,500 plus 10%). Costs in excess of the ACT are recoverable, subject to approval by the Department, but shall not include a return on equity. (c) In the event that actual costs exceed the ACT, WMECO shall notify the Stipulating Parties and the Department within 45 days of discovery that a cost overrun has occurred, together with a narrative explanation of the reason for the overrun and appropriate documentation. (d) Upon receiving notification from WMECO and the narrative explanation, a signatory to this Agreement may request a technical session and/or a proceeding and evidentiary hearing to review the circumstances before the Department.

Project Execution. 1. The project period shall begin with the date of approval of the project agreement or the effective date of a waiver of retroactivity and shall terminate at the end of the stated or amended project period unless the project is completed or terminated sooner in which event the project shall end on the date of completion or termination. For project elements added to a consolidated grant, the project period will begin on the date the project element is approved. 2. The State shall transfer to the project sponsor identified in the Application for Federal Assistance or the Description and Notification Form all funds granted hereunder except those reimbursed to the State to cover administrative expenses. 3. The State will cause work on the project to be commenced within a reasonable time after receipt of notification that funds have been approved and assure that the project will be prosecuted to completion with reasonable diligence. 4. The State will require the facility to be designed to comply with the Architectural Barriers Act of 1968 (Public Law 90-480) and DOI Section 504 Regulations (43 CFR Part 17). The State will be responsible for conducting inspections to insure compliance with these specifications by the contractor. 5. The State shall secure completion of the work in accordance with approved construction plans and specifications, and shall secure compliance with all applicable Federal, State, and local laws and regulations. 6. In the event the project covered by the project agreement, including future stages of the project, cannot be completed in accordance with the plans and specifications for the project; the State shall bring the project to a point of recreational usefulness agreed upon by the State and the Director or his designee. 7. The State will provide for and maintain competent and adequate architectural/engineering supervision and inspection at the construction site to insure that the completed work conforms with the approved plans and specifications; that it will furnish progress reports and such other information as the NPS may require. 8. Project Execution o Investigators agree to work in collaboration with the Duke CTSI Accelerator to monitor progress and when necessary, provide assistance. Quarterly and final progress reports will be required. Investigators will present the interim findings of their work at six months and final results at 12 months, if requested. The investigators are expected to report annually, for up to 5 years post-award, the outcomes achieved due to the pilot award, e.g., subsequent external funding, publications, presentations and patents. Duke CTSI may terminate and reallocate residual funds for any team failing to submit required written reports in a timely manner. Proposed aims of funded projects may be changed, added or deleted during the funding period, pending Investigator and Duke CTSI Program Leadership Committee review and agreement. Prior to the release of any funding for the Project, Office of Public School Construction staff has completed the following steps to finalize the Project funding amount outlined in this Agreement, as necessary: i. The Application for Funding was accepted on (date) and deemed to meet the definition of an Approved Application. The Grantee was provided written notification of any deficiencies and given 24 hours to remedy the identified deficiency(s) in order to retain the date upon which it was received. Office of Public School Construction Application Number: ii. Upon confirmation of an Approved Application, Office of Public School Construction staff reviewed the Application for Funding for compliance with Full- Day Kindergarten Facilities Grant Program Regulations and verified eligibility for all available program grants. The Grantee was provided written notification of all deficiencies and/or changes necessary and given 15 calendar days to respond and remedy the identified deficiencies and/or changes necessary. iii. Upon review of the submitted corrections, Office of Public School Construction staff provided the Grantee written notification of any final deficiencies and required a response within four business days. iv. Upon receipt of the final amendments to the Application for Funding, the Office of Public School Construction staff and the Grantee agreed that the Project was ready for presentation to the Board for Apportionment.

Project Execution. The Donor may proceed with project execution only after this DAA has been executed, the Parties have satisfied all of the conditions precedent to the commencement of construction and GSA has issued a Notice to Proceed for the construction activity. The commencement conditions include: • GSA and CBP participation in, and approval of, construction contractor selection; • GSA and CBP approval of the Donor’s construction documents and work plan; • Evidence of the Donor’s compliance with insurance requirements imposed by GSA and CBP, as set forth in section 20; • A site access, construction license or other similar agreement that is in full force and effect; • Evidence of the Donor’s financing for all project costs and expenses; • Evidence that the payment and performance obligations relating to construction are assured to GSA and CBP’s satisfaction; and • Evidence that any necessary governmental permits or approvals have been obtained and the project is in compliance with all applicable laws, regulations and code requirements. The decision whether to move forward with project execution is solely within GSA and CBP’s discretion. All work must be performed in a manner that either avoids or minimizes, to the extent reasonably possible, operational disruptions. The Donor agrees to coordinate project activities with the GSA Team Manager and CBP Project Manager to ensure that operational disruptions, if any, are mitigated and managed appropriately. All work must be performed in a manner that will safeguard the public and Federal Government personnel and property. The Donor is required to provide the appropriate safety barricades, signs and signal lights at the project site at all times. The Donor must keep the work area free from accumulation of waste materials and upon completing the project, shall remove any trash, rubbish, tools, equipment and materials that are not Government property and leave the work area in a clean, neat, and orderly condition satisfactory to GSA and CBP. All equipment, supplies, material and articles incorporated into the work should be new and of the most suitable grade for the purpose intended. The Donor agrees to perform all work under this Agreement in a skillful and workmanlike manner. During project execution, GSA and CBP, as applicable, will monitor and engage in the following reviews and activities: • Issuance of temporary site access, construction license or other similar agreement to the Donor; • Inspection of construction quality...
