OWNER'S RIGHTS AND RESPONSIBILITIES. Owner's Right to Correct Deficiencies: Upon failure to perform the work in accordance with the Contract Document, including any requirements with respect to the Schedule of Completion and after five (5) days' written notice to the Contractor, the Owner may, without prejudice to any other remedy he may have, correct such deficiencies in work intended to become a permanent part of the project. The cost to correct such deficiencies may be deducted from the payment due the Contractor.

OWNER'S RIGHTS AND RESPONSIBILITIES. Owners shall have the right and obligation to prepare and file timely, or cause to be prepared and filed timely, when due, any Tax Return that is required to include the operations, ownership, assets or activities of Seller for Tax periods ending before the Closing Date. Any such Tax Returns for any period ending before the Closing Date shall be prepared on the basis of the closing of the books method of allocating income and in a manner consistent with prior tax returns. Owners shall permit PRGI to review and comment on each such Tax Return described in the prior sentence prior to filing. To the extent permitted by applicable law, Owners shall include any income, gain, loss, deduction or other Tax items for such periods on their Tax Returns in a manner consistent with the Schedule K-1's prepared by Owners for such periods. Owners shall pay any Taxes required to be paid with respect to all periods ending prior to the Closing Date (whether due before or after Closing) and any Taxes required to be paid with respect to the pre-closing portion of all Straddle Periods. The Taxes due by Owners for any state or local income Tax Straddle Period shall be determined by using a closing of the books method of allocating income based on the federal income Tax Return of Seller for its taxable year ending on the day immediately preceding the Closing Date and all other Taxes for any Straddle Period shall be prorated on a daily basis; provided, however, any payroll Taxes attributable to employees hired by Seller after the

OWNER'S RIGHTS AND RESPONSIBILITIES. In addition to any other rights and responsibilities contained in this Contract, the Owner will:
1. provide the Contractor with available information regarding the Project and the immediate area where the Project is located;
2. pay the Contractor for acceptable Work performed, in accordance with the provisions of this Contract;
3. if the Contractor fails to begin Work within fourteen (14) calendar days of the DATE OF COMMENCEMENT as indicated in the Notice to Proceed, the Owner will have the right to declare the Contractor in material breach of this Contract and terminate the Contract immediately without notice; and,
4. act as the A/E in the absence of a licensed design professional.

OWNER'S RIGHTS AND RESPONSIBILITIES. 4.1 Owner shall host, provide and facilitate all forms of the internet Trivia Bingo game. All hosting of the internet Trivia Bingo game will take place exclusively on Owner's servers. Account verification and the debiting of internet Trivia Bingo player (hereinafter, "Internet Player(s)") account funds will be via a backend function transparent to the Internet Player. Owner shall maintain accurate and complete books and records reflecting all cards played by all Internet Players for reconciliation and/or auditing purposes and shall collect all fees due from all Internet Players within the Territory and shall pay to Producer its share of such fees as set forth in Section 9 hereof as and when due.
4.2 During the term of this Agreement the Owner shall not enter into any other agreement with any entity for the licensing of Broadcast rights of the Format in the Territory, or undertake in the Territory any marketing activities directly related to the Format unless expressly permitted by the Producer.
4.3 Owner shall deliver to Producer any Materials as may be reasonably requested by Producer, at no cost to Producer, for the purposes of producing the Format.
4.4 At all times throughout the Term of this Agreement, Owner shall deposit in trust the then-current version of the Software source code at the offices of the law firm representing Owner. Owner shall provide Producer with the identity of such law firm and shall identify a primary contact within such firm within twenty (20) days of the Effective Date. Further, Owner shall promptly notify Producer of any change(s) in either the law firm or the primary contact. In the event Owner breaches the terms of this Agreement or in the event of the liquidation of Owner or the appointment of a receiver for Owner, in addition to its other rights and remedies hereunder, Producer shall immediately be entitled to the Software source code.
4.5 Owner shall contribute a maximum of ten percent (10%) of the Owner's Share of all net internet and iTV revenues (i.e. gross internet and iTV revenues actually collected minus set-offs, credits, refunds, etc., hereinafter, "Net Revenues") derived from the Territory during the Term of this Agreement, by depositing such sums on or before the last business day of each month during the Term hereof in a trust account to be identified by account and routing numbers by Producer within thirty (30) days of the Effective Date (the "Trust Account"), which contribution (the "Prize Pool Contribution")...

OWNER'S RIGHTS AND RESPONSIBILITIES. A. Lands by Owner: The Owner will provide the lands shown on the Drawings or described in the Specifications upon which the work under the Contract is to be performed and to be used for right-of-way purposes. Any delay in furnishing these lands by the Owner will be deemed proper cause for adjustment in the Contract Amount and in the time of completion.
OWNER'S RIGHTS AND RESPONSIBILITIES. A. Notwithstanding the foregoing, Owner agrees to provide funding, not to exceed $2,500, for a fence to be installed around the perimeter of the Use Area. Installation of, and obtaining any permits for, the fence shall be the responsibility of User. User shall obtain the Owner’s consent as to the type of fencing to be installed, which consent shall not be unreasonably withheld, prior to beginning installation. Any modifications to the fencing in the future shall require the consent of the Owner, which shall not be unreasonably withheld. Maintenance of the fencing, repairs, or future replacement shall be the responsibility of the User.
B. Owner agrees to install a water line and a spigot to and at the Use Area, at Owner’s expense, for User’s use. Owner shall be responsible for maintaining, repairing, and/or replacing the water line as needed. In addition, Owner shall be financially responsible for payment of monthly water utility charges and any connection fees. Notwithstanding the foregoing, the Owner shall not be responsible for any loss incurred by User or community garden participants due to interruption of water service.
C. Owner may enter the Use Area at all reasonable times to inspect the Use Area and evaluate whether User is in compliance with the terms of this Agreement, and for the purposes of taking any other actions the Owner believes are appropriate to protect the Owner’s interest in the Use Area. Notwithstanding the foregoing, this section does not impose any duty on the Owner to inspect the Use Area, report to User the results of any inspection, or assume any liability of any kind arising from inspecting or not inspecting the Use Area.
