Ownership of Materials and Information. Unless otherwise provided for in this MOU, the Parties agree that all material, information, data, computer software, documentation, studies, and evaluations produced by the State in the performance of this MOU are the sole property of the State.
Ownership of Materials and Information. 5.1 All data, information, reports, any and all related documentation, all inventions, discoveries, formulae, procedures, any other intellectual property, and any improvements thereto, whether patentable or not, which result or evolve as a result of the services performed hereunder by Research Organization for Sponsor (“Inventions”) shall be and remain the sole and exclusive property of Sponsor if related to the materials provided to Research Organization by Sponsor.

Neither PII nor any Customer-approved subcontractor shall acquire any rights of any kind whatsoever with respect to any such intellectual property or materials as a result of conducting a particular Project. All data, results, products, information, and reports (whether tangible or intangible), and any and all related documentation, which are developed, generated or derived, directly or indirectly, by PII (or by any subcontractor or agent of PII) during the course of this Agreement (the “Data”), and all inventions, discoveries, designs, techniques, trade secrets, formulae, procedures, any other intellectual property, and any improvements thereto, whether patentable or not, which are made, discovered or developed during the course of this Agreement or as a result of the performance of any Project by PII (or by any subcontractor or agent of PII) (collectively, the “Inventions”), shall be and remain the sole and exclusive property of Customer, subject to the provisions of Section 5.2.

All data, information, reports and any and all related documentation, which are developed, generated or derived, directly or indirectly, by PII (or by any subcontractor or agent of PII) for Keryx during the course of the project (the "Data"), and all inventions, [LOGO OF PII] discoveries, formulae, procedures, processes, technology and any other intellectual property, and any improvements thereto, whether patentable or not, which result or evolve directly, during the course of the project or as a result of the services performed hereunder by PII (or by any subcontractor or agent or PII) (the "Inventions"), shall be and remain the sole and exclusive property of Keryx.
Ownership of Materials and Information. All materials and information produced by or for AMC, or entrusted to AMC, for the benefit of Association pursuant to this Agreement are and shall be the sole property of Association. Such materials include without limitation Association's membership and prospect lists, conference registration lists, other mailing lists, publications, copyrights, trademarks, files, financial records and similar property or information now existing or acquired during the term of this Agreement. Should the Agreement be terminated, all such materials and information shall be delivered by AMC to Association or to such person or entity as may be designated by Association in writing. Association and AMC agree that all procedures, systems, forms and computer programs used by AMC in providing services to Association hereunder (with the exception of such procedures, systems or computer programs which were purchased by Association or purchased by AMC and charged to Association, which items shall be considered the sole property of Association) are the property of AMC and may be further used by AMC at any time for any purposes it requires.

During the term of this Agreement, as a result of Contractor's efforts under this Agreement, Contractor may generate ideas, inventions, suggestions, copyrightable materials or other information ("Intellectual Property") which fall into one of two categories:

(a) All data, information, reports and any and all related documentation, which are developed, generated or derived, directly or indirectly, by **** (or by any subcontractor or agent of ****) for Antares during the course of this Agreement (the “Data”), and all inventions, discoveries, formulae (including the Formulation), procedures, any other intellectual property, and any improvements thereto, whether patentable or not, which result or evolve directly, during the course of this Agreement or as a result of the services performed hereunder by **** (or by any subcontractor or agent or ****) (together with any Data relating thereto, the “Inventions”), shall be and remain the sole and exclusive property of Antares if related to the Product; provided, however, any Inventions made, developed or discovered solely by **** (or by any subcontractor or agent of ****) that constitute an invention, improvement or other intellectual property relating to drug delivery technology, formulation (exclusive of the Product itself), analysis or manufacturing process of pharmaceutical products (together with any Data relating thereto, “**** Inventions”), shall be and remain the property of ****, and **** hereby grants to Antares a royalty-free, exclusive worldwide license (including the right to sublicense) to develop, use, manufacture and sell such **** Inventions in connection with the development, use, manufacture, importation, and sale of the Product. Except as specifically set forth herein, neither **** nor its employees or agents shall have or acquire any right, title or interest in Inventions. **** shall promptly disclose in writing to Antares any Inventions. If related to the Product and to the extent not **** Inventions, **** shall assign any and all rights in any Inventions to Antares and shall assist Antares, at no cost to ****, in perfecting its rights in such Inventions.

Contractor will retain all pertinent records relating to the services performed under this Agreement for the greater of either Seven (7) years after completion of the Work or as otherwise required by industry standards, during which time the records will be made available to Tribe at any time and without charge. Such materials include without limitation CAPPO’s membership and prospect lists, conference registration lists, other mailing lists, publications, copyrights, trademarks, files, financial records, software and similar property or information now existing or acquired during the term of this Agreement. Should the Agreement be terminated, all such materials and information shall be delivered by BTF to XXXXX or to such person or entity as may be designated by XXXXX in writing.
